富阁苑(FOCAL,8206,主板产业股)日线趋势于9月13日间显现着一段技术反弹趋势,闭市时收91仙,按日起10.5仙或13.04%。它于昨日尾盘势时持续反弹了。

短期间该股料会于上挑92仙-1.05令吉水平间。

Eco World全購富閣苑‧劉啟盛動向成焦點

(吉隆坡17日訊)Eco World發展公司繼上週宣佈與實康(SALCON,8567,主板貿服組)聯營新山市中心的綜合產業計劃後,今日建議以近2億3千零68萬6千令吉或每股1令吉40仙向“多名大股東”,收購富閣苑開發(FOCAL,8206,主板產業組)的65.05%股權,並以同樣價值全面獻購尚未持有股票。

每股1.40令吉全購富閣苑

Eco World目前由丹斯里劉啟盛大兒子劉添雄掌管,但一般相信幕後首腦應該還是劉啟盛。

實達集團(SPSETIA,8664,主板產業組)的劉啟盛近期動作頻頻,除了在柔佛州大量購地,這次更瞄準收購柔佛州發展商,全面釋放以南馬為“另起爐灶”據點的訊號?

富閣苑開發發表文告指出,一旦Eco World完成收購65.05%股權,將成為其大股東,但因觸及33%全購水平,因此也將同樣以每股1令吉40仙,全購未持有的富閣苑開發股權。

不過,文告沒有透露新大股東會否保留富閣苑開發的上市地位,僅表示在持有超過50%股權後,獻購案將轉為無條件,屆時才作出進一步宣佈。

出價溢價15.70%
富閣苑漲停

每股1令吉40仙獻購價,較富閣苑開發於今早9時28分發停牌前的1令吉21仙漲停板水平,溢價19仙或15.70%。

由於市場已紛紛“聞訊”富閣苑開發將成為劉啟盛的收購目標,該股今日開市表現大勇,以揚25仙或27.47%至1令吉16仙開盤後,即迅速大起30仙或32.97%至1令吉21仙漲停板水平。

配合消息公佈停牌一小時後,富閣苑於早上10時28分復牌,雖然已觸及1令吉21仙漲停板水平,但基於開市後該股處於“保留”水平,因而獲大馬交易所批准將漲停板水平微調至1令吉24仙,股價也跟著走高,並以1令吉24仙掛收,揚33仙或36.26%,成為全場第七大上升股,全日共有139萬9千400股易手。

以上週五91仙閉市價計,富閣苑市值為逾2億3千萬令吉,而每股淨資產則企於1令吉26仙。

截至2013年6月30日止,該公司首半年淨利大漲527.03%至2千424萬1千令吉。

黃氏唯高達研究說:“富閣苑成為收購目標,自然引起市場矚目,而大受追捧。”

不過,興業研究僅給予該公司90仙至1令吉目標價。

劉啟盛料提前離開實達

隨著近期劉啟盛兒子旗下的Eco World積極“鋪路”,開創另一片天地,市場普遍揣測他可能提前於明年初離開實達的真實性。

自國民投資(PNB)從去年起“大舉”入主實達後,劉啟盛已開始脫售手頭上的實達股權,大馬交易所最新資料顯示,他目前僅持有實達的2.76%股權。
他擁有在2014年初以每股3令吉95仙脫售其餘2.76%股權予國民投資。

雖然劉啟盛的合約是到2015年3月,但近期已有超過10%職員辭職,因而一般相信他也會很快離開。

無論如何,實達已宣佈由副總裁拿督潘丁友接任,而拿督張良成則替補副總裁職。

目前劉啟盛積極“培訓”孩子投入產業發展領域,年僅22歲的劉添雄,已是Eco World的董事。過去一年,EcoWorld已在柔佛州收購總值超過8億令吉地段。

SIGNING OF CONDITIONAL SHARE SALE AGREEMENT BETWEEN ECO WORLD DEVELOPMENT HOLDINGS SDN BHD (FORMERLY KNOWN AS MAPLE QUAY SDN BHD) (“ECO WORLD”) AND LIEW TIAN XIONG WITH CERTAIN SHAREHOLDERS OF FOCAL AIMS HOLDINGS BERHAD (“FOCAL AIMS”) IN RESPECT OF THE ACQUISITION OF 164,775,701 ORDINARY SHARES OF RM1.00 EACH IN FOCAL AIMS, REPRESENTING 65.05% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF FOCAL AIMS
We have today received a notice from Eco World Development Holdings Sdn. Bhd. (formerly known as Maple Quay Sdn. Bhd.) (Eco World) and Liew Tian Xiong (collectively, the Buyers) that they have, on 17 September 2013, entered into a conditional share sale agreement with various shareholders of the Company (SSA) to acquire 164,775,701 ordinary shares of RM 1.00 each in the Company (Shares), which represent 65.05% of the issued and paid-up share capital of the Company, for a total cash consideration of RM230,685,981.40, which is equivalent to RM 1.40 per Share (Proposed Acquisition).

We understand that, upon fulfilment of the conditions precedent under the SSA and completion of the Proposed Acquisition, the Buyers will become the new controlling shareholders of the Company, with a 65.05% equity interest in the Company, and will therefore be obliged to extend a mandatory general offer to the shareholders of the Company other than the Buyers for a cash offer price of RM 1.40 per Share (Proposed MGO) pursuant to Section 218(2) of the Capital Markets & Services Act, 2007 and Section 9(1), Part III of the Malaysian Code on Take-Overs and Mergers, 2010 (Code).

The conditions precedent under the SSA include the completion of legal, financial, tax and operational due diligence investigations over the Company and its subsidiaries, their assets and businesses by the Buyers and its professional, legal, financial advisors and consultants to the fullest extent permissible under law, based on publically announced or other non-price sensitive information and or documents to be provided by the Sellers to the Buyers and the results thereof being satisfactory to the Buyers, and the approval of all other relevant parties including governmental and regulatory approvals required under applicable laws and regulations as may be required in relation to the sale of the Shares in accordance with the terms of the SSA being obtained within one month from the date of the SSA or such longer period as may be mutually agreed between the Buyers and the Seller.

We also understand that the Buyers will serve notice of the Proposed MGO on the Board of Directors of the Company, in accordance with Section 11(7) of the Code, upon the SSA and the Proposed Acquisition becoming unconditional, and that the Proposed MGO will be unconditional with regards to the level of valid acceptance as the Buyers will hold in aggregate more than 50% of the total voting shares of the Company after completion of the Proposed Acquisition. We will make further announcements of any material development.

This announcement is made in accordance with Section 11(2) and Paragraph 1.1(b) of Practice Note 11 of the Code.

值得一提的是,EcoW o r l d發展是實達集團(SPSETIA,8664,主板產業組)創辦人丹斯里劉啟盛的旗下公司。實康將與Eco World發展公司在新山市中心發展兩塊地庫。

(吉隆坡18日訊)“劉啟盛效應”發酵,推動富閣苑開發(FOCAL,8206,主板產業組)開盤上衝漲停板,飆至1令吉61仙,突破1令吉40仙獻售價。

該股甫開盤便暴衝37仙或29.84%,至1令吉61仙漲停板,成交量達469萬3千300股,閉市時,收1令吉63仙,漲39仙,全天成交量擴至528萬1千股。

昨日宣佈獻購該公司的Eco World發展公司,幕後首腦料為一手打造實達集團(SPSETIA,8664,主板產業組)的首席執行員丹斯里劉啟盛,由於投資者普遍憧憬他勢必另起爐灶,富閣苑開發可望受惠,因而追捧該公司股票。

或注入策略性發展計劃

馬銀行研究估計,往後或有策略性土地注入富閣苑開發,坦言股價於獻售價格之上仍有上漲空間。

“此獻售價格,僅為面值的1.1倍,往後若得額外策略性土地注入後,股價水平相信將會繼續走高。”

該行預計未來1年內,Eco World發展公司於檳城、巴生河流域以及依斯干達特區有望累計3千英畝的土地庫,總發展值達300億令吉。

“此次獻購將使該公司成為Eco World發展公司連接大馬資本市場的管道。”

因此馬銀行研究預測,後者或藉富閣苑開發進行特定產業發展計劃,屆時相信會進一步提高該公司市值。

與此同時,該行也考量到Eco World發展公司雖然於領域中屬於新晉商家,但其中幹部多為實達集團前董事與管理層,如董事拿督梁國華,便是前實達獨立非執行董事。

此外,馬銀行研究也說,截至目前為止,Eco World發展公司所推出的產業發展計劃,皆獲市場正面反應。

“就努沙再也Eco Botanic計劃而言,計劃中的624個單位,目前已有超過2千份申請了。”

(吉隆坡17日讯)EcoWorld发展有限公司与丹斯里刘启盛之子刘添雄(译音),以每股1.40令吉收购富阁苑(FOCAL,8206,主板产业股)65.05%股权。

富阁苑今日10时28分复牌后涨停板,股价劲扬32仙或35.16%至1.23令吉。

富阁苑今日向大马证券交易所报备此事,指公司多名股东和EcoWorld发展及刘添雄,签署售股协议,后者以2亿3068万5981令吉购下富阁苑的1亿6477万5701股,相当于每股1.40令吉。

刘启盛为实达集团(SPSETIA,8664,主板产业股)总裁兼总执行长,刘添雄为刘启盛的长子。

在售股协议完成后,Eco World发展将成为富阁苑主要持股公司,随着持股超过半数,料将启动料将启动强制性全面收购(MGO)。

股价涨停板

富阁苑今日上午9时28分宣布停牌一小时,在复牌后,股价由91仙飙涨至历史新高水平,晋升十大上升股榜,更因涨幅超过35%涨停板,闭市收在1.24令吉,全日共139万9400股易手。

富阁苑市值为2亿3000万令吉,公司的每股净资产值为1.17令吉,2012财年时,公司营业额达6526万令吉,税前净利为810万令吉。

分析界揣测,EcoWorld发展料将借助富阁苑迈向上市之路,而带着刘启盛光环的EcoWorld发展,将成为市场焦点。

注入更多地库扩大实力

兴业证券研究分析员指出,是否为“借壳上市”与否目前仍无法断定,但收购富阁苑将为Eco World发展注入更多地库,扩大公司实力。

“富阁苑的地库主要集中在巴西古当及哥打马赛地区,透过收购富阁苑,Eco World发展可以现有资源进入该地区。”

富阁苑于哥打马赛(Kota Masai)的2500英亩土地,目前用作发展综合城镇计划,该公司目前于雪州Saujana高尔夫球度假村附近进行小型高档房屋发展计划—————Saujana0-Lot。

至于Eco World发展,目前则于中部及柔南地区各有两项发展计划,分别为雪州的EcoGardens、吉隆坡的EcoSky、依斯干达的EcoBotanic,以及位于柔州泗隆的Eco商业园。

其中,Eco Botanic城镇及Eco Sky计划更是市场焦点,这项计划的首期发展总值达30亿令吉,Eco Sky发展总值则为12亿令吉。

Eco World发展在今年初斥资6亿500万令吉,在雪州、柔佛州及吉隆坡购入4块地,预计未来这些地段的发展总值可达30亿令吉。

每股开价RM1.40 刘添雄全购富阁苑

(吉隆坡1日讯)富阁苑(FOCAL,8206,主板产业股)大股东EcoWorld发展有限公司与丹斯里刘启盛之子刘添雄,将以每股1.40令吉强制性全面收购富阁苑其余股权。

富阁苑今天向马交所报备,Eco World与刘添雄早前收购富阁苑65.05%股权后,因持股超过50%,献购方将强制性全面收购富阁苑其余股权。

不过,献购方有意维持富阁苑的主板上市地位。市场此前看好Eco World将通过富阁苑“借壳上市”,但目前未确定Eco World是否将被注入富阁苑。

维持上市地位
9月17日,Eco World与刘添雄和富阁苑多名大股东达成协议,以每股1.40令吉,或总值2亿3068万令吉,购入富阁苑65.05%股权成为大股东。

富阁苑宣布收购消息后,股价急速飙升,甚至涨停板。富阁苑周二以2.16令吉挂收,全天上升22仙或11.34%,成交量报605万9700股。[南洋网财经]

Focal Aims Holdings Berhad ("Focal Aims" or "the Company") - Receipt of Notice of Unconditional Take-Over Offer from CIMB Investment Bank Berhad on behalf of Eco World Development Holdings Sdn. Bhd. The Board of Directors of Focal Aims ("Board") wishes to announce that Focal Aims has on even date received a notice of unconditional take-over offer ("Notice") from CIMB Investment Bank Berhad on behalf of the Offerors to acquire all the remaining ordinary shares of RM1.00 each in Focal Aims ("Focal Aims Share(s)") held by the shareholders of Focal Aims, other than the Focal Aims Shares to be held by the Offerors and persons acting in concert ("Offer Share(s)") for a cash offer price of RM1.40 per Focal Aims Share ("Offer"). The Board does not intend to seek an alternative offer.
