1. Introduction
The Board of Directors of ECO wishes to announce that the Company had on 17 March 2014 acquired two (2) ordinary shares of RM1/- each fully paid up in the capital of Prominent Stream Sdn. Bhd. (Company No. 1076483-V) ("PSSB") for a total cash consideration of RM2/- (Ringgit Malaysia: Two) only ("Acquisition").

Following the Acquisition, PSSB became a wholly-owned subsidiary of ECO.

2. Details of PSSB
PSSB was incorporated as a private company limited by shares on 6 January 2014. The authorised share capital of PSSB is RM400,000/- divided into 400,000 ordinary shares of RM1/- each. The issued and paid-up share capital of PSSB is RM2/- divided into 2 ordinary shares of RM1/- each. PSSB is currently dormant.

3. Financial Effects
The Acquisition is not expected to have any material effect on the earnings per shares, gearing and net assets per share of ECO.

4. Directors' and Major Shareholders' Interest
None of the directors and/or major shareholders of ECO and/or persons connected with them have any interest, direct or indirect, in the Acquisition.

5. Statement by the Directors
The Board of Directors of ECO, having considered all aspects of the Acquisition, are of the opinion that the Acquisition is in the best interest of ECO.

售巴生地段予綠盛世 麗陽機構淨賺1.7億

(吉隆坡19日訊)麗陽機構(TROP,5401,主要板房產)宣布,以4億7067萬令吉或每平方尺35令吉,脫售面積308.72畝巴生土地予綠盛世(ECOWLD,8206,主要板房產),料淨賺1.7億令吉。

麗陽機構文告中預計,脫售計劃完成后,截至今年底財年每股盈利或提高12仙。

兩家公司在雙方高層見證下,簽署土地買賣協議,列席者包括麗陽機構執行副主席陳志成、總執行長拿督游國成及董事經理江文俊。

本地房地產大亨丹斯里劉啟盛之子兼綠盛世總執行長劉添雄、董事拿督曾建華和拿督梁國華亦出席簽約儀式。

年底動工

文告指出,該地段位于巴生南部,為前稱運河城(Canal City)、Tropicana Aman的部分土地,麗陽去年3月購得該土地。

該公司指出,預計將在今年下半年推出Tropicana Aman部分發展項目,整項計劃發展總值約7億7000萬令吉。

陳志成指出,脫售計劃符合轉型計劃,釋放旗下大型地庫價值,同時將資產套現,強化資產負債表表現,力保中長期成長表現。

曾建華亦在文告中指出,收購計劃符合公司收購地理位置佳地庫的策略,在該土地規劃的計劃預計將在今年底動工,發展期約8年。

“新計劃將命名為EcoSanctuary,為環保主題的綜合住宅及商業發展計劃,發展總值約達80億令吉。”

目前,麗陽機構旗下共有1960畝地庫,分別位于吉隆坡、依斯干達和檳城島,可發展總值約750億令吉。

截至去年底財年,該公司全年營業額按年增1.3倍至14億7550萬令吉,淨利按年增1.1倍至3億6230萬令吉。

齊申請停牌半日

配合這項宣布,綠盛世及麗陽機構同時申請宣布暫停交易半天,從下午2時半停牌至下午5時,雙雙將在週四(20日)復牌。

兩家公司早盤分別向馬證交所報備指出,基于重大宣布,午盤暫停交易。

綠盛世本月12日起已呈現下跌格局,僅在週二(18日)閉市微揚2仙至4.67令吉。

該股今早開市時微揚3仙,以4.70令吉開跑,隨后穩步走高,停牌前最后報價4.69令吉,揚2仙,交投量8萬3500股。

麗陽機構過去2個交易日則呈現攀升格局,週二收1.38令吉,漲5仙或3.76%。

今早開市時,麗陽機構先揚2仙至1.40令吉,隨后節節走高,停牌前最后報價1.43令吉,揚5仙,半日交投588萬9700股。【中国报财经】

我 4.22的时候买进,前几天4.76的时候放掉了... 那时候已经涨了12.8%
会放掉是因为观察了一段时间,觉得他会跌回来。结果最低只到4.7没有买进,这几天突然就升很高了。

劉啟盛即將卸任 綠盛世漲勢如虹

(吉隆坡23日訊)本地地產大亨實達集團(SPSETIA,8664,主要板房產)創辦人丹斯里劉啟盛即將卸任,由其子劉添雄領軍的綠盛世(ECOWLD,8206,主要板房產)料最有可能受惠,后者今日股價勁漲,早盤為十大上升股之冠。

綠盛世今早開市僅微揚2仙至5.22令吉,投資者未知是否受劉啟盛將離職消息激勵推高股價,早盤最高一度漲26仙至5.46令吉水平。唯該股遭部分投資者套利,休市時漲幅收窄至17仙,掛5.37令吉,成交量108萬5100股,漲幅仍冠全場。

該股午盤依舊漲勢凌厲,閉市時,綠盛世起15仙,掛5.35令吉,成交量143萬3300股。

為兒鋪路

反觀,傳劉啟盛已清空持股權的實達集團無甚起落,休市時揚1仙至2.92令吉,成交量僅11萬3200股,閉市時起2仙,掛2.93令吉,成交量34萬8000股。

馬股場外股權交易數據顯示,實達集團週二(22日)有6779萬股或2.75%股權,在場外以每股3.95令吉易手,較今日休市價2.92令吉溢價1.03令吉或35%。

市場相信該批股權來自即將在本月30日卸任創辦人兼總執行長劉啟盛,早前更多番揣測目前由兒子及實達夥伴共同領軍的綠盛世,是劉啟盛為未來鋪路。

無論加入公司與否,劉啟盛業內多年經驗將為綠盛世注入利好,反觀市場揣測國投將把其他房地產業務注入實達,后者前景料平添不穩定性。

劉啟盛脫售實達2.75%股權

實達集團確認早前傳聞,劉啟盛已脫售實達集團2.75%股權給國民投資機構(PNB)。

該公司向馬證交所報備,劉啟盛昨日以每股3.95令吉,將實達集團2.75%股權,相等于6779萬股,脫售給國民投資機構。

上述股權脫售是基于劉啟盛在2012年1月20日行使賣權(put option)。【中国报财经】

綠盛世配合重大宣佈停牌

(吉隆坡24日訊)綠盛世(ECOWLD,8206,主板產業組)配合重大宣佈,將從今日下午至明日停牌。

該公司發表文告說,大馬股票交易所已經批准其股票從今日下午2時30分至明日下午5時暫停交易。

停牌前,該股漲5仙至5令吉40仙。

由於丹斯里劉啟盛下週三(30日)起將離開一手打造的實達集團(SPSETIA,8664,主板產業組),市場憧憬綠盛世停牌並宣佈委任他擔任領導,刺激該股上漲。

不過,也有意見認為,劉啟盛可能不會直接領導綠盛世,因此停牌與他無關。(星洲日報/財經)

綠盛世發股籌17.76億‧購8項產業發展權

(吉隆坡25日訊)綠盛世(ECOWLD,8206,主板產業組)將透過發股、附加股和私下配售新股方式,籌集17億7千617萬6千令吉收購8項產業發展權,大幅擴大地庫和發展總值,以加速向國內首屈一指的產業發展商目標邁進。

該公司發文告表示,將以總值17億7千617萬6千令吉,收購子公司――綠盛世發展(Eco World Development)旗下的8項發展總值達300億令吉的產業發展計劃權限,以及EcoMacalister發展和綠盛世工程管理(Eco World Project Management)股權。

新股售價1.70令吉

綠盛世將透過發售8億零684萬6千852股新股,相等於擴大後繳足資本的61.42%新股,每股發售價為1令吉70仙,以及附加股和私下配售新股進行籌資。

擬發附加股送憑單

綠盛世擬進行的附加股和配送憑單計劃料可籌措7億8千800萬令吉,其中4億零4千500萬令吉用來償還短期貸款,另3億8千350萬令吉則作為普通企業用途。

截至今年3月31日止,綠盛世公眾持股為34.95%,但在股東認購新股後,公眾持股比例將下跌至13.48%,不符上市公司最低25%公眾持股門檻,因此集團將私下配售20%股權於特定投資者來拉高公眾持股比重至約27.9%。

私下配售計劃的股票定價將在稍後決定,料可籌措6億令吉,將用來做為未來土地收購、普通企業和營運資本用途。整個企業活動劃預見需要6個月時間完成,料在今年10月結束。

目前,綠盛世持有1千326英畝土地,在完成上述收購計劃後,集團地庫將擴展至4千433英畝,產業發展項目將從現有的3項增加至11項,總發展總值將從135億令吉擴大至435億令吉。

股票拆細1變2

不過,在落實收購計劃和認股計劃前,綠盛世將進行股票1拆2計劃,將每股面值1令吉股票分拆為2股,每股面值50仙。

股票下週一復牌

配合上述宣佈,綠盛世股票從昨日下午至今日停牌,將在下週一(28日)復牌。

綠盛世首席執行員拿督曾建華表示,產業發展公司能帶來強勁和持續增長,取決於地庫規模、地點和品質,產品的多樣性,以及良好的執行能力和營運記錄。

“不過,近年來產業市場蓬勃發展,令土地價格顯著增長,使得產業發展公司在鑒定和取得具規模的可發展土地上面對嚴峻挑戰,但通過上述計劃將可立即擴大集團在巴生河流域、檳城和柔佛依斯干達產業市場的地位。”

他補充,這項計劃將未上市臂膀的資產轉移至上市控股公司,將幫助集團在未來數年取得噴井式增長,並專注領導集團崛起成為國內首屈一指的產業發展商。

目前,綠盛世在巴生河流域和依斯干達推介的EcoSky和EcoBotanic成功取得11億3千萬令吉銷售,集團將在今年新推4項產業發展計劃。

曾建華說,集團有5項產業計劃仍在規劃中,預見集團未來8至10年將持續忙碌。

放眼今年銷售達20億

綠盛世看好城鎮產業發展計劃需求不受打房措施影響,放眼2014和2015財政年總銷售將達到50億令吉目標。

曾建華在媒體匯報會上指出,雖然產業市場因監管單位積極打房措施有所疲軟,但相信集團專注發展的城鎮發展計劃和工業產業發展計劃等有地產業需求依舊良好,對集團影響並不大。

明年銷售冀達30億

他相信,今年集團的業務增長將加速增長,放眼2014和2015財政年產業銷售將分別達到20億和30億令吉。

另一方面,曾建華說,在完成企業活動後,集團市值料立即增長20億至30億令吉,但基於附加股尚未定價,因此實際規模有多大仍不得而知。

問及會否進軍海外市場,他透露,集團確實接獲許多質詢,但若適當的時間和機會浮現,將作審慎探討。

市場盛傳即將離開實達集團(SPSETIA,8664,主板產業組)的丹斯里劉啟盛將加入綠盛世,但曾建華對此卻不願置評。( 星洲日報/財經)

(VI)        PROPOSED AMENDMENTS TO THE MEMORANDUM AND ARTICLES OF ASSOCIATION
On behalf of the Board of Directors of EW Berhad, CIMB Investment Bank Berhad, AmInvestment Bank Berhad and Maybank Investment Bank Berhad, are pleased to announce that EW Berhad had on 25 April 2014, entered into conditional agreements for the following:
(i)             proposed acquisition of Eco Macalister Development Sdn Bhd (formerly known as Bintang Dedikasi Sdn Bhd), a wholly-owned subsidiary of Eco World Development Sdn Bhd (“EW Sdn Bhd”) (“Proposed Eco Macalister Acquisition”);

(ii)            proposed acquisition of Eco World Project Management Sdn Bhd, a wholly-owned subsidiary of EW Sdn Bhd (“Proposed EW Project Management Acquisition”);

(iii)           proposed acquisition of development rights from certain subsidiaries of EW Sdn Bhd (“Proposed Development Rights Acquisition”); and

(iv)          proposed share subscription by Eco World Development Holdings Sdn Bhd (formerly known as Maple Quay Sdn Bhd) and Sinarmas Harta Sdn Bhd of an aggregate of 806,846,852 new EW Berhad Shares (as defined below), for an aggregate cash consideration of RM1,371.6 million (“Proposed Share Subscription”).

In addition, EW Berhad intends to undertake the following:
(i)             proposed renounceable rights issue of new EW Berhad Shares (as defined below) together with new free detachable warrants (“Warrants”) to raise gross proceeds of approximately RM788.0 million before exercise of the Warrants (“Propose Rights Issue with Warrants”); and

(ii)            proposed private placement of new EW Berhad Shares, representing up to 20.00% of the then existing issued and paid-up share capital of EW Berhad after the completion of the Proposed Share Subscription and Proposed Rights Issue with Warrants, to investors to be identified at an issue price to be determined and announced later.
Prior to the implementation of the Proposed Eco Macalister Acquisition, Proposed EW Project Management Acquisition, Proposed Development Rights Acquisition and Proposed Share Subscription, EW Berhad is proposing to undertake the following:
(i)             proposed share split involving the subdivision of each of the existing ordinary shares of RM1.00 each in EW Berhad into two (2) ordinary shares of RM0.50 each in EW Berhad (“EW Berhad Shares”); and

(ii)            proposed amendments to the Memorandum and Articles of Association of EW Berhad to amend the par value of the existing ordinary shares in EW Berhad and to increase the authorised share capital of EW Berhad.

壮大规模受看好 绿盛世下一个实达?

(吉隆坡28日讯)隨著绿盛世(ECOWLD,8206,主板產业股)宣佈一系列的企业活动,其总发展价值预计是435亿令吉,市场分析员看好绿盛世的前景之余,亦相信丹斯里刘启盛將入主绿盛世。        

上周五(25日)停牌宣佈一系列企业活动的绿盛世,今天恢復交易,开市仅3分钟便上升至5.82令吉,创下1997年9月以来的盘中新高纪录。按停牌前的5.40令吉掛价计算,绿盛世共涨42仙或7.78%。

然而,绿盛世早盘大涨后开始回吐涨幅,午盘更一度跌深至5.14令吉,最终收报5.20令吉,全天下挫20仙或3.7%,成交量是352万5100股。绿盛世亦因此成为全场第10大下跌股。绿盛世上周五召开一场由首席执行员拿督曾建华主持的匯报会,说明一连串的企业活动,包括资產收购、拆细股票和集资。

在完成所有企业活动之后,该公司旗下將有4433英亩的地皮,总发展价值(GDV)是435亿令吉,市值则是42.3亿令吉。在和绿盛世管理层会面后,肯纳格研究有意开始跟进绿盛世。

肯纳格研究分析员表示,绿盛世將拨出38亿3000万令吉收购地皮,其中的20亿令吉向银行贷款,另17亿8300万令吉发股集资。绿盛世將发股给绿盛世发展控股和Sinarmas Harta私人有限公司,以进行融资。

同时,他补充,是项地皮收购的成本对总发展价值(GDV)比例是12.8%,可以说是合理的。因为大部份的地皮收购一般占其GDV的10%至15%。在完成企业活动后,绿盛世的公眾持股率预计是27.9%。

成第5大產业股

另外,该分析员亦指出,在完成上述企业活动后,绿盛世的市值將达42.3亿令吉,成为第5大產业股。绿盛世的GDV对市值比例是10倍,比其他市值达30亿令吉的產业股平均的8.3倍更具吸引力。

「假设绿盛世的產业销售按年增加15%至20%,预计该公司旗下地皮的发展价值可支撑未来7至9年的净利增长。」

在財务方面,绿盛世目前持有10亿令吉现金,净现金部位是0.25倍。分析员说,假设绿盛世的净负债率是0.3倍,意味著绿盛世可以额外举债17亿令吉来买地。

「我们再假设地皮成本是总发展价值的12%,意味著绿盛世还可增加140亿令吉的发展价值。」

另一方面,丹斯里刘启盛是否会入主绿盛世仍是一个未知数。无论如何,分析员认为刘启盛短期內料加盟绿盛世,同时相信他可以將绿盛世打造成另一个实达集团(SPSETIA,8664,主板產业股)。2013年9月至今,绿盛世已经取得11亿3000万令吉的產业销售。分析员预测,该公司2014至2016財政年的净利是5200万令吉、2.03亿令吉和4.97亿令吉。肯纳格研究给予绿盛世的除权后目標价是2.27令吉。【东方网财经】

綠盛世一夜長大

綠盛世(ECOWLD,8206,主板產業組)宣佈發股籌集17億8千萬令吉向大股東收購8項產業發展權,以便在一夜之間搖身一變成為大馬產業市場的霸主之一。

透過這次的收購、股票拆細及發股行動,綠盛世的地庫將從現有的1千326英畝擴展至4千433英畝,產業發展項目從3項增至11項,發展總值將從135億令吉擴大至435億令吉,相等於規模頓時膨脹逾3倍。

至於該集團的資本額也將從目前的2億5千330萬令吉增至11億8千210萬令吉或23億6千430萬股,共飆漲4.67倍,這還不包含逾5億張憑單轉換後的新股。

收購計劃完成後,綠盛世將崛起成為大馬股市中地庫第三大和發展總值第四大的產業公司。

這項企業將令綠盛世一夜間迅速壯大,但其股價並未跟著迎風而漲。上週一該股復牌後,開市時股價一度彈升至5令吉82仙高峰,惟漲勢曇花一現,閉市時直挫20仙至5令吉20仙。

綠盛世股價下滑,是投資者在消息證實後套利的正常市場反應,抑或是投資者不看好這項企業行動?

這項涉及龐大資金和發股的行動,有兩大因素值得關注。首先是大股東注入資產,價格是否合理?綠世盛發出新股收購,新股售價僅為1令吉70仙,是否估價太低?從而令大股東取得大批股權。

此外,該公司大量發股,令股本急速擴大逾4倍,該公司還將私下配售20%新股(近4億股),以及憑單將可轉換為5億新股,這都將帶來巨大的盈利沖淡效應。

該股停牌前挂價5令吉40仙,在1變2分拆股票後將變為2令吉70仙,高於所發售的新股估價,這都可能會對其股價帶來一定影響。

事實上,市場早已廣泛預期該公司大股東將注入資產,以及丹斯里劉啟盛在4月杪脫離實達集團(SPSETIA,8664,主板產業組)後遲早會入主綠盛世。綠盛世自去年9月起飆漲,股價從不到1令吉狂升至逾5令吉,仰賴的就是劉啟盛的名牌效應。然而隨著注入資產的計劃出爐,其股價還能走多遠?這將考驗劉啟盛的金字招牌到底能發揮多大的神奇力量。(星洲日報/投資致富‧投資茶室:李勇堅)
