联大地產放眼3亿销售额

(吉隆坡19日讯)联大地产(NADAYU,5043,主板产业股)希望2013年能取得3亿令吉的销售额。

该公司首席执行员莫哈末法立今天在股东大会後对记者表示,预计加影的65个单位丶双威的住宅和商业项目,以及Melawati的独立洋房都可在今年带来贡献。

另外,截至5月杪的未建成房产预售额为2亿5000万令吉,预计接下来推出的项目将会改善第2季的营业额。他指出,接下来的6至10个月将会在Melawati推出超级排屋丶居家办公室中价住宅,总发展价值(GDV)约3亿令吉。

另外,莫哈末法立透露加影的排屋出售率达100%;Melawati独立式洋房42%;双威的公寓则高达70%。

执行主席哈米顿则表示,位於双威的公寓项目目前正在兴建墩座部份,预料完成这部份后会吸引更多人注意,可把出售率在年尾推高至90%。

但两人亦表示,不会过度积极购地,而是视乎机会与可行性而定。该公司目前拥有160英亩地皮,如果加上合资经营项目,则地皮总额逾800英亩。

除此之外,莫哈末法立被问及房地产市场的前景时表示,市场资金仍充沛,意味着房市仍有看头。对於像联大地产这类中型公司,公司会着重於消费者的需求。莫哈末法立与哈米顿双双强调,联大地产作为利基发展商,会非常注重品牌。

恆大置地與聯大地產停牌

(吉隆坡20日訊)配合重大計劃的宣佈,恆大置地(TAMBUN,5191,主板產業組)與聯營夥伴聯大地產(NADAYU,5043,主板產業組)從明日起停牌。

兩家公司分別發表文告說,股票將從明早9時起暫停交易。

今日閉市,恆大置地以平盤價1令吉37仙掛收,聯大地產則激增18仙或16.22%,漲至1令吉29仙。(星洲網)

联大地產私有化 每股回退1.39令吉

(吉隆坡21日讯)联大地產(NADAYU,5043,主板產业股)宣佈,接获两大股东联手提出的收购献议,採取局部削资及回退每股1.39令吉资本的方式,私有化联大地產。        

根据联大地產的文告,大股东ATISIDR Ventures私人有限公司和Zhuojian联號私人有限公司,有意以局部削资及资本回退的方式,把联大地產私有化。两者目前联合持有联大地產的大约70.55%股权。

因此,在削资活动下,有大约29.45%的联大地產股票被打消。献购方之后將向其他联大地產股东退还每股1.39令吉,按联大地產6月20日的每股1.29令吉计算,相等於溢价7.75%;若按5天加权平均价(VWAP)每股1.17令吉来算,则是溢价18.8%。

联大地產表示,上述私有化活动可让献购方以外的股东,获得套利退场的机会。同时,该公司的股票流通量偏低,过去5年的单日平均成交量只有8万8138股,占市面上流动股票的0.13%。

成恆大置地股东

另一方面,联大地產发文告宣佈,和恆大置地(TAMBUN,5191,主板產业股)进行两宗子公司的股权交易。联大地產將把恆大发展私人有限公司的30%股权,以及Palmington私人有限公司的40%股权,卖给恆大置地,转手价合计是1亿1223万令吉。

恆大置地將通过现金和发股方式支付上述款项(现金为约4073万令吉,另加5500万新股,售价为每股1.30令吉)。如此一来,联大地產將成为恆大置地的股东,持有4.71%股权。

配合上述宣佈,联大地產和恆大置地今天均停牌一天,最后掛价分別是1.29令吉和1.37令吉。两者將在下周一(24日)恢復交易。[东方日报财经]

聯大地產不排除重新上市

(吉隆坡27日訊)儘管私有化和下市計劃才剛啟動,但聯大地產(NADAYU,5043,主板產業組)執行主席哈米頓表示,不排除未來重新上市的可能性。

他認為聯大地產私有化是一項進化演變的過程,將嘗試為企業增值,以跨入新階段,同時不排除未來將重新上市的可能性。

他表示,私有化後,聯大地產現有地段及計劃將如常運作,相信身為大型私人發展商的買家將為地庫帶來增值作用。

“私有化後的首個計劃將與股東艾芬伊斯蘭銀行(Affin Islamic)聯營檳城產業,預計很快可推出市場。”

對於脫售兩家公司股權予恆大置地(TAMBUN,5191,主板產業組),是否意味雙方將不再合作,他認為此做法除了可獲取現金收入,通過發股支付亦進一步加深雙方關係。

“我們向來與恆大置地維持友好關係,成為該公司股東後,將以私人企業身份參與上市公司運作,未來還有許多合作機會,相信可達致更長遠關係。”

上週五(21日),聯大地產大股東宣佈透過特定削資和資本回退活動將公司私有化,無意保留上市地位。(星洲日報/財經)

On behalf of the Board, RHB Investment Bank wishes to announce that PBMSB had on 29 August 2013 entered into a supplemental agreement with TILB in respect of the SPA to amend and vary certain provisions in the SPA (“Supplemental SPA”), the key terms of which are summarised as follows:-

(i)    PBMSB and TILB have agreed that prior to the completion of the Proposed Disposals, the parties shall cause TIDSB to redeem all of the existing 8,040,000 redeemable preference shares of RM0.01 held by PBMSB in TIDSB for a redemption amount of RM8,040,000, payable entirely in cash (“RPS Redemption”);

(ii)    PBMSB and TILB have agreed that prior to the completion of the Proposed Disposals, the parties shall cause PSB to declare and pay dividends amounting to RM40,000,000 in cash, which will be declared wholly out of PSB’s profits up to the completion of the Proposed Disposal (“Dividend Payment”). PBMSB’s share of the dividend payment will amount to RM16,000,000;
 
(iii)    As a result of the RPS Redemption and Dividend Payment amounting to RM24,040,000 in total, the Disposal Consideration shall be reduced from RM112,234,216 to RM88,194,216 (“Revised Disposal Consideration”). The difference between the Disposal Consideration and the Revised Disposal Consideration will be adjusted against the cash consideration payable by TILB while the number of Consideration Shares to be issued by TILB will remain unchanged, further details of which are set out in Section 4 of this Announcement; and

(iv)    The Cut-Off Date will be extended to 31 October 2013 or such further extended period as may be agreed between the parties.

For information purposes, the abovementioned amendments to the terms of the Proposed Disposals pursuant to the Supplemental SPA will not affect the total cash proceeds to be received by Nadayu which, together with the repayment of the Advances, shall remain at RM58.5 million.

Further details on the Supplemental SPA are set out in the attachment below.

We refer to the announcements dated 21 June 2013, 1 July 2013, 30 July 2013 and 6 September 2013 in relation to the Proposed SCR. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements in relation to the Proposed SCR.

On behalf of the Board, RHB Investment Bank wishes to announce that the Board has on 18 September 2013 received a letter from the Major Shareholders notifying the Board of an adjustment to the SCR Offer Price in view of the final single-tier tax exempt dividend of one (1) sen per Nadayu Share in respect of FYE 31 December 2012 which was paid on 17 September 2013 (“Dividend”).

With reference to the Dividend and in accordance with the provisions of Section 4 of the SCR Letter which states the following:-

“Notwithstanding the above, if Nadayu declares, makes or pays any dividend and/or distribution, the entitlement date of which is on or after the date of this Letter and before the Completion Date, the SCR Offer Price will be reduced by the quantum of the net dividend and/or distribution per Nadayu Share.”,


the Major Shareholders have reduced the SCR Offer Price by one (1) sen from RM1.39 as previously announced, to RM1.38 after adjusting for the Dividend (“Adjusted SCR Offer Price”).

Consequently, the Entitled Shareholders will receive a total capital repayment of RM92,454,204 instead of RM93,124,162 as previously announced, and the issued and paid-up share capital of Nadayu will be reduced by way of cancellation of 92,454,204 Nadayu Shares instead of 93,124,162 Nadayu Shares as previously announced.

Upon completion of the Proposed SCR, the Major Shareholders together with the Non-Entitled Shareholders will collectively hold 135,047,596 Nadayu Shares, representing the entire issued and paid-up share capital of Nadayu (excluding all the treasury shares held by the Company), instead of 134,377,638 Nadayu Shares as previously announced.
 
In addition, with reference to Section 6(b) of the SCR Letter, as the approval of the SC for the Proposed SCR in respect of the equity requirement for public companies is no longer required, the said condition precedent is no longer applicable for the Proposed SCR.

独立顾问: 合理但不公平 联大地产股东受促反对献

(吉隆坡30日讯)独立顾问大马投行认为,联大地产(NADAYU,5043,主板产业股)大股东通过选择性削资与资本回退,以进行私有化的献议虽然合理,但价格不公平,建议股东投反对票。

折价RM1.37

持股权达70.55%的大股东利佳IDR企业和Zhuojian Associates私人有限公司,早前向联大地产提出私有化献议,献议透过削资和资本回退,私有化该公司,因认为联大地产近年来的市价一直没有反映该公司的实际账面价值。

大马投行在给予股东的通告中指出:“虽然选择性削资与资本回退的私有化献议合理,但每股1.38令吉的价格,比联大地产调整后净资产(RNAV)的每股2.75令吉,大幅折价49.82%或1.37令吉,‘不公平’远远大于‘合理’。”

因此,大马投行认为,这项献议不利于愿意持有联大地产的股东。该行补充,股东应在11月18日举行的股东特别大会上投反对票。

不过,该行也强调,这项献议提供股东一个很好的机会,以显著溢价立即套现。

联大地产的交易持续偏低于1.38令吉的价格。

在过去一年,该公司的交易区间介于77仙至1.35令吉。

Pursuant to Paragraph 9.19 (23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Nadayu wishes to announce that the Company had on 30 October 2013 incorporated a wholly-owned sub-subsidiary company known as "Nada Ayu Sdn Bhd" (“NASB”) which was held via a wholly-owned subsidiary of Nadayu, Pembangunan Bandar Mutiara Sdn Bhd and Nadayu.  


NASB is a private limited company incorporated in Malaysia with a paid-up share capital of RM10,001.00 comprising 10,001 ordinary shares of RM1.00 each. The intended principal activities of NASB is investment holding.

The incorporation of NASB is not expected to have any material effect on the earnings or net assets of Nadayu Group for the financial year ending 31 December 2013.

None of the Directors and/or major shareholders of the Company or persons connected to them have any interest, direct or indirect, in the aforesaid incorporation.

私有化建议通过 联大地产料1月底除牌

(吉隆坡18日讯)联大地产(NADAYU,5043,主板产业股)95%股东通过选择性削资与资本回退,以进行私有化的建议。

如无意外,联大地产料将在明年1月底从马交所除牌。

联大地产今日召开股东特别大会讨论两项议案及进行投票,有超过150名股东出席。

在选择性削资与资本回退议案投票中,有143名持股超过4132万股或股权比例占95.51%的股东通过这项议案;提出反对的股东仅有8人,持股占5.3%或194万股。

联大地产主席兼大股东哈密顿阿都拉在股东特大上表示,公司股价长期遭低估,私有化可让股东获得更高的投资回酬。

截至9月的12个月,联大地产股价最高为1.31令吉,最低报77仙;该股今日闭市起1仙报1.36令吉,全日交投达9000股。

该公司派发予股东的通知书指出,在股东特大通过削资议案后,公司将入禀高庭提出私有化申请,如一切进展顺利,预计将在2014年1月完成现金回退及下市程序。

资料显示,在通过选择性削资与资本回退议案后,联大地产股东可获得的资本回退总额达9245万4204令吉,相当于每股1.38令吉。[南洋网财经]

ISB has not commenced operations yet. The intended principal activities are investment holding and property development.

LISTING'S CIRCULAR NO. L/Q : 69723 OF 2014

In order to facilitate the implementation of Proposed SCR, the trading of NADAYU shares will be suspended with effect from 9.00 a.m., Wednesday, 29 January 2014. The suspension will continue until the completion of the same and the subsequent delisting of NADAYU from the Official List of Bursa Securities.

聯大地產週五除牌

(吉隆坡26日訊)隨著股東將完成私有化,聯大地產(NADAYU,5043,主要板房產)將在本月28日(週五)除牌下市。

聯大地產向馬證交所報備,將于本月28日早上9時正,正式從馬股除牌。

早前報導指出,兩大股東包括ATIS IDR Ventures私人有限公司及Zhoujian Associates 私人有限公司計劃透過特定資本削減(SCR)及資本回退,展開該項私有化計劃。

透過該項特定資本削減計劃,兩大股東以外的股東將可獲得每股1.39令吉的資本回退,總值9312萬令吉。【中国报财经】
