德建每股0.105 新元 献议TXPHS退场

（吉隆坡5日讯）德建资源（TEXCHEM，8702，主板贸易服务股）向新加坡上市子公司Texchem-Pack控股（简称TXPHS）的股东，提出退场献议，每股0.105新元。
德建资源今日向马交所报备，该项献议包括所有股票。
完成该项活动后，德建资源没有打算对TXPHS现有业务作出重大改变，包括调动固定资产、调整人手及在其他交易所重新上市等。
TXPHS在2012年3月5日，就已被列入新加坡交易所（SGX）观察名单。当时，TXPHS被给予24个月的时间重组财务状况，以符合新加坡交易所要求，以便脱离观察名单。
但截至去年3月5日，TXPHS仍无法符合脱离观察名单要求，遭到新交所发出除牌通知。
不过，德建资源需要精准预测TXPHS和子公司的资产价值，多次向新交所申请延长提交合理退场献议的限期。【南洋网财经】

德建资源1995万 买公共信托产业

（吉隆坡29日讯）德建资源（TEXCHEM，8702，主板贸易服务股）宣布以1995万令吉，向公共信托有限公司（Amanah Raya Berhad，简称ARB）购买产业。
根据文告，这合约是由德建资源子公司Texchem企业（简称Texcorp）与ARB签署。
贷款75%
德建资源表示，25%的收购价将以内部资金支付，剩余的75%将向银行贷款。交易预计可在末季完成。
该公司表示，产业原本是由Texcorp所持有，随后在2005年6月时，脱售给ARB，期间以租赁方式租用产业，但拥有能以购买价买回产业的选择权。如今，Texcorp选择向ARB重新买回该产业。
文告称，该产业位于巴生谷，目前是德建资源在中马区的总部。
完成交易后，德建资源和两家联号公司可持续使用产业，并节省租金。【南洋网财经】

第3季转亏为盈 德建资源净赚165万

（吉隆坡31日讯）归功于旗下所有业务表现出色，德建资源有限公司（TEXCHEM，8702，贸易服务组）截至今年9月杪的2015财年第3季转亏为盈，净赚165万令吉，上财年同季净亏62万2000令吉。
德建资源透过大马交易所发布文告，第3季营业额由上财年同季的2亿8152万令吉，按年下跌6.9%至2亿6208万令吉。
综合2015财年首9个月的业绩表现，德建资源净利劲飚至719万令吉，上财年同期净利仅57万1000令吉。
合共3季营业额报7亿7505万令吉，上财年同期营业额共计7亿5799万令吉，涨幅为2.25%。
展望未来，德建资源表示，全球经济情况不稳定，2015年的经商环境仍极具挑战。
“鉴于集团业务多元化，餐厅业务的表现或看俏。我们预计，今年末季本地消费者需求料将改善。”
“同样的，食品业务料将在有利的环境中继续营运，主要因为兑换率、海鲜与需求持续提升。”
至于工业与聚合工程业务，德建资源预测，这两项业务将受到全球需求的影响，业务表现也有赖于全球经济逐步复苏。【光华日报财经】

德建回購資產賬面值2880萬

（吉隆坡2日訊）德建（TEXCHEM，8702，主要板貿服）回應馬證交所質詢稱，上週五（30日）完成收購的建築與地段，最新賬面淨值為2880萬令吉，對比公司收購價為1995萬令吉。
德建上週三（28日）向馬證交所報備，以1995萬令吉現金向公共信托有限公司（Amanah Raya Bhd）收購位于靈市白沙羅的3層辦公樓Wisma Texchem、3棟單層倉庫與附屬建築。
該公司上週五再呈報備文件指出，上述交易已獲股東批准，並于當日正式完成。
德建今日應馬證交所質詢提供更多交易資訊，表示上述地段佔地2萬287平方尺並持有永久地契，有關建築物與倉庫是在1994年建成，至今已有21年歷史。
由于公司沒有進行估值，故無法提供估值報告。但根據公共信託有限公司最新已審計賬目，有關資產的賬面淨值為2880萬令吉。
德建指出，公司是在2005年7月脫售上述資產給公共信託有限公司，雙方簽署了回租協議，且德建有選擇權回購是項資產。【中国报财经】

餐厅业务内部重组 德建卖寿司金70.35%

（吉隆坡2日讯）德建资源（TEXCHEM，8702，主板贸易服务股）将寿司金（Sushi Kin）70.35%股权，脱售给独资子公司，来展开餐厅业务的内部重组活动。
根据文告，德建资源周二（1日）与子公司德建餐厅系统私人有限公司（TRSSB），签署了股权售卖协议，将寿司金的351万7548股或70.35%股权，脱售给后者。
TRSSB将发行每股1令吉的2亿5678万1004股新股，给德建资源认购，从而购得这批股权。
这项内部重组活动已在周一完成，TRSSB成为了寿司金的控股公司。
德建资源指出，该活动有助专注寿司金的管理，且改善企业方针。【南洋网财经】

德建资源联营食品物流

（吉隆坡1日讯）德建资源（TEXCHEM，8702，主板贸易服务股）子公司Texchem餐厅系统有限公司，与日本公司联营，发展国内食品物流业务。
该公司在昨天的文告指出，Texchem餐厅系统和日本国分（Kokubu）集团公司，达成联营协议，于国内设立食品物流公司，从事食品物流、库存管理、销售管理和仓库营运。
国分集团于1712年在日本创立，从事批发、制造以及进出口贸易业务。
持股51%
在这项联营中，德建资源和国分集团各持51%和49%。

AND MASCOT INDUSTRIES COMPANY LIMITED ("JOINT VENTURE") | Query Letter Contents | We refer to your Company’s announcement dated 1 April 2016 in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1) A statement setting out the following:
(a) whether the audit committee of Texchem is of the view that the JVA is -
(i) in the best interest of Texchem;
(ii) fair, reasonable and on normal commercial terms; and
(iii) not detrimental to the interest of the minority shareholders,
together with the basis for its views;
(b) where the audit committee has sought an independent advice in forming its views, a statement to that effect; and
(c) where the views of the audit committee are different from the opinion of the independent adviser, if any, the reasons for the difference. 2) The total amount transacted with Mr Ng Bak Kuang and Mr Ng Bak Hwa for the preceding 12 months. | Reference is made to the Company’s announcement on the Joint Venture dated 1 April 2016 and the letter dated 6 April 2016 from Bursa Malaysia Securities Berhad in relation thereto.
The Board of Directors of the Company wishes to provide the following additional information for public release:
1. The Audit Committee of TRB has reviewed and considered all aspects of the Joint Venture and is of the opinion that the Joint Venture is in the best interest of the Company; it is fair, reasonable and on normal commercial terms and not detrimental to the interest of the minority shareholders of the Company on the basis that the Joint Venture would enable Texchem Resources Bhd. Group to tap into the technical know-how of E-Sprint Co., Ltd. and Mascot Industries Company Limited to further explore the natural resources in the Republic of the Union of Myanmar for the business activities of Texchem Marine Labutta Limited, a 65% owned subsidiary of Texchem Food Sdn. Bhd. which in turn is a wholly-owned subsidiary of the Company.
2. The Audit Committee has not sought any independent advice in forming its views on the Joint Venture.
3. There has been no transaction between the Company and/or its subsidiaries with Mr Ng Bak Kuang and Mr Ng Bak Hwa for the preceding twelve months up to the date of this announcement.

德建3年1000万攻民航配件

（檳城25日讯）德建资源（TEXCHEM，8702，主板贸服股）去年开拓新领域，首次进军航空配件工业，在未来3年內將投资1000万令吉主攻民航配件。
德建资源集团总裁兼首席执行员陈源辉今日出席股东大会后在记者会上表示，该集团在2015年开始进军航空配件工业，耗资300万令吉扩充位于北赖的工厂。
他指出，航空配件工业主要是製造机身部位，也是该集团旗下聚合物工程部门分割出来的新领域，以提供民航配件为主，其模式与汽车配件相似，但该集团目前还未有打算进军汽车配件工业。
他预计有关领域可增长1至2%，在2016年至2018年將再投资1000万令吉。
此外，德建资源集团执行主席丹斯里小西史彦说，在餐饮业方面，该集团將计划开设35间饮食店，分別是11间寿司金（SushiKing）、10间吉野家（Yoshinoya）及花丸（Hanamaru），以及4间罗多伦（Doutor）咖啡店。
他表示，罗多伦咖啡店是日本拥有最多连锁店的咖啡店，將会首次登陆大马，目前还在物色合適的地点，位置將锁定在巴生谷一带。
他说，每家咖啡店的开销约50万至75万令吉，该集团计划在大马开设3至4间罗多伦咖啡店，预计將在今年第3季开设首间咖啡店。
陈源辉指出，该集团在今年3月7日申请清真食品认证，预计大马伊斯兰发展局將会在6月至7月期间发出有关认证。
他说，全马共有100间寿司金连锁店，檳城佔7间。
该餐厅的员工有一半以上都是巫裔。
除此之外，他表示，该集团去年所获盈利当中，工业贸易佔20%，餐饮业、食品业及聚合物工程部门各佔20%。【东方网财经】 |

受累于外汇亏损 德健资源首季转盈为亏

（吉隆坡29日讯）德健资源（Texchem Resources Bhd）2016财政年首季（截至今年3月31日）转盈为亏，蒙亏221万令吉，同期净赚499万令吉，主要归咎于外亏亏损及旗下所有业务的表现欠佳。
德健资源今日向大马交易所报备，该集团蒙受350万令吉的外汇亏损，主要因为工业、聚合物工程（polymer engineering）和食品业务因令吉走挺而蒙受外汇亏损。
首季营业额按年走低7.3%至2亿5684万令吉，同期报2亿7709万令吉。此外，该集团首季并没宣布派息。
基于当前全球经济情况不稳定，这家聚苯乙烯制品（polystyrene）制造公司预见，今年的经商环境将持续挑战。
大马2015年下半年因政府落实消费税（GST）而受到负面影响，该集团也预测，餐厅业务的表现或因本地消费者需求改善而走好。
“同样的，食品业务的未来营运环境将更为有利，因捕获海鲜的数量和需求走好将带动食品业务未来数月的走势。”
德健资源表示，工业与聚合物工程业务将持续受到全球需求和领域表现所影响，并取决于全球经济逐步复苏的势头。
