Description
PROPOSED DISPOSAL OF THREE (3) PARCELS OF AGRICULTURAL LANDS BY SERAYA PLANTATION SDN BHD ("SPSB"), A WHOLLY OWNED SUBSIDIARY OF NPC RESOURCES BERHAD ("NPC"); ANDPROPOSED DISPOSAL OF A PARCEL OF AGRICULTURAL LAND BY BONUS INDAH SDN BHD ("BISB"), AN INDIRECT 70% OWNED SUBSIDIARY OF NPC
The Board of Directors of NPC is pleased to announce the following:

1. SPSB has on 15 October 2021 entered into a Conditional Sale and Purchase Agreement ("Land SPA 1") with Syarikat Kretam Plantations Sdn Bhd ("SKPSB"), for the disposal of all that three (3) parcels of agricultural lands fully cultivated together with all the infrastructures, buildings, fixtures, fittings and assets therein held under:
(i) Country Lease No. 095311078 in the locality of Mile 50, Labuk Road, District of Kinabatangan, State of Sabah measuring approximately 780.90 acres more or less {"Land 1") for RM19,522,500.00;

(ii) Country Lease No. 095311256 in the locality of Segaliud-Lokan, District of Kinabatangan, State of Sabah measuring approximately 203.20 acres more or less ("Land 2") for RM5,080,000.00;

(iii) Country Lease No. 095310464 in the locality of Mile 50, Labuk Road, District of Kinabatangan, State of Sabah measuring approximately 199.90 acres more or less ("Land 3") for RM4,997,500.00

free from all encumbrances and with vacant possession, altogether at the total sales consideration of RM29,600,000.00 ("Sale Price 1");

2. On the same date, BISB has also entered into a Conditional Sale and Purchase Agreement ("Land SPA 2") with SKPSB for the disposal of a parcel of agricultural land fully cultivated together with all the infrastructures, buildings, fixtures, fittings and assets therein held under Provision Lease No. 096290363 in the locality of Mile 50, Labuk Road, District of Kinabatangan, State of Sabah measuring approximately 924.90 more or less ("Land 4") for the sale consideration of RM23,122,500.00 ("Sale Price 2").

A supplemental Deed to the Land SPA 1 and Land SPA 2 ("SPAs") has also been entered into between SPSB, BISB and SKPSB on the same date whereby it agreed that both SPAs are deemed to be one transaction to be completed concurrently one with the other and thar if any one of the SPAs shall be repudiated and rescinded or otherwise rendered impossible for any reason whatsoever then both SPAs shall be deemed to have been repudiated and rescinded altogether notwithstanding the fact that any one of the SPAs is capable of completion independently.

Query Letter Contents
We refer to your Company’s announcement dated 15 October 2021, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1)     The name of all the shareholders of BISB together with their respective shareholdings.
2)     Description of the infrastructures, buildings, fixtures, fittings and assets together with age of buildings / duration of use as well as their carrying value based on the latest audited financial statements.
3)     Whether any valuation was carried out on the said Lands; if so, the name of the independent registered valuer, date and method of valuation and quantification of the market value. Where applicable, to also make the valuation report available for inspection.
4)     The amount to be redeemed for the Lands with the respective banks.
5)     It is disclosed that BISB is an indirect 70% owned subsidiary of NPC. In this regard, please clarify further whether the approval of the other 30% shareholders of BISB have been obtained upon the execution of the SPAs. If no, please state the reasons thereof together with the expected date of obtaining such approval.
We refer to our announcement dated 15 October 2021 and your letter dated 20 October 2021 with reference number IQL-20102021-00003.

(b) legal and/or beneficial interest in 3 parcels of palm oil agriculture lands (“Property 2”) measuring in total 4,954.00 acres more or less situated in the District of Labuk & Sugut, State of Sabah held by BISB, at a sale consideration of RM108,988,000.00 (“Land SPA 2”); and

(c) legal and/or beneficial interest in 4 parcels of palm oil agriculture lands (“Property 3”) measuring in total 2,299.75 acres more or less situated in the District of Labuk & Sugut, State of Sabah held by KMSB, at a sale consideration of RM50,594,500.00 (“Land SPA 3”).
