（吉隆坡8日訊）配合重大企業宣布，健基興業（PRDUREN，8613，主要板房產）向馬證交所申請停牌獲准，今日下午12點20分開始暫停交易，但未停牌股價已先失血，早盤下跌25仙至1.80令吉。

該股今早以1.98令吉開盤，先跌7仙，股價再節節衰退，最后交易價停留在1.80令吉，挫25仙或12%；半日成交量9000股。

健基興業向馬證交所提出申請，依上市條例3.1（b）有重大宣佈為由，自今日下午12點20分停牌。

（吉隆坡8日讯）以拿督卡玛鲁丁为首的8个单位，今日收购健基兴业（PRDUREN，8613，主板产业股）达69.3%股权后，触碰无条件强制性全面献购机制，因此献议1.60令吉全购该公司。

健基兴业向马交所报备，全购活动由M&A证券代表卡玛鲁丁和相关单位提出。

根据文告，健基兴业大股东TS LAW集团私人有限公司是通过售股协议，将达69.3%股权，脱售给卡玛鲁丁、斯瓦古马、Trillion Icon、Amira产业、Paling Terbilang、Intelek Kuasa、Mizreen资本及Accentvest共8个单位。

不过，卡玛鲁丁及伙伴们均有意维持健基兴业的上市地位。

同时，健基兴业董事部指出，已对上述全购献议做出考虑，不会寻求替代献议，且将委任独立顾问来针对这项献购做出评估。

8150万售酒店业务

另一方面，健基兴业与Jerusan Indah签署买卖协议，以总值8150万令吉，将旗下Advantage Equity、Balance Focus和GrandSentosa酒店管理服务全数股权脱售给后者。

Advantage Equity的售价为7180万令吉；Balance Focus以130万令吉的价格转手；Grand Sentosa酒店管理服务则售10万令吉。

健基兴业也与Meridian Hectares私人有限公司签署买卖合约，以830万令吉，脱售旗下Landmark Zone的30%股权予后者。

配合重大企业宣布，健基兴业自今天中午12时20分起暂停交易，股价收在1.80令吉，单日下跌25仙，或12.2%。

该股将在明日恢复交易。

儘管大市欠佳，惟健基興業股價全然未受動搖，盤中還一度上探2令吉30仙，漲25仙，最終以2令吉20仙收市，全天漲15仙，成交量57萬9千股。

據瞭解，嘉瑪魯丁與馬茲蘭是在以每股1令吉60仙向原任大股東TS Law集團收購健基興業69.3%股權後，崛起成最大股東，並順勢以同樣價格向其餘股東提出全購。

健基興業的名人效應

名人主題股看來再次掀起熱潮。健基興業（PRDUREN，8613，主板產業組）股價直衝2令吉60仙，遠超前首相敦阿都拉兒子拿督卡瑪魯汀上週一提出的每股1令吉60仙獻購價。

值得一提的是，投資者為卡瑪魯汀和他可能為健基興業帶來的發展，給出了極高溢價。目前，以每股2令吉60仙計算，健基興業的市值達3億5千零80萬令吉。有趣的是，這家擁有相同房產業務的公司，今年1月接獲丹斯里劉天成的獻購建議時，估值僅有1億4千840萬令吉，每股為1令吉10仙。

劉天成在獻購期限於2月結束時，將健基興業的持股從19.27%提高到71.42%。雖然他的出價是毫不吸引的1令吉10仙，但股東售股意願之高，讓人大感意外。這個價位低於健基興業的每股淨有形資產1令吉57仙。

不過，在不到10個月後，劉天成賣出了健基興業的69.3%股權－－售價是每股1令吉60仙－－予卡瑪魯汀，達雅集團（DAYA，0091，主板貿服組）前副主席、總裁兼首席執行員拿督瑪茲林，以及MASTERSKILL教育（MEGB，5166，主板貿服組）執行主席西瓦。

現在，卡瑪魯汀和瑪茲林必須以每股1令吉60仙提出全面獻購，可這不會有人在乎，畢竟健基興業的股價已經漲破這個價位，雖然其基本面未有任何明顯的改變。

市場的傳言是，非常熟悉油氣業的卡瑪魯汀和瑪茲林，可能將新資產注入健基興業。同時，根據健基興業與劉天成提出的交易，該公司將以8千140萬令吉現金價，將部份房產資產回售劉天成。說不定這是該公司核心業務轉變的前兆。

（吉隆坡18日讯）从丹斯里刘天成手中购入健基兴业（PRDUREN，8613，主板产业股）股权后，前首相敦阿都拉儿子拿督卡玛鲁丁为首的8个单位，跃升为大股东行列。

健基兴业今日发布文告，卡玛鲁丁直接持股9.26%，并通过Amira产业、Intelek Kuasa、PalingTerbilang和TrillionIcon4家公司，间接持股33.06%股权。

同时，Reach能源（REACH，5256，主板特殊收购股）前董事拿督马兹林莫哈末，则通过Accentvest和Mizzren资本公司，间接持有21.79%股权。

刘天成上周二（9日）通过旗下的TSLaw集团，脱售健基兴业的9350万股或69.3%股权，卸下大股东身份。

健基兴业拟沽清房产 转攻油气及投资业务

（吉隆坡26日讯）健基兴业（PRDUREN，8613，主板产业股）将会脱售现有产业资产，转而关注在与油气领域相关的利基产业发展和投资业务。

新大股东拿督卡玛鲁丁，也是前首相敦阿都拉儿子，与达雅集团（DAYA，0091，主板贸服股）前任总裁和总执行长拿督马兹林莫哈末（联合献购人）作出上述决定，两人在油气领域皆拥有丰富经验。

健基兴业表示，两者不仅在产业发展拥有商业利益和经验，还有油气领域，他们相信能够为公司的商业和财务表现带来贡献，进而提升价值。

他们会探讨的产业发展和投资利基市场，将会是油气相关产业发展，如供应基地、岸内住宿和房地产，扶持油气领域。

去年末，卡玛鲁丁和马兹林莫哈末以每股1.60令吉或总值1亿4960万令吉，向丹斯里刘天成的TS LAW集团私人有限公司，收购健基兴业的69.3%股权。

之后，他们以每股1.60令吉，展开全面献购剩余30.7%。

两人表示，有意保持健基兴业上市地位。

独立顾问： 不公平不合理 健基兴业股东应拒绝献购

（吉隆坡5日讯）独立顾问指出，健基兴业（PRDUREN，8613，主板产业股）大股东的全面献购“不公平且不合理”，建议其他股东拒绝献议。

独立顾问KAF投资银行表示，健基兴业的整体估值是介于2.17亿至2.31亿令吉，相等于每股1.61至1.71令吉。

由前首相敦阿都拉儿子拿督卡玛鲁丁为首的8个单位，因收购健基兴业69.3%股权后，触动无条件强制全面献购机制，献议以每股1.60令吉全购该公司。

联合献购方都有意维持公司上市地位，就算取得超过90%，他们也无意献购其余股权。

独立顾问指，献购价是合理估值的折价0.62%至6.43%。

这也反映出，大股东的献购价不公平。

估值折价6.43%相比起5天、1个月、3个月和半年的交易量加权均价（VWAP），献购价也是偏低，折价0.18至21.95%。

健基兴业今天以全天最高水平1.98令吉挂收，上扬5仙或2.59%，成交量达到3万8300股。

该股一度在全购消息出炉后，飙上2.60令吉的历史新高。

卡玛鲁丁是直接持股健基兴业9.26%，并通过Amira产业、Intelek Kuasa、Paling Terbilang和Trillion Icon 4家公司，间接持股33.06%。

同时，Reach能源（REACH，5256，主板特殊收购股）前董事拿督马兹林莫哈末，则通过Accentvest和Mizzren资本公司，间接持有21.79%股权。【南洋网财经】

合理等於不合理？

由前首相敦阿都拉之子拿督卡瑪魯汀和夥伴聯手泡製的健基興業（PRDUREN，8613，主板產業組）全購案，遭獨立顧問KAF投資銀行回予“不公平兼不合理”評價，並建議股東拒絕。

細看獨立評估報告，KAF投行是基於認為健基興業每股綜合估值介於1令吉61仙至1令吉71仙之間，比買方的1令吉60仙出價高0.62至6.43%，加上業務保持穩定，才會以“不公平”來回應全購提案。

至於“不合理”，則是因考慮到一旦無意私有化的全購方累積超過75%股權，導致公眾持股落後上市要求，健基興業的股票可能停牌，損害股東的權益。

然而，KAF投行其實早在2013年杪，或13個月前，就曾因丹斯里劉天成向健基興業提出全購，而發佈了一分獨立評估報告，讓我們先看看兩份報告之間的差異。

當時，劉天成提出以每股1令吉10仙全購健基興業，而KAF投資銀行給予的評價是“不公平但合理”。

認為“不公平”，是由於以綜合估值法（SOP）算出的合理價為每股1令吉78仙；“合理”評價，則是因考慮到健基興業財務表現波動、股票流通性低和派息紀錄差。

從兩份相隔13個月、用於評估同一家上市公司的報告中，就能發現獨立顧問的評估標準和考量似乎有些不同。

首先，是13個月前的1令吉78仙合理價，高於最新報告中的1令吉61仙至1令吉71仙，健基興業在這期間除建議以總數約8千萬令吉脫售旗下部份公司的股權外，就再沒涉及其他企業活動，公司業績更比前期明顯好轉，合理價低於前期儼然存有爭議空間。

再者，就是KAF投行13個月前給予全購案“合理”評價的其中兩大主因，包括有股票流通性低，及派息紀錄差，儘管健基興業兩個月前一度因前首相之子的名人效應而價量雙升，但不足以掩蓋流通率不足、甚至遜於前期的事實，因掌握在大股東手上的股票遠勝前期，而且仍未打破10年不曾派息的僵局。

簡單地說，即是KAF投行13個月前給予全購案“合理”評價的顧慮仍在，但13個月後卻以另一套說法，將“合理”改為“不合理”。

更何況，“公眾持股落後上市標準進而導致停牌”的風險，在每一宗有意保持上市地位的全購案中都會存在，包括劉天成前期提出的全購，以此作準，則意味所有全購都不可能合理。

上述情況顯示，市場獨立顧問的評估標準和考量，未必統一，也未必100%精準；那麼，牽涉全購或私有化的提案，其實是不是該委任一位以上的獨立顧問來進行評估，才能為股東提供更全面、客觀的意見呢？（星洲日報／投資致富‧投資茶室：李三宇）
