雪兰莪实业净利跌8%

(吉隆坡30日讯)雪兰莪实业(SPB,1783,主板产业股)第三季净利下滑8.18%,至3480万5000令吉,低于上财年同季3790万6000令吉。

雪兰莪实业第三季营业额从2012财年的5704万7000令吉,微扬1.52%,至2013财年的5791万5000令吉。

由于公司旗下的产业发展业务延后推介新计划,导致公司营收降低和盈利下跌。此外,公司澳洲业务第三季也蒙受1280万令吉外汇亏损。

雪兰莪实业现财年首9个月净利上升22.58%,报6099万7000令吉;营业额按年扬升6.66%,至现财年首9个月1亿7975万2000令吉。[南洋网财经]

开价3.6亿每股RM2.53 南方资本献议私有化精英国际

(吉隆坡5日讯)南方银行(Southern Bank)前总执行长丹斯里陈仲宪持有的私募基金———南方资本(Southern Capital),献议以每股2.53令吉,或相当于3.6亿令吉,将精英国际集团(HELP,7236,主板贸服股)私有化。

这项献购案由Better Education Enteprise(简称BEE)提出,最终献购方为南方资本。

南方资本基金规模达25亿令吉,陈仲宪则于南方资本及BEE持股100%。

溢价10.77%

精英国际集团于周三(4日)闭市收报2.29令吉,BEE提出的献购价相当于溢价24仙或10.48%,或相等于5天交易量加权平均价格(VWAP)溢价10.77%。
献购价格也相当于该公司本益比的26.58倍,及价格对账面价值的2.65倍。

报备文件指出,献购方无意保留精英国际集团上市地位,南方资本必须在献购截止日前取得超过50%的股东同意。

精英国际集团由拿督陈德鸿和太太即现任总执行长拿汀刘金玉发表文告表示,在完成并购作业后,陈氏家族依然会与精英国际集团管理层及南方资本配合,继续为我国学子提供优质教育。

已获59.67%股权

持股51%的大股东雪兰莪实业(SPB,1783,主板产业股)、精英国际集团执行董事陈耀坚(4.37%)、陈德鸿(1.88%),及刘金玉(2.42%),已接受献购建议,这意味着南方资本已取得59.67%股权,或相当于8476万1049股。

雪兰莪实业也发文告指,该公司在完成股权脱售后,可进账1亿8328万令吉,预计净利可达1亿1910万令吉,相当于每股盈利34.7仙,同时,该公司的每股净资产值也将增加34.7仙。

雪蘭莪實業 淨利揚78%

(吉隆坡30日訊)雪蘭莪實業(SPB,1783,主要板房產)重估旗下房產投資,獲利帶動2013財年末季淨利按年攀高78%至3434萬令吉。

不過,基于業務表現失利,該公司截至10月底末季稅前盈利按年滑落13%,至4926萬令吉。

雪蘭莪實業今日向馬證交所報備,截至10月底末季營業額按年微揚7%,報5974萬5000令吉,資產重估獲利,帶動每股盈利從5.61仙改善至9.99仙。

該公司全年營業額按年增6.7%至2億3950萬令吉,淨利揚38%報9534萬令吉。

另廂,雪蘭莪實業在另一份報備文件說,10月底重估旗下9項資產,投資獲利溢價4590萬令吉,等同每股淨資產增10.9仙;截至10月底,9項資產市值5億8020萬令吉。[中国报财经]

-        REVALUATION OF PROPERTIES
The Board of Directors of SPB wishes to announce that the Company had undertaken a revaluation exercise on all its investment properties (hereinafter collectively called as “Asset”) held by SPB and its subsidiaries (collectively called “the Group”).
The purpose of the revaluation is to comply with the accounting standards under the Financial Reporting Standards (“FRS”) 40 on Investment Properties.

Following the revaluation exercise, there is a revaluation surplus for an aggregate amount of RM45.9 million, details as set out in the table below.

This will result in an increase of 10.9 sen in the net asset per share of SPB.

The valuation on the Asset was conducted by VPC Realtors (KL) Sdn Bhd (formerly known as Vigers Realtors (KL) Sdn Bhd). The date of valuation for the Asset is as at 31 October 2013.

The total value placed on the Asset by the valuer is RM580.2 million.

The valuation report of the Asset is available for inspection at the Registered Office of the Company at Lot 6.05, Level 6, KPMG Tower, 8 First Avenue, Bandar Utama, 47800 Petaling Jaya, Selangor Darul Ehsan during normal office hours from Monday to Friday (except for Public Holidays) for a period of three (3) months from the date of this announcement.

卖白沙罗市中心地段 雪兰莪实业进账4.5亿

(吉隆坡3日讯)雪兰莪实业(SPB,1783,主板产业股)将以4亿5000万令吉,脱售位于吉隆坡的6.34英亩地段。

雪兰莪实业向马交所报备,旗下的Bungsar Hill控股私人公司、Oriseven私人公司和Orinine私人公司,决定接受JendelaMayang私人公司的收购献议。

有关土地坐落在白沙罗市中心(Pusat Bandar Damansara,简称PBD),作为公众停车场,每年进账约43万3500令吉。

Bungsar Hill控股去年5月与捷运公司(MRT Corp)签署协议,Bungsar Hill控股需负责兴建连接捷运站的入口通道和停车场设备。

配合最新脱售行动,Jendela Mayang将需承担有关工程。

雪兰莪实业也提到,脱售所得其中2亿3700万令吉,将用作偿还贷款,而2亿1250万令吉则充作营运资本或日后用于收购土地。【南洋网财经】

林晓春拨4.5亿购地 在白沙罗掌拳脚

(吉隆坡4日讯)马顿有限公司(MALTON,6181,产业组)执行主席暨柏威年实业信托(PAVREIT,5212,实业投资信托)主席拿督林晓春,继透过旗下一家公司收购吉隆坡白沙罗市中心2.57公顷地段后,相信将会进一步加强其于该地区的据点。

雪兰莪产业有限公司(SPB,1783,产业组)早前宣布,以4亿5000万令吉或每平方尺1628令吉,出售上述地段予Jendela Mayang私人有限公司,并让前者获得3亿7620万令吉赚益。

林晓春也透过Impian Eskspresi私人有限公司,在白沙罗市中心拥有大约3.88公顷地点,并计划重新发展上述地区。

继最新收购后,整项发展的总额,将超过初期预估的30亿令吉发展值,这包含11座建筑。

白沙罗市中心预料将从2个将于2017年建竣的邻近捷运站,即瑟曼丹和白沙罗市中心站受惠。

雪兰莪产业也透露,在上述土地收购交易中,Jendela Mayang将承担该集团的所有权力和责任,以设计与兴建上述捷运站的出入口通道、路边设备和停车设备。这项交易尚待捷运机构私人有限公司同意。

与此同时,4亿5000万令吉的土地价格,比2013年10月31日止1亿820万令吉净市值高出4倍。

雪兰莪产业独立顾问把上述地产的商业用途评值是3亿令吉。

该公司是于1995年12月以1亿660万令吉代价买入上述地段。

雪兰莪产业计划在一年内利用2亿3700万令吉偿还借贷,及2亿1250万令吉充作3年内的营运资本与收购用途。全面偿还借贷预料将让集团节省1420万令吉

该集团说,脱售预料将在2015年10月31日止财政年的首季完成,惟不会对该集团2014财政年收益产生任何实质影响。

售地獲看好 雪蘭莪實業創6年新高

(吉隆坡4日訊)雪蘭莪實業(SPB,1783,主要板房產)脫售白沙羅城中心(Pusat Bandar Damansara)土地獲看好,利好推高該股走高,一度上漲22仙至5.10令吉,創6年新高紀錄。

雪蘭莪實業開盤先起10仙,以4.98令吉迎戰馬股,隨后該股持續高漲,一度上漲22仙至5.10令吉,創下6年來新高紀錄。午盤間,該股暫掛在5.03令吉,起15仙,半日成交量達29萬1900股。

閉市時,該股收在5.07令吉,漲19仙,成交量達38萬2500股,為十大上升股之一。

雪蘭莪實業日前建議以4億5000萬令吉,脫售一塊佔地2萬5686平方尺的白沙羅城中心土地給Jendela Mayang私人有限公司,以籌資供償還貸款、資本開銷和收購潛在土地。

目前,該土地初步投資成本為1億660萬令吉,截至去年10月底淨賬面值達1億920萬令吉,脫售后可取得3億7620萬令吉收益,相等于每股1.09令吉。

净利激增7倍 雪兰莪实业首季赚1.5亿

(吉隆坡28日讯)由于早前脱售精英国际(HELP)股权从中获利1亿3100万令吉,雪兰莪实业(SPB,1783,主板產业股)2014財政年首季(截至1月31日止)净利按年激增7倍,从去年同期的1936万令吉,增至1亿5526万令吉。        

然而,该公司2014財政年首季营业额却按年大跌36.3%,至3891万令吉,相比去年同期的6107万令吉。

澳洲业务蒙亏

雪兰莪实业在文告中指出,该公司取得较高的盈利表现,主要是因为脱售精英国际股权,取得一次过1亿3100万令吉的获利,同时该公司也取得3060万令吉的外匯兑换盈利,因为美元和新元兑令吉走强。

不过,该公司指出,它在澳洲的营运则蒙受160万令吉亏损,相比去年同期取得500万令吉盈利。

该公司补充说,「排除任何无法预期的事项,公司预计在大马和澳洲的营运將在今年维持正面。但是,基于在海外有进行投资,公司的盈利则要胥视匯率的波动。」【东方网财经】

7.5亿发展项目动工 雪实业明年营收料大涨

(吉隆坡28日讯)随着两项总值7亿5000万令吉的发展项目动工,雪兰莪实业(SPB,1783,主板产业股)放眼在截至明年10月杪的2015财年营业额,取得大涨。

至于2014财年,因缺乏新推介,营业额预计增长平平。该公司在近期脱售教育业务。

雪兰莪实业财务总监李文坚向《Malaysian Reserve》财经日报表示,公司正为旗下项目寻求批准,并规划推广策略。

该公司2013财年净赚1亿250万令吉,2012财年则净赚7560万令吉。

截至1月31日首季,净利从上财年1930万令吉,大幅增至1亿5520万令吉,主要受益于脱售精英国际集团(HELP,7236,主板贸服股)股权。

李文坚希望今年营业额维持一贯水平。

(吉隆坡23日訊)雪蘭莪實業(SPB,1783,主板產業組)以高價脫售白沙羅高原地庫,分析員認為相信隨著巴生河流域捷運效益不斷揮發,其白沙羅高原資產將是一大金礦,集團估值重估因素仍遭小覷,估值可能高達每股8令吉62仙,比現有股價潛存38至49%上漲空間。

興業研究指出,當巴生河流域捷運一號線在年前公佈時,市場已預期雪蘭莪實業將是主要受惠者之一,但其估值重估因素仍叫市場小覷。

白沙羅土地是大金礦

“雪蘭莪實業早前以4億5千萬令吉脫售白沙羅市中心佔地6.34英畝土地,但集團現仍握有白沙羅高原約150萬平方呎的土地/資產,料可從創紀錄的售價、捷運網絡和潛在高地積比率(Plot Ratio)中受惠。”

興業補充,由丹斯里林曉春主導白沙羅市中心商場(PBD)重新發展計劃將在今年第三季啟動,整個計劃的地積比率可能達到8倍,將涵蓋11棟辦公樓、服務公寓和零售商場,發展總值料達到30億至40億令吉,而一旦其與新購置地庫進行整合,整體價值有望更上一層樓。

“林曉春成功發展柏威年廣場,而隨著PBD重新發展計劃,他也向雪蘭莪實業買進鄰近的地庫來作為整合之用,相信隨著捷運效益日趨顯著,相信若雪蘭莪實業有意賣出剩餘的12.6英畝停車場用地,其潛在價值將更高。”

不會再派特別息

另一方面,雪蘭莪實業將利用脫售精英國際所得派發每股20仙特別單層股息,但興業說,集團料不會在完成相關土地脫售後再次派息,將在償還2億3千700萬令吉債務後,把其餘的2億1千300萬令吉用在地庫和營運資本上。“若集團成功購得策略性地苦,將是扭轉乾坤的重要關鍵。”

目前,雪蘭莪實業計劃推出總值4億至5億令吉的高檔公寓發展計劃,並在年杪推介鵝嘜和士拉央有地產業發展計劃。

興業說,隨著雪蘭莪實業在今年1月完成脫售精英國際(HELP,7236,主板貿服組)計劃,其現金盈餘和交易投資價值已達到8億5千100萬令吉,而整體金額將在上述土地脫售計劃完成後進一步攀升至12億3千萬令吉,相等於9億4千600萬令吉淨現金,幾乎是集團19億9千萬令吉市值的一半。

“我們相信雪蘭莪實業現6令吉12仙股價遭到低估,主要是其土地價格仍未重估,而建築重估也受到資本化利率(Cap Rate)抑制,並未反映重新發展後價值。以30至35%的每股重估淨資產值(RNAV)折價水平來看,其估值可能達到8令吉零1仙至8令吉62仙,比現有股價潛存38至49%漲勢。”(星洲日報/財經‧報道:洪建文)

雪兰莪实业净利跌18%

(吉隆坡27日讯)雪兰莪实业(SPB,1783,主板产业股)2014财年次季净利跌18.1%,写559万2000令吉;营业额挫53.7%,报2814万5000令吉。

上半年而言,净利则涨514.1%,达1亿6085万8000令吉;营业额挫58.8%,报5020万令吉。

该公司通过文告表示,净利走低主要是因为高基础效应,因上一季脱售精英国际集团(HELP)取得1亿1310万令吉的脱售收益。

另外,投资产业重估也写下1190万令吉的重估收益。

由于延迟推出新楼盘,房产业务蒙亏40万令吉。投资控股方面,也蒙亏680万令吉,归咎于外汇亏损;上一季乃取得3060万令吉的外汇收益。【南洋网财经】

雪蘭莪實業第3季淨利挫 78%

(吉隆坡25日訊)新房產計劃延遲推出,導致房產發展業務表現欠佳,雪蘭莪實業(SPB,1783,主要板房產)截至7月底第3季,淨利按年重挫78%至768萬9000令吉,每股盈利也從10.13仙大減至2.24仙。

雪蘭莪實業向馬證交所報備,匯率虧損拖累澳洲業務表現,同期營業額大跌60%至2358萬6000令吉。

根據報備文告,截至本財年首9個月,營業額下滑近60%至7378萬6000令吉。相反,房產投資和教育業務良好表現,激勵淨利大漲1.76倍至1億6854萬令吉。

雪蘭莪實業看好,房產投資業務將維持走穩,加上目前在檢討其發展計劃,預計能在明年推出新房產計劃。若無意外,雪蘭莪實業估計能取得正面的全財年業績。【中国报财经】

雪蘭莪實業4.5億售地

(吉隆坡30日訊)雪蘭莪實業(SPB,1783,主要板房產)与 Jendela Mayang簽署買賣協議,以4億5000萬令吉脫售一塊占地2萬5686平方尺土地。

雪蘭莪實業透過3家子公司進行此土地脫售活動,售地所得資金,有2億3700萬令吉供償還貸款,2億1250萬令吉作為營運資本或收購開銷,另500萬令吉作為此土地買賣相關費用。

該公司在償還貸款后,以平均6%年利率計算,估計可剩下1420萬令吉利息。

有關土地截至2013年10月底淨賬面值為1億820萬令吉,售后料取得3億7620萬令吉,但公司將不再獲得來自該土地每年約12萬3600令吉的盈利貢獻。

雪蘭莪實業指上述交易有助釋放土地價值,並將負債率從0.4%降至零。【中国报财经】
