亚弘拟削资每股回退RM1 . 10

（吉隆坡6日讯）亚弘电器（Yahorng，7196，主板工业产品股）计划通过削资与资本回退现金每股1.10令吉给股东，进行私有化活动。

亚弘电器在致大马交易所的文告中表示，上述建议是根据无享有权的股东，包括许雯婷、黄珍爱以及洪书良（人名皆译音）的要求进行。

该公司指出，配合上述活动，有享有权的股东，将在享有权益日期获得现金每股1.10令吉。

回退总额2540万

文告显示：“亚弘电器将根据公司与子公司的现金状况，通过内部融资，筹措上述资金。”

截至10月31日，亚弘电器的缴足资本为4640万令吉，包括4640万股。

该公司在削减2540万股，相等于有享有权股东持有的49.8%股权后，缴足资本将会随之滑落。

因此，这些股东将获得的资本回退总额为现金2540万令吉。

亚弘电器预计，这些活动将在明年首半年完成。

亚弘电器献购私有化 顾问建议股东接受

（吉隆坡31日讯）亚弘电器（YAHORNG，7196，主板工业产品股）独立顾问———达证券，建议股东投票通过该公司的私有化活动。

亚弘电器董事和主要股东，是在去年11月提出通过削资与资本回退现金，达证券表示，有关资本回退活动提出的每股1.10令吉现金，虽不公平但仍合理，因而建议股东接受献议。

该独立顾问表示，每股1.10令吉在与其最新每股净资产比较下，折价37.1%；至于公司的价格对账面价值率（Price-to-book ratio）则比同行估值来得低。因此，有关献购并不公平。

但是，达证券认为有关献购仍合理，因亚弘电器在有关献议宣布前12个月以及截至今年7月24的的股价，都比1.10令吉来得低，提供股东一个离场的机会。

流通量低

此外，亚弘电器的低流通量，或让投资者难以在公开市场脱售股权，尤其是持大批股权的股东。

在需求疲弱、原料成本走高，以及外汇波动冲击下，亚弘电器财务表现也受到影响。

达证券表示，该公司在2008至2013年的营业额开始下滑，并在2011至2012年出现亏损。

至于亚弘电器周息率仅为6.4%，比起同行的11.8%来得低。[南洋网财经]

亞弘向馬證交所報備，亞弘將在11月6日（週三）早上9時開始暫停交易，以執行選擇性資本削減及回退。

亞弘于2012年11月1日宣布，接獲台灣大股東黃晉益、許文鼎及洪書良（譯音）的私有化建議，有意進行選擇性資本削減及回退活動。

三人無意維持亞弘電子的上市地位，一旦完成上述企業活動，亞弘將被除牌。

該公司繳足股本與資本將削減至2099萬4360股或同等數額。
