陈志成倒置收购耀贝多

（新加坡20日讯）丽阳机构（TROP，5401，主板产业股）执行副主席丹斯里陈志成，将把资产注入新加坡上市公司耀贝多（Albedo），并以倒置收购取得该公司的控制股权，借此让耀贝多跨足房地产发展领域。

耀贝多已向新加坡证券交易所报备，计划以7亿7410万新元（约19亿6505万令吉），收购Infinite Rewards机构子公司———Reflections Oasis机构，这些公司皆为陈志成相关公司。

耀贝多将发行345亿5000万附加股给Infinite Rewards机构，附加股每股价格约为0.0224新元（约6仙），完成收购后，Infinite Rewards机构将持有耀贝多95%股权。

在这项宣布后，耀贝多股价在早盘时随即滑落13%，因预期这项企业活动将导致股权稀释。

跨足房产领域

耀贝多前一日市值达1亿1500万新元（约2.92亿令吉）。

耀贝多主要业务为钢铁铸造，该公司在报备文件中指出，近年来，现有的贸易活动竞争激烈，加上需求下降，以及钢铁相关的原料价格飙涨一再压缩该领域赚幅，使得公司计划扩展业务至房地产发展领域。

Albedo has agreed to a $774 million takeover by a company controlled by Malaysian businessman Danny Tan in a deal that will see Albedo join international property developers buying up land in Malaysia’s sought-after Iskandar region.

Shares of Albedo fell as much as 13% in early trading in Singapore in response to a transaction that will see existing investors’ holdings diluted.

Singapore-based Albedo plans to issue 34.55 billion new shares at $0.0224 per share to Tan’s Infinite Rewards Inc, equal to about 95% of the enlarged Albedo’s stock.

Albedo will use proceeds to buy Reflections Oasis Inc, a subsidiary of Infinite Rewards which is in the process of acquiring seven parcels of land in Malaysia for commercial, industrial and residential development.

Based on an estimate by Knight Frank Malaysia, the aggregate market value of the land is about 2.71 billion ringgit ($1.07 million) as of Aug. 30.

The development of the Iskandar region, in Malaysia’s southern state of Johor, is spearheaded by the country’s state investment arm Khazanah Nasional Bhd and has attracted companies including CapitaLand Limited , Southeast Asia’s largest property developer.

Shares in Albedo fell to $0.066 in early trading, compared with a record high of $0.077 hit as recently as Sept. 12.

Albedo had a market capitalisation of $115 million at the close of the previous trading session, before the Infinite Rewards deal was announced.

耀贝多(Albedo)将通过反向收购计划收购Reflections Oasis，以转型为一家房地产商。收购对象的控股公司Infinite Rewards已承诺将确保交易能顺利完成。Relfection Oasis拥有位于马来西亚柔佛州振林山的七幅地皮。而耀贝多将发行346亿股股票来收购价值7亿7,400万元的Reflection Oasis。Infinite Rewards为这宗反向收购计划委聘了或即将委聘建力企业财务策划(PrimePartners Corporate Finance)、摩根士丹利亚洲(新加坡)(Morgan Stanley Asia (Singapore))、德勤(Deloitte & Touche)及Lee & Lee律师事务所等著名的专业服务机构。Infinite Rewards企业金融部门的执行董事Leong Choon Meng表示，如果Infinite Rewards不重视此计划，便不会花大笔钱委聘专业服务机构。

（吉隆坡19日讯）消息人士透露，丽阳机构（TROP，5401，主板产业股）执行副主席丹斯里陈志成将终止把私人拥有的柔佛土地，注入新加坡上市公司耀贝多（Albedo），原定的倒置收购计划告吹。

《星报》引述消息人士报道，陈志成和耀贝多大股东因无法达成共识，所以将取消该项计划。

消息人士解释：“陈志成想要把土地注入耀贝多后得到现金。

无论如何，他未放弃，还有很高的机会将利用另一方式来整合他本身在柔佛所拥有的土地。”

早前，陈志成通过所掌控的TemasyaCergas私人公司，建议以售地换股的方式，倒置收购耀贝多。

且耀贝多与Temasya Cergas私人公司签署了备忘录，以收购后者在依斯干达区的规模约762英亩的土地。

同时，耀贝多原本计划发新股予陈志成，让他成为耀贝多大股东。

The Star Online has reported that Danny Tan is aborting his plans to inject his prized Johor land into Singapore-listed Albedo, a company whose share price shot through the roof late last year on speculation that it would become a new “Iskandar play”.

Sources said talks between Tan and the major owners of Albedo – a loss-making steel and raw materials company – broke down after they failed to agree on the terms of the sale.

Tan had planned a reverse takeover of the Catalist-listed Albedo following the injection of his 762-acre tract of land in Johor.

It is learnt that both parties have mutually agreed to end the deal and are in the midst of making their announcements soon.

“Tan would have preferred to be paid in cash. He’s not giving up though. There is a strong possibility that he will either use another vehicle or embark on a different sort of amalgamation exercise for this Johor land,” explained one source.

Albedo’s share price had quadrupled when this deal was first announced last September, but has been seeing some selling pressure over the past few weeks.

The counter had shot up from two cents last August to a high of eight cents on Sept 19. It had trended downwards to end yesterday at 5.2 cents on a volume of 170 million shares.

Albedo had signed a memorandum of understanding with Tan’s private company, Temasya Cergas Sdn Bhd, to purchase land in Iskandar. Albedo was supposed to satisfy the purchase consideration largely by allotting new shares to Tan’s vehicle, thereby giving him major ownership of the Singapore company.

The value of the transaction was tagged at around $774 million. Tan’s Johor land is made up of seven parcels with a total area of 762 acres in Gelang Patah.

These agricultural sites have been earmarked for commercial, industrial and residential development. Based on a valuation by Knight Frank Malaysia, the total market value of the properties was about RM2.71 billion ($1.05 billion) as at Aug 30 last year.

Albedo, in a response to a query by SGX on its unusual price movements in its shares today, has attributed the price volatility to the article “Danny Tan’s S’pore listed Albedo deal off?” published on the Malaysian news portal “The Star Online” on 19 March 2014.

The article said: “It is learnt that both parties have mutually agreed to end the deal and are in the midst of making their announcements soon.”

Albedo says the statement is incorrect as the parties to the proposed acquisition have not reached any mutual agreement, verbal, written or otherwise, to terminate the proposed acquisition.

Albedo is still trying to resolve outstanding issues involving its a $774 million takeover by a company controlled by Malaysian businessman Danny Tan.

Albedo said it met with representatives from the other company on April 3 and discussions are still ongoing, the Business Times reported.

It said the parties are now trying to resolve issues pertaining to the proposed acquisition prior to the long stop date of Sept. 19.

陈志成掌控的Infinite Rewards发表文告，双方无法就买卖协议的部分条款达成共识，故终止与耀贝多于去年9月签署的买卖协议。

根据原定协议，耀贝多将以发行新股给Infinite Rewards，收购后者13片坐落在依斯干达特区的1182.58英亩地段。

这项收购的交易价为18亿6000万新元（47亿9000万令吉），市场在4月期间曾传出计划告吹，但耀贝多较后否认此事。【南洋网财经】
