Overview
LionGold Corp Limited is the largest gold company listed in Southeast Asia. The Group has rapidly established itself in the global gold mining industry. Since March 2012, interests in seven gold exploration and mining companies have been acquired, two of which are in production. Primary concessions are in Australia, Ghana and Bolivia, and the acquisition of a Canadian gold miner is now pending. On completion of this acquisition, LionGold will hold 6.8 million ounces of gold resources, with 900,000 ounces classified as reserves. Future expansion will be achieved through further acquisitions and organic growth.

The Group aims to become a global gold producer and is initially targeting minimum gold resources of 10 million ounces, reserves of 2 million ounces, and annual production of 200,000 ounces per annum by the end of 2014. Acquisition prospects today will have scalable resources with scope for rapid enhancement. Targets include mining companies and projects across a range of geographies which are in production, or which are poised to start commercial production within 12 to 18 months. The intention behind this selective approach is to unlock asset value while building out the gold business.

LionGold Corp, Singapore’s first Mainboard-listed gold company, says it has signed a Memorandum of Understanding (MOU) with CBMI Construction Co. (CBMI).

CBMI is a wholly-owned subsidiary of China’s state-owned Sinoma Group Corporation and a leading integrated engineering contractor for projects around the world.
The MOU is the first step for LionGold to appoint CBMI as its primary contractor for the group’s gold mining projects globally. Under the agreement, CBMI would work in partnership with LionGold in project and related infrastructure development, mine operation and maintenance and procurement of supplies. The agreement will also provide a platform for collaboration on new gold investment opportunities as well as project financing.

Nicholas Ng, group Chief Executive Officer, states: “LionGold is excited about this newly forged relationship. We are confident that CBMI Construction will be a capable partner, able to respond quickly to the technical and operational needs of our growing projects worldwide.
In addition to its own excellent track record overseas, CBMI’s parent, Sinoma Group, is among China’s leading state-owned enterprises. This important alliance will leverage LionGold’s current operations and corporate development teams, enabling us to fast-track the build-out of our gold business”

Earlier this month, LionGold announced plans to raise over $200 million through the placement of new shares and warrants in support of its acquisition and production enhancement strategy. Management is targeting the completion of the fund-raising exercise by the end of the 2013. LionGold currently has interests in seven gold companies with tenements in Australia, Ghana, Bolivia and Canada.

瑞狮集团(LionGold Corporation)昨天与澳洲上市公司AI Consolidated Gold(以下简称A1)签订冶金协议，未来三年来自A1金矿的45万吨矿石(每年15万吨)将会在公司位于巴拉瑞特(Ballarat)的冶金厂处理。在双方同意下，这份协议可延长多三年，直至2019年12月。此外，公司将会分两期认购3,450万股A1的新股(每股0.116澳元)，合共占A1扩大股本约19.9%，总值470万元。这项交易将会通过集团的现金存款来融资。A1将会利用配股所得收益来发展其A1金矿，来自后者的矿石将会在6个月来，首次在巴拉瑞特的冶金厂提炼。

启示: 巴拉瑞特冶金厂每年可处理15万至20万吨矿石。公司与A1的协议让这个冶金厂(年产能为60万吨)的年产量可以提高，从而把整体每单位生产成本降低。

Singapore-listed gold miner LionGold Corp, whose shares are suspended by the Singapore Exchange, said it is at an advanced stage of negotiations to acquire a stake in a company listed on three foreign stock exchanges.

But the unnamed target firm, which has a producing gold mine as well as gold mines under development, is considering if the acquisition should continue in view of the suspension, LionGold said in a stock exchange filing.

The target company was introduced to LionGold by Jennings Capital Inc, a Canada-based investment dealer, LionGold said.

The Singapore Exchange Ltd suspended trading in three stocks on Friday, warning the market may not be fully informed after a plunge in their share prices, with one falling more than 60%.

尽管瑞狮集团(LionGold Corp)在2Q14录得收入及毛利分别提高52.2%和52%，但其亏损扩大至4,770万元。原因是公司录得4,660万元的其他亏损，并主要是来自可售证券蒙未实现亏损。这批可售证券是公司在脱售其在发电厂承包商Industrial Power Technology、垃圾发电公司Think Greenergy及垃圾处理公司Think Environmental的股权时，买方用于偿付收购额的证券。收入增加的主因是采金及中国生产业务的贡献提高。其他开支大幅度增加300%至250万元，主要因位于加纳及玻利维亚的金矿所蒙的维持费用提高至460万元，但部份增幅因可转换债券增值360万元而被抵消。

启示：尽管上述的可售证券带来一次过的亏损，公司将继续投资于开发目前仍未开始生产黄金的资产，并料将在下个季度取得一些成绩。

瑞狮集团为购买含金尾矿而签署协议

瑞狮集团(LionGold Corp)的非直接子公司Owere Mines与B&C Gold签署了框架协议，以购买含金尾矿及进行加工，以作为环保清洁工作的一部份。在协议下，Owere Mines将在三年里向对方购买最少100万干燥公吨(dry metric tonne)的含金尾矿，并可每年更新。按每吨可平均取得3克黄金的比例及90%的提取率计算，估计100万公吨的尾矿将能带来9万盎司的黄金。相关营运活动定于2014年3月展开。Owere Mines将进而能完全利用其目前的厂房及设备(加工年产能为32万吨矿物)。该厂房及设备自Owere Mines于2013年3月停止开采尾矿后，便一直闲置着，因为Owere Mines转向积极地进行勘探活动。

启示：上述交易的相关收入料将能支持Owere Mines在加纳的Konongo Gold项目的勘探活动，直至开始进行生产。截至2013年9月30日，该项目探测出另外200米长的黄金蕴藏点，但整个蕴藏点的范围还不确定。

该基金是目前一个称为Infiniti Premium Resources的基金的第二部份。新基金的策略是直接投资于全球商品领域下的天然资源(并附带相关基础设施的投资)，以取得中至长期性的资本增值。
