SHC Capital Asia Limited is an investment holding company which is listed on the Singapore Stock Exchange under Catalist.
In Year 2011, the Board of SHC Capital Limited assessed our previous corporate structure. In light of SHC Capital Limited's expansion initiatives, the Board agreed that a separate and independent operating entity to be wholly owned by an investment holding company as the listed vehicle will be more effective in supporting SHC Capital Limited's ongoing initiatives.
As such, the Board announced on 1 February 2012 that SHC Capital Limited has entered into an implementation agreement with SHC Capital Asia Limited to effect a restructuring by way of a scheme of arrangement under section 210 of the Companies Act, Chapter 50 of Singapore. Upon completion of the scheme, SHC Capital Limited’s listing status will be transferred to SHC Capital Asia Limited, which will become the investment holding company of SHC Capital Limited. SHC Capital Limited (known as SHC Insurance Pte. Ltd. effective from 25 July 2012) will continue to operate the insurance business as a wholly-owned operating subsidiary of SHC Capital Asia Limited.
