佳利安2大股東要開特大罷黜稽查師

（吉隆坡9日訊）佳利安（KARYON，0054，創業板工業產品組）兩名大股東要求召開股東特大，以罷黜Messrs Raki CS Tan & Ramanan稽查師，並委任Messrs CAS & Associates為新稽查師。
該公司發表文告指出，主席羅程玉及非獨立非執行董事羅發鍾這兩名總持股權不低於10%的大股東，要求展開上述罷黜行動，隨後將寄出特大會通知書予股東。
不過，這兩名大股東並沒有透露罷黜原因。（星洲日報／財經）

(ii) removal of Messrs Raki CS Tan & Ramanan as auditor of the Company (“Proposed Removal of Auditors”); and
(iii) nomination for the appointment of Messrs CAS & Associates as new auditors of the Company in place of Messrs Raki CS Tan & Ramanan for the financial year ending 31 December 2013 (“Proposed Appointment of New Auditors”).
(The Proposed Removal of Auditors and Proposed Appointment of New Auditors are collectively referred to as the “Proposals”).
The Proposals are subject to and conditional upon approval being obtained from the shareholders at an EGM to be convened.
A Circular to Shareholders containing details of the Proposals together with the Notice of EGM will be despatched to the shareholders of KIB in due course.

原审计师反驳 佳利安罢免未联系

（吉隆坡10日讯）佳利安（KARYON，0054，创业板）宣布撤换审计师的举措，今日遭到原任审计师Raki CS Tan&Ramanan的反驳。
佳利安向马交所报备，Raki CSTan&Ramanan向该公司发出信函，表示对主席罗臣玉（译音）和董事兼大股东罗发聪（译音）建议将他们撤换的举动感到不解。
罗臣玉和罗发聪于周一发出特别通知，建议公司通过召开股东特别大会，罢免现任审计师———Raki CSTan&Ramanan，并提议委任CAS&Associates为新的审计师。
没根据监管指南
Raki CS Tan&Ramanan在信函中指出，罗臣玉和罗发聪未与他们联系就宣布撤换审计师的消息，并没根据上市条例中企业监管指南所建议的范例，先与他们联系，解释有关撤换的理由，尤其这项决定由公司主席提出。
Raki CS Tan&Ramanan重申，他们并没有理由反对该撤换建议，即便没有遭到撤换，他们还是独立的，且有能力执行审计工作。
同时，佳利安已于今年4月24日的审计委员会会议上建议重新委任该公司，而且这项建议也已于6月23日股东常年大会上获得通过。
无论如何，佳利安于8月30日的审计委员会会议，并没邀请RakiCS Tan&Ramanan出席，因此该审计师相信，撤换动议是在该会议上进行讨论。[南洋网财经]

罷免獨立審計公司 佳利安董事要求開特大

（吉隆坡18日訊）佳利安（KARYON，0054，創業板工業股）獲兩位董事聯合發信，要求召開特別股東大會，罷免獨立審計公司Messrs Raki CS Tan & Ramanan（簡稱MRCTR）。
佳利安今日向馬證交所報備，該罷免建議主要是由公司主席羅振岳及非獨立非執行董事羅誠漳所提出，主要是該獨立審計公司早前曾在審計2012年財報時出錯，后者也承認該錯誤。
另外，在今年4月22日，即佳利安審計委員會展開會議前2天，Messrs CS Tan & Associates（原獨立審計公司）才發信告知，與MessrsRaki Thomas &Ramanan合併，成為現審計公司MRCTR；這讓佳利安無法接受。
由于時間倉促，佳利安完全沒有機會面試新審計公司。
根據早前報導，該公司曾接獲MRCTR書信，反對該公司試圖在股東特別大會上罷免審計公司議案，不明白該公司未經咨詢即發出罷免通知的原因。
MRCTR曾指出，今年4月24日已獲佳利安審計委員會通過，重新獲委成為該公司審計公司，並在6月23日股東大會上通過，不過卻未獲通知出席8月30日的審計委員會會議。[中国报财经]

Set forth below are the excerpt from the Shareholders’ Letter:
(i) Oversight by Messrs CS Tan & Associates on the disclosure requirements under the Malaysian Financial Reporting Standards 1 (“MFRS 1”)
Messrs CS Tan & Associates incorrectly advised the Company on the disclosure requirements under MFRS 1, in relation to the opening MFRS statement of financial position.
Following this error, the Company was compelled to issue an amendment statement (errata) to the audited financial statements of the Company for the financial year ended 31 December 2012 and the Annual Report 2012 of the Company.
(ii) Merger between Messrs CS Tan & Associates and Messrs Raki Thomas & Ramanan
On 22 April 2013, i.e. 2 days prior to the Company’s Audit Committee meeting scheduled to approve the audited financial statements of the Company for the financial year ended 31 December 2012, Messrs CS Tan & Associates sent a letter to the Company informing the Company that Messrs CS Tan & Associates (AF 1144) have in 2012 merged their practice with Messrs Raki Thomas & Ramanan (AF 0363), where both firms have common partners and reconstituted themselves to be known as Messrs Raki CS Tan & Ramanan (AF 0190).
Due to the short notice, the Company did not have the opportunity to conduct an interview with the new partner(s) and the reconstituted firm as well as their portfolios to deliberate their re-appointment.
Messrs Raki CS Tan & Ramanan represented to the Company on 24 April 2013 that their re-appointment under the reconstituted firm following the merger is in compliance with the Companies Act 1965, and that they will issue a letter of undertaking to the Company confirming the same.
To-date, the Company has not received the said letter of undertaking.
The Shareholders’ Letter is set out in the attachment below.

佳利安委审计师再遇波折

（吉隆坡27日讯）自建议罢免原任审计师后，佳利安（KARYON，0054，创业板）提议委任CAS & Associates为新的审计师，后者却又表示无法上任，公司面对的问题可是一波三折。
佳利安今日向大马交易所报备，收到CAS & Associates的通知，该审计师因为内部资源有限，所以无法成为公司的新审计师。
因此，董事局已献议委任BDO为新任审计师，取代原任的审计师———RakiCS Tan & Ramanan。
早前，因Raki CS Tan & Ramanan的过失，所以佳利安宣布罢免该名审计师，并提议委任CAS&Associates为新的审计师。
因撤换外部审计师而遭到攻击的佳利安，也在上周公开细数Raki CS Tan & Ramanan的过失。
这包括，该审计师给予错误咨询，让公司必须针对2012财年已审核财务报告及2012年报作出修改声明，以及与另一家审计公司合并后并无通知佳利安，让公司无法考虑是否重新委任该名审计师。[南洋网财经]

佳利安下週二轉至主要板

（吉隆坡2日讯）佳利安（KARYON，0054，创业板工业股）将在下周二（6日）正式转至主要板工业，转板后股票代码及编号维持。
该股延续30日（周三）涨势，全日窄幅走高，闭市报45仙，起0.5仙，成交量83万5400股。
2004年上市的佳利安是在去年5月申请转至主要板上市，并在今年3月获批准转板。
根据马证交所要求，若要从创业板转至主要板，必须达到3至5个财年连续获利，净利总和需超过2000万令吉，最近财年净利至少达600万令吉。
此外，公众持股比例也必须达25%，至少1000名公众持股，每人不少于100股。
