印多福对中国闽中食品的收购献议“并不公平，但属合理”

中国闽中食品(China Minzhong Food Corp)董事会的独立财务顾问表示，印尼印多福(Indofood)向公司提出的每股1.12元收购献议“并不公平，但属合理”。普华永道企业金融(PricewaterhouseCoopers Corporate Finance)表示，收购献议“并不公平”。献购价比公司最新的每股未审计净资产值来得低，而在与其他在过去12个月完成除牌和私有化的交易相比，公司的收购价与其交易量加权平均股价之间的溢价幅度较小。但在普华永道的提议下，公司董事会建议那些有意实现投资价值，却无法在公开市场上以高于献购价的价位脱售手上股票的股东们接受收购印多福的献议。

启示：虽然收购献议“并不公平”但属合理的原因是，献购价与公司在过去12个月内所发股票的发售价相若。

中矿国际(China Mining International)建议以10亿元收购中国矿产能源(China Minerals Energy)，进而把自身从一家产业发展商转型为纯采矿商。收购资金将来自脱售目前的业务及发行股票给中国矿产能源(反向收购)。中国矿产能源分别在中国、南澳、尼日利亚及塔吉克斯坦拥有五个矿场的股权。在完成交易后，中国矿产能源将持有中矿国际的约93.3%股权。
