购印度Ceres公司股权 美特罗联营进军酒店业

（吉隆坡23日讯）美特罗（METROD，6149，主板工业产品股）建议认购印度Ceres公司股权，多元化至酒店业务。

根据文告，美特罗今日联同大股东Met Tube私人有限公司和MetTube新加坡私人有限公司（MTSSB），签署认购协议，共同投资Ceres公司。

美特罗将认购Ceres的强制转换债券，而MTSSB将会认购新股。

完成后，美特罗会至少持有Ceres的51%股权，以及所有的强制转换债券。

美特罗希望借由多元化至酒店业务增加财源，并减少对现有业务的依赖。

Ceres与MTSSB在上周六（19日），签署业务转移协议，向Hotel Leelaventure公司（HLVL）收购印度一间名为The Leela Goa的五星级酒店。

完成后，Ceres公司会跟HLVL签署管理协议，委任HLVL继续管理The Leela Goa酒店。【南洋网财经】

On behalf of the Board of Directors of Metrod ("Board"), CIMB Investment Bank Berhad is pleased to announce that Metrod (and its wholly owned subsidiary, Metrod Holdings (Singapore) Pte Ltd (“Metrod Singapore”)), together with its major shareholder, MetTube Sdn Bhd (“MetTube”) (and its wholly owned subsidiary, MetTube International Pte Ltd (“MetTube Singapore”)), had on 23 September 2015 entered into a conditional subscription agreement to invest in Ceres at a total subscription price to be determined later (“Subscription Agreement”). The proposed investment by both Metrod, Metrod Singapore, MetTube and MeTube Singapore shall be in the form of ordinary shares in Ceres and compulsorily convertible debentures (“CCDs”) issued by Ceres ("Proposed Subscription”). In conjunction with the Proposed Subscription, the Board also proposes to seek the approval of the shareholders of Metrod for the proposed diversification of the existing principal activities of Metrod and its subsidiary companies to include hotel operation activities (“Proposed Diversification”).      The Proposed Subscription and the Proposed Diversification are collectively referred to as the “Proposals”. （吉隆坡12日讯）美特罗（METROD，6149，主板工业产品股）与大股东签署补充协议，用51亿9990万印度卢比（约3亿3120万令吉）认购印度Ceres公司的股权与债券。

根据文告，美特罗、大股东MetTube公司和MetTube新加坡公司（MTSSB）今日达成协议，共同认购Ceres公司股权与债券，整体交易总值51亿9990万印度卢比。

美特罗与美特罗新加坡公司，将收购Ceres公司51%的股权和强制转换债券。

而MetTube公司和MTSSB，则会购入其余49%的股权和强制转换债券。

美特罗多元化亮绿灯　酒店业务佔净利25%

（吉隆坡1日讯）隨著美特罗（METROD，6149，主板工业股）预计將在本月完成投资LeelaGoa酒店，管理层指酒店业务未来將占公司全年净利的25%。

从事铜线业务的美特罗，今天召开股东特別大会，就两项议案寻求小股东的通过，即：1.以3亿4020万令吉投资拥有Leela Goa酒店的Ceres私人有限公司；2.多元化业务（涉足酒店业），並以95%的赞成票获得通过。

美特罗总裁兼首席执行员拉詹米塔尔在散会后，接受记者採访时表示，该公司手头上拥有充裕的现金，过去3年里一直在海外市场寻找投资机会，以创造更大的股东价值。

同时，拉詹补充，该公司在过去3年里，曾在欧洲、亚洲和东盟国家，探討核心业务以外的各种投资机会。

他也指出，「我们当初是通过安永会计师事务所（Ernst &Young），得知印度酒店公司Leelaventure通过招標，出售其Leela Goa酒店。我们因此获得进军酒店业的良机。」

此外，拉詹说，LeelaGoa酒店位於印度的旅游胜地果亚，游客源源不绝，而当地政府以保护生態环境为由，禁止任何公司在果亚兴建新酒店。美特罗可从中受惠。

「Leela Goa是一家5星级酒店，过去3年的客房租金取得8.9%的年复合成长率（CAGR），平均入住率是69.8%。」

看好铜线业务

除此之外，拉詹称，隨著美特罗小股东放行，投资Leela Goa酒店预计在本月內完成，並交由Leelaventure公司打理，因美特罗没有经营酒店的经验。酒店业务日后料占该公司整体净利的25%。

无论如核，拉詹强调，分销铜线依然是美特罗的核心业务，该公司今年初完成扩充计划之后，接下来將专注於內部成长。

该公司的铜线年產量目前是10万公吨。「我们持续看好铜线业务的表现，除了开拓新市场外，如印度和澳洲，也积极地招揽新客户。」【东方网财经】

Reference is made to Metrod’s announcements in relation to the Proposals on 23 September 2015, 12 October 2015 and 22 October 2015 (the “Announcements”), and the circular to shareholders dated 16 November 2015. All capitalised terms used herein shall have the same meaning as those set out in the Announcements unless otherwise stated. On behalf of the Board of Metrod, CIMB is pleased to announce that all the conditions precedent set out in the Restated Subscription Agreement have been fulfilled on 14 December 2015, and accordingly the Restated Subscription Agreement has become unconditional as at 14 December 2015 and the Proposals were completed on 14 December 2015. The conditions precedent under the Restated Subscription Agreement includes, amongst others, the parties having entered into a shareholders’ agreement in relation to Ceres. Ceres, Metrod, Metrod Singapore, MetTube and MetTube Singapore, had on 14 December 2015 entered into a shareholders’ agreement for the purposes of regulating their relationship with one another and certain aspects of the affairs and dealings in Ceres upon completion of the Restated Subscription Agreement.   The entering of the shareholders’ agreement will not have any effect on the issued and paid-up share capital of Metrod, substantial shareholders’ shareholdings of Metrod, net assets and gearing of Metrod Group and EPS of Metrod Group.
