八打灵锡售香港子公司

（吉隆坡6日讯）八打灵锡（PTGTIN，2208，主板產业股）宣布，该公司与TalentJoy投资有限公司签署股权买卖协议，前者將以现金8000美元（约2万7760令吉）出售旗下香港子公司--Fandison资源管理有限公司110万股，或40%股权予后者。

根据文告指出，截至去年12月31日的已审核帐目，Fandison资源管理蒙受55万零246美元的净亏损，同时，其有形资產值负299万零270美元，或相等于每股亏损1.08美元。

由于Fandison资源管理业务可持续性不明朗，促使八打灵锡出售在该公司的所有持股。

八打灵锡管理层表示，鉴于Fandison资源管理並不是公司的主要贡献来源，而且业务性质也与公司的核心活动不符，所以决定脱售该公司的股权。

而且，此项脱售將让八打灵锡可以更好地將资源用在其他的生產活动。

同时，也认为该脱售將不会对公司的负债率和每股净资產带来任何影响。

該公司向馬證交所報備，旗下PTB發展私人有限公司與Ringgit Muhibbah私人有限公司簽署兩項買賣協議，脫售總面積為116.11英畝土地，估計可在9個月內完成。

上述轉手的5塊土地投資成本為1550萬令吉，截至12月底2014財年淨賬面價值為1565萬令吉。

“完成脫售建議后，八打靈料取得2898萬令吉收益。”

該公司指脫售土地，有助釋放土地即時價值，並可通過兌現土地投資來改善公司現金流。

曾立强私有化 八打灵锡和佳南汶

（吉隆坡28日讯）有“柬埔寨赌王”之称的丹斯里曾立强连环出击，向八打灵锡（PTGTIN，2208，主板产业股）和佳南汶莱（KBUNAI，3115，主板产业股）提出全购献议，计划私有化该2家公司。

曾立强于今日增持八打灵锡的股权，大笔购入1亿3323万8731股，或38.527%的股权，将持有的股权从26.54%推高至65.065%，触动33%的强制全面收购（MGO）门槛。

他接着出价每股24仙，全面献八打灵锡其余股权，价格相等于5天至6个月均价的4%至7.7%折价。

曾立强也是佳南汶莱大股东，持股68.46%。

他今日建议以每股5仙和每张凭单2仙，全面献购剩余的18亿2184万8130股或31.54%股权，以及6亿9495万9448张凭单。

每股5仙的献购价，等于佳南汶莱5天至6个月交易量加权均价的2%至7.4%折价，至于凭单的2仙献购价，则是5天至6个月交易量加权均价的33.3%至53.8%溢价。

曾立强为八打灵锡和佳南汶莱的执行董事兼总裁，其儿子曾一帆（译音）则是该两家公司的总执行长。

一旦全购，曾立强无意维持该两家公司的上市地位。

挂牌资产逾28亿

曾立强为大马富豪之一，在东南亚遍布多项业务，如房地产、制造业、博彩和酒店等，从而拱起身家。

他在柬埔寨创办了金界娱乐城（Nagaworld），一手打造赌场王国。

除了佳南汶莱，他同时也持有第一控股工业（FACBIND，2984，主板工业产品股）的主要股权。

八打灵锡 佳南汶莱股东应拒曾立强献购

（吉隆坡30日讯）独立顾问表示，丹斯里曾立强私有化八打灵锡（PTGTIN，2208，主板产业股）和佳南汶莱（KBUNAI，3115，主板产业股）的献议“不公平”，所以建议股东拒绝该献议。独立顾问Inter-Pacific证券表示，从实际净资产价值（RNAV）来看，大股东曾立强低估了八打灵锡和佳南汶莱的价值。

曾立强分别以每股24仙和5仙，全面献购八打灵锡和佳南汶莱剩余股权，同时也以每股2仙，献购佳南汶莱剩余的凭单。

对于八打灵锡和佳南汶莱私有化献议，该证券行认为，虽然两项献议被视为“合理”，但他们认为，“不公平”显著超越合理范围。

其中，八打灵锡的每股献购价24仙，相对于每股RNAV的1.09令吉，显著出现约77.98%的折价。

该独立顾问继续点出，八打灵锡部分产业从收购至现在，没有评估价值，近期也没有重估价值。

因此，假设进行价值评估，该公司每股RNAV将会高于1.09令吉

至于佳南汶莱，每股献购价5仙，比公司每股RNAV的21仙，大幅低出大约76.91%。

“假设近期估值纳入Bukit Unggul地皮，公司每股RNAV将会高于21仙。”

此外，Inter-Pacific表示，每张凭单献购价2仙则比理论价值（theoretical value）的3.31仙，出现显著约39.58%折价。

因此，该独立顾问建议股东拒绝两项献议。【e南洋】
