Linc Energy, the Australian company studying a gas-to-liquids venture in Russia with billionaire Roman Abramovich, plans to raise money selling shares in a move to Singapore’s stock exchange.

The company will seek shareholder approval next month to drop its listing in Sydney and request regulatory permission to trade in Singapore in a bid to attract investors and boost its value, Brisbane-based Linc said today in a statement. The company said it will keep its headquarters in Australia.

Linc, which is in talks with potential “cornerstone” investors as part of the proposed Singapore listing, wants to tap rising demand for energy shares, Chief Executive Officer Peter Bond told reporters today in Sydney. The company reached a deal earlier this year with Abramovich, the owner of Chelsea Football Club, and hired Barclays Plc to help find a partner to develop shale oil prospects in central Australia.

“Singapore is becoming an energy hub of Asia,” Bond said. “They are starved of energy-company opportunity.”

Shares of Linc today fell as much as 14% to A$1.215 ($1.426) in Sydney, the most in more than three months, and traded at A$1.27 as of 1:28 p.m. local time. The company gained 20% this year through yesterday, compared with a 12% gain for the benchmark S&P/ASX 200 Index.

Listing on the Singapore exchange, “will help unlock the value” of the company’s oil, gas and coal assets, Linc said. “The company believes that the SGX is an ideal trading platform to broaden its investor base and improve access to international oil and gas and energy investors.”

Linc hasn’t decided how much money it intends to raise in a share sale, Bond said. The company is in talks with two or three possible “cornerstone” investors, he said.

Linc Energy在12月12日首次公开售股(IPO)，它的招股书可说是分量十足。公司将会献售4,785万股，每股售价为1.20元，而供公众购买的数量只有50万股。IPO将会在12月16日正午12时截止。

Linc Energy 从澳洲交易所(ASX)除牌后，转移至新加坡交易所申请上市，目的是“改善其接触资本市场的机会”及把业务重新定位来进行其“长期增长策略”。这次招股所筹集的资本为4,790万元，坦白说，这只是一个小数目。因此，我不认为这是一个真正的“IPO”，而是比较像一个重新上市的行动。公司可以超额配售400万股。

公司简介

Linc Energy是一家多样化的能源公司，其资产组合也五花八门。Linc Energy 认为它是世界上唯一利用地下煤炭气化技术(UCG)来生产柴油及飞机燃油的公司。它总共有三个业务：常规石油与天然气；非常规石油与天然气；煤矿。



公司的非常规油气业务拥有两个部门，分别为洁净能源部门及页岩油气部门。洁净能源部门主要是利用UCG技术来从煤矿中生产合成石油，再通过提炼后生产洁净的柴油及飞机燃油。页岩油气部门则从事页岩油气的勘探，主要是在面积达6万5,000平方公里南澳的Arckaringa盆地。

公司的煤矿业务也分为两个部分。第一部分是在澳洲昆士兰的Carmichael项目。在合约规定下，所有在这个项目开采的煤，公司可以收取每吨2澳元的使用费(royalty fee)，为期20年。Carmichael项目是澳洲最大型的煤矿之一，预期在2017年第一季开始生产。第二部分是常规采煤业务，主要是在其位于昆士兰的煤矿，包括Blair Athol煤矿，后者预期在2014年初开始生产。

未来计划

公司拟定了短期及中期计划来提高开采量。当勘探计划全速进行时，相信公司的营运成本将会提高。

UCG 技术

我对采矿是门外汉，但这个技术看来十分吸引，因为它可以用来生产柴油及飞机燃油。



稀释

投资者不妨注意，如果你投资这只股，你是以面值买入。正如上述提到，公司不是在进行集资行动。

公司在过去三年一直蒙亏，但这并不令人感到意外，因为之前在新交所上市的两家勘探及生产公司KrisEnergy及Rex International Holding的情况也是一样。




从财务报表可以看到，公司正在发行债券来筹资，后者是用于油气勘探项目。值得注意的是，其油气资产在FY13的EBITDAX(息税折旧摊销及勘探费用前盈利)大约为7,800万美元(KrisEnergy的EBITDAX为6,000万美元，后者来自其招股书资料)。

尽管大市处于下行走势， KrisEnergy 及 Rex International 的股价依然分别高出其个别招股价13% 及22% 。因此，鉴于投资者是以账面值买入Linc Energy 及其拥有规划好的大计，我会给予2条辣椒评级。此外，公司也是本地上市的最大型采煤公司(你可能还记得已经除牌的海峡(亚洲)资源(Straits Asia Resources)) 。听闻这只股的股票受到热烈追捧。我个人认为最好是买入后马上放手，但如果市场情绪好转一点，或者我会有更多信心。由于只有50万股公开给公众购买，相信散户投资者不容易买到。如果你有意投资，那么祝你好运。
