陳金火每股9仙全購WWTKH

（吉隆坡16日訊）WWTKH控股（WWTKH,8818,主板工業產品組）大股東兼執行主席丹斯里陳金火建議以每股9仙展開全面獻購，且無意維持其上市地位。

該公司在文告中表示，董事部今日接獲大股東Wawasan TKH私人有限公司（WTKHSB）透過興業投資銀行發出的通知，將與友好夥伴收購其餘未持有的股權。

該公司董事部將商討這項建議，且無意尋求其他獻購提議。

根據2012年報，WTKHSB是該公司最大股東，持股達32.86%，另外，控制WTKHSB的陳金火也直接持有20.63%股權，他的3名兒子則掌握另外的20.73%股權，這意味著以陳金火為首的獻購方總共持有74.22%股權。

根據文告，陳金火是考慮到該公司的疲弱業績及展望、財務欠佳、股東基金跌至PN17陷困水平、廠房租賃不確定因素，以及股票流通率不高，而提出私有化建議。

去年1月1日至今年3月31日止的15個月期間，該公司營業額報5千836萬7千令吉，並蒙受297萬8千令吉淨虧損。該公司上月建議修改財政年日期，從12月31日改成6月30日。

（吉隆坡6日訊）WWTKH（WWTKH，8818，主要板工業）午盤暫停交易一個小時，宣布接獲興業投銀代為發出有條件收購獻意詳情公告。

該公司向馬證交所報備，在下午3時11分至4時11分，暫停交易一個小時以作公告。閉市時，該股平盤報8.5仙，成交量1萬7000股。

WWTKH大股東兼執行主席丹斯里陳金火以每股9仙獻購價，將公司私有化。

這是基于WWTKH過去2年業績表現和未來前景不振，加上財務狀況，以及僅達1239萬令吉或占股本26.68%的股東基金，可能觸及PN17條例。該公司進一步虧損，或使股東基金縮減至1161萬令吉。

在財務狀況疲乏下，WWTKH作為上市公司，每年需支付50萬令吉各類費用，讓公司沒有足夠現金流支撐運作。

另外，WWTKH過去一年每月平均交易量僅50萬5367股，或是流通股票得0.42%。在低流通量下，有條件收購獻意提供投資者脫售股票機會。

（吉隆坡16日讯）独立顾问表示，宏愿TKH（WWTKH，8818，主板工业产品股）大股东的全面收购行动“公平且合理”，呼吁股东接受献议。

独立顾问MainStreet认为，大股东的每股9仙献购价，高于宏愿TKH的5.22仙每股实际净资产价值（RNAV），溢价72.41%。

宏愿TKH过去一个月的股价一直低于献购价。相比宏愿TKH5天交易量加权均价（VWAP），献购价是溢价5.14%。

受到原料、燃料和能源价格走高的影响，宏愿TKH近期业绩表现失色，加上食品包装的限制和缺乏援助，公司前景极具挑战。

此外，公司过去7年都依赖大股东的财务支援，截至今年3月杪，拖欠大股东高达3613万令吉。

核心业务欠佳

宏愿TKH核心业务表现欠佳，蒙亏影响股东基金，有可能因此被列为PN17公司。

整体上，独立顾问认为献购价公平，大股东的献议也很合理，所以建议股东接受献议。

陈唱摩多（TChong，4405，主板消费产品股）创办人之一拿督陈金火宏愿TKH私人公司，与其他联合献购者，5月中出价每股9仙，全面收购旗下宏愿TKH。
