Offshore oil & gas contractor, oncology firm eye Catalist listing (Singapore)

TWO Singapore Exchange Catalist prospects are set to kick-start the country's initial public offering (IPO) market this year, with preliminary offer documents to be filed this week.Offshore oil & gas contractor Kim Heng Offshore and Marine Holdings and medical oncology firm TalkMed Group are eyeing flotation to raise funds for expansion. Kim Heng is planning listing by way of public offer and placement while TalkMed is planning it by way of placement. The number of shares to be offered, their pricing and the timing of the IPOs have yet to be finalised.

Kim Heng, whose roots trace back to 1968, is an integrated offshore & marine value chain services provider with customers from more than 25 countries in South-east Asia, Australasia, the Middle East and Europe. The group provides offshore rig services, supply chain management and vessel sales and newbuilds to global customers such as Switzerland-based Transocean and Dubai-headquartered Shelf Drilling Holdings. The group registered a net profit of $8 million in the first half of 2013, down 24 per cent from a year ago.
Revenue was 19.6 per cent lower at $41 million, following a decrease in revenue contribution from its offshore rig services and supply chain management segments.

Kim Heng said proceeds from the listing would be used to enhance its yard facilities, for fleet expansion, strategic investments and acquisitions, as well as working capital. Its chairman and chief executive officer, Thomas Tan, is the majority shareholder of the company, holding a deemed stake of 54.4 per cent before listing. Private equity investment fund Credence, whose shareholders include investment veteran Koh Boon Hwee, is the second-largest shareholder with a 22.7 per cent deemed interest.

Canaccord Genuity Singapore is the sponsor, underwriter and placement agent for the deal. The other IPO prospect, TalkMed, has its origins in a company called HCC, formed in 1997. The group now provides oncology services to patients through the Parkway Cancer Centre. The latter is a sole proprietorship owned by Parkway Hospitals Singapore (PHS), with employees from its wholly owned subsidiary Singapore Cancer Centre working in seven clinics in these PHS-operated hospitals: Gleneagles Hospital, Mount Elizabeth Hospital, Mouth Elizabeth Medical Centre and Mouth Elizabeth Novena Specialist Centre.

The company posted a revenue of $27.04 million in H1 2013, up 7.1 per cent from a year ago, on the back of higher value treatment dispensed. Its net profit in H1 2013 was $15.72 million, up a touch from $15.68million in the previous year. Proceeds from the listing will be used to fund the expansion of its talent pool, healthcare services and overseas services, as well as improve the quality of its medical services, TalkMed said. Ang Peng Tiam, TalkMed's CEO and a medical oncologist, is the majority shareholder of the company. He holds a deemed stake of 77.8 per cent before listing. Khoo Kei Siong, TalkMed's chief operating officer, is the second-largest shareholder with a direct stake of 9 per cent. Hong Leong Finance is the sponsor while UOB Kay Hian is the placement agent for the IPO.
