關於商業法律 Law of Contract

Jason have planned to purchase a house. Sam, Jason’s friend planned to sell his house as he will move to oversea for living and working there. On 1st January 2015, Sam called Jason offering to sell his house for RM500,000 and if they agreed, they should reply the acceptance by way of post. On 5th January 2015, Jason sent a letter saying that they’re interested to purchase the house if the purchase price is reduced to RM450,000. The letter was received by Sam on 8th January at 2.30 pm. However, on the same day, at 10 am, Sam has received an offer from his cousin to purchase the house for RM700,000. Sam agreed to this offer and immediately sent a letter to Jason to revoke the offer he made earlier. However, on 7th January, Jason sent another letter saying that he agreed to purchase the house for the original price i.e. RM500,000. Sam has received this letter on 10th January 2015. On 11th January, Jason received the letter of revocation of offer sent by Sam. Jason becomes angry and intended to take action against Sam.
Advise Jason.
這case應該怎麼搞呢?

有case吗?
Jason发信counter offer Sam要以RM450K买Sam的房子,就表示拒绝了Sam之前RM500K的offer。
Sam却没有同意过要接受Jason的counter offer。
这就完结了。

之后Jason后悔了,但是Sam没有再次offer,Jason不可以拿回之前Jason曾经拒绝过的offer来要求Sam履行。
我是这样看的。
不过,先声明,我不是读law的。

這個case 就是沒下定金生氣也沒有用。。。價高者得。。

對不起是senario。
所以就是Jason和Sam沒有valid contract,Jason不能告Sam,對嗎?

Issue 1: Whether there is a valid contract between Jason and Sam
Issue 2: Whether there is a valid contract between Sam and his Cousin
除了這兩個issue,還有看到其他的嗎?

Sam和cousin有没有valid contract与Jason可不可以take action没有关系。
因为现在是要advice Jason。
如果可以告,我们不会因为Sam和cousin有了contract而不告。要争取客户的利益,不是吗?

首先,你要先清楚一个contract要构成有效的受法律约束的contract需要有哪一些必须的elements。
你读law?那么你告诉我们有没有valid contract。
我所看的,是Jason reject Sam的offer在先,反而counter offer。那么双方根本没有达成协议,哪里有什么contract binding?

有关consideration。
如果accept offer,不是要in return给回一些东西吗?通常就是楼上所说的订金。

我不是读law,看的东西很片面。希望有其它专业人士可以提供你所需要的专业意见。

1. 你有房子要賣 給我五十萬
2. 我offer 你 四十萬。
3. 突然有程咬金說要向你買 七十萬。結果你賣給他了。
4. 突然我也想通了,五十萬買的過 就我要了。

現在要採取民事訴訟上法庭,要sue ,sue什麼?我想就sue自己行動慢和不夠瀟灑吧。

重点是:SAM从来没有同意过Jason的offer和counter offer.....

1st Jan 2015, Sam offer
term of offer- RM500,000
                   - accept by post
5th Jan 2015- acceptance must mirror the offer, no acceptance. Counter Offer (offer RM500,000, counter offer RM450,000)
letter received by Sam 8th (postal rule, offer already counter at 5th)
8th Sam received Offer from Cousin, Agreed (agreement to sell had been conducted RM700,000)
Revocation (postal rule didn't apply, need actual notice)
7th, Jason want buy, sent letter. This is a new offer by Jason since he counter offer at 5th. (no acceptance from Sam)
Jason unable to get the contract. Sam and Cousin has a contract.

这是 Contract Law的范围。

形成 contract 需要三个要素:-
1。Offer and Acceptance (提议与接受)
2. Consideration (对价)
3. Intention to legally bind (愿意受法律约束)






在上面的例子,缺少了3 大要素。


1。Offer and Acceptance (提议与接受)
Counter offer 是一种对offer的否定(rejection of offer).在 10th Jan,是Jason reoffer 的状况,不是accepttance, 所以,第一条要素不存在。


*Counter-offers and correspondence The "mirror image rule" states that if you are to accept an offer, you must accept an offer exactly, without modifications; if you change the offer in any way, this is a counter-offer that kills the original offer and the original offer cannot be accepted at a future time: Hyde v. Wrench (1840)


2. Consideration (对价交换)
在房屋买卖,consideration 很重要, 就是下定金。定金的用意,就是把买权力的卖给 Jason, 就是,那房屋在一段时间不可以卖其他人。(就算10块-50块也可以,是要有凭证)


3. Intention to legally bind (愿意受法律约束)
在房屋买卖,这项通常是指签SP Agreement(签了就是有意愿让法律来约束双方), Jason没有任何东西可以证明他的意愿。


*Property contract 是双边合同,是要双方的承诺,在这case, Sam 要同意让出他屋子的title, 同时Jason 愿意付出钱来做交换。
