居鑾與2聯號‧建議股息再投資

（吉隆坡22日訊）居鑾（KLUANG,2453,主板種植組）及旗下兩家聯號公司古才（KUCHAI,2186,主板礦務組）和雙溪巴眼（SBAGAN,2569,主板種植組）同時建議展開股息再投資計劃。

3家公司分別發表文告指出，將以公佈訂價日算起的5天加權股價，並以不超過10%折價為準，計算有關股票售價。

股息再投資計劃須獲得股東的書面授權，因此股東若是選擇現金股息，則可忽略相關文件。（星洲日報／財經）

On behalf of the board of directors of KDB (“Board”), CIMB Investment Bank Berhad (“CIMB”) wishes to announce that the DRS will be implemented for the special dividend of 4.728 sen per ordinary share of RM0.50 each in KDB less 25% income tax in respect of the financial year ended 30 June 2013 (“Special Dividend”), as announced today. 『某年今日此矿湖，人面矿业相映红，人面不知何处去，矿湖依旧笑春风。』

古仔（KUCHAI，2186，主板矿业股），一个熟悉的名字。

记得小时候经常会在收音机听到它的名字，尤其是中午和晚间新闻后，古仔报 xxx，涨/跌 xxx。

作为矿业指数唯一的股项，虽然当时的一景一物，早已面目全非，废置的矿地，却万『古』流芳。

古仔的主要业务是：

根据2013年的财报显示：
1. 长期股票投资组合；
2. 银行定存；
3. 产业出租。

有鉴于此，古仔的主要收入是来自股息、租金和利息，其中股息占了84%的比重。

古仔也有另一项种植业的收益，由于是来自联号公司双溪峇眼（SBAGAN，2569，主板种植股），因此所认列的收益是以持股的百分比计算。

古仔于1967年购买的那块位于乌鲁冷岳8英亩的矿地，目前是闲置着；租金收入是来自新加坡那间于1986年买入的战前的店屋。

究竟是那一年开始停止其核心的矿业，我暂时无从考察。

在交易所能够获得的最早的那份年报是1999年的，那一年的备注就已经显示了此矿地没有贡献任何收益了，因此可以这么说，古仔不务正业最少15年了。

2014财政年，第二季度截止2013年12月31日：

累计营业额：159万令吉，增长21.%

累计净利：602万6千令吉，暴跌80.8%

主要的原因是因为在2013财政年，古仔为其资产做了重估，因此有一笔公允价值调整(Fair Value Gain)入账。

股价：1.34令吉
累计每股净利：4.95仙【年度化后为9.9仙，假设】
本益比：13.5倍

由于来自联号公司的收益比较不稳定，因此此本益比的参考数值不大。

每股净值：2.71令吉
价格/净值：0.49倍

现金及约当现金：3396万2千令吉
借贷：-

股本：120,733,000
每股净现金值：28仙

3家老牌种植/矿业股———居銮（KLUANG，2453，主板种植组）、古仔和双溪峇眼在2013年9月20日同时宣布派发需扣税25%的特别股息，以及股息再投资的新股定价。

这3家公司互相控制，互相牵制，即居銮和古仔控制了双溪峇眼的32%和26%；双溪峇眼和古仔控制了的居銮6%和1.5%；而居銮和双溪峇眼则控制了古仔的42%和9%，老树盘根，想要解开也不是一件容易的事。

这样推算起来，大股东李氏家族通过交叉控股，再利用股息再投资计划，更加牢控3家公司的股权，不排除大股东有一天会私有化这3家公司。

后记：古仔虽然有公司网站，可是却有如他们的矿场一样 – 形同虚设，按照网站上的电子邮件信箱发了一封信给管理层，以询问几项事项，可是邮件却被折返回来。

后来，再按照网站上的电话号码，直接摇个电话过去，才发现，那是古仔股票注册登记处的电话号码。

我的问题大致如下：
1. 请问能否透露管理层所投资标的名字？每一个标的股息贡献。
2. 又或者，管理层所投资的标的板块？
3. 管理层在投资时，以什么做准则？
4. 请问矿地目前的情形？废置的矿地，可否有转换的价值？管理层有何打算？
5. 3396万2千令吉，虽然不是说很多，但是管理层有没有计划去找寻其他比放在定存领取微博利息更好的资产呢？

得不到管理层的回应，我有如站在废置的矿湖边，回想起这首诗：

『昔人已乘黄鹤去，此地空余黄鹤楼。黄鹤一去不复返，白云千载空悠悠。』

布城湖是利用以前开采锡矿后留下的废矿坑改建而成的。

兄弟，除了在AGM時追問之外，恐怕你無法從其它途徑得到你要的info.
Call 過幾次，co sec 都建議我去AGM 問。
當初，我以為大股東不支持老主席連任，會有正面的搞作，可惜越來越似為私有化作准備。心漸漸淡•••
