（吉隆坡30日讯）Kuchai Development Bhd计划以股代息，以每持有Kuchai的62.6股获得1股Kluang Rubber Co (Malaya) Bhd股票的比例，派发高达198万股Kluang Rubber股票予股东。

Kuchai表示，这198万Kluang Rubber股票包括Kuchai现持的95万9522股，以及将从Sungei Bagan Rubber Co (Malaya) Bhd以股代息中获得的102万股。Kuchai是Sungei Bagan Rubber的股东。

Kuchai向大马交易所报备，建议进行以股代息是为了回馈股东的持续支持，并通过让他们选择继续直接参与Kluang Rubber来释放股东价值。

Kuchai补充说：“（这也是）让股东可以直接从Kluang Rubber的未来表现中受惠，以及从Kluang Rubber的股票流动性改善中获益。”

以股代息将由Kuchai的保留盈余支付。

Kuchai指出，Sungei Bagan有意通过以股代息，派发Kluang Rubber的384万股予股东。

Kuchai有望收到Kluang Rubber的102万股，或相等于3.13%股权。

Kuchai在2000年之前，收购Kluang Rubber的95万9522股，最初投资成本为397万令吉。

然而，以股代息必须在即将举行的股东常年大会上，获得Kuchai股东的批准。

在任何无可预见的情况下，预计2019年1月30日完成以股代息活动。

一旦完成，Kuchai在Kluang Rubber的持股权将降至零。

截至下午2点35分，Kuchai报1.87令吉，涨14仙或8.09%，市值达2亿1408万令吉。Kluang Rubber今日无交易，其最后闭市价为3.85令吉，市值达2亿4321万令吉。

The Board of Directors of Kuchai wishes to announce that the Company proposes to distribute up to 1,976,956 Kluang Rubber shares (“Dividend Shares”), which consists of its current holding of 959,522 shares and the 1,017,434 shares to be received from the dividend in-specie by Sungei Bagan Rubber Company (Malaya) Berhad ("Sungei Bagan"), a Company which Kuchai is a shareholder of, by way of dividend in-specie to the shareholders of Kuchai, on the basis of one Kluang Rubber share for every 62.6 ordinary shares held in Kuchai, fractions of Kluang Rubber shares to be disregarded (“Proposed Dividend In-Specie”). The Proposed Dividend In-Specie will be carried out following the completion of the proposed dividend in-specie by Sungei Bagan.
