(“PSSSB”), a wholly-owned subsidiary of the Company had on 28 December 2018 entered into a Sale and Purchase Agreement with GMS Purnamax (M) Sdn. Bhd. (formerly known as GMS Purnaimpex Sdn. Bhd.) (Company No. 279914-V) for the acquisition of all that piece of freehold land and building held under Individual Title Geran 86347, Lot No. 202, Seksyen 19, Bandar Rawang (formerly known as H.S.(D) No. 28291, P.T. No. 10363, Mukim Rawang), Daerah Gombak, Negeri Selangor, measuring approximately 8,093 square metres together with a three (3) storey building and a single storey warehouse, having its postal address at Lot 3, Jalan RP, Rawang Perdana, 48000 Rawang, Selangor Darul Ehsan, at a total purchase consideration of RM14,500,000.00 (Ringgit Malaysia: Fourteen Million and Five Hundred Thousand) only (“Proposed Acquisition”).

The entitlement date and date of payment in respect of the aforesaid final dividend will be determined and announced by the Company in due course.

Remarks :
17,499,600 Issue Shares are reserved for applications by the entitled shareholders of Prestar (except for the Excluded Shareholders^) whose names appear in the record of depositors of Prestar as at 5:00 p.m. on 20 June 2019 (Entitlement Date) (Entitled Shareholders of Prestar) as follows:
(i) each Entitled Shareholder of Prestar who applies for at least 100 Issue Shares is guaranteed an allocation of 100 Issue Shares;
(ii) any Issue Shares applied for after the allocation under item (i) above shall be allocated to the Entitled Shareholders of Prestar who apply in excess of 100 Issue Shares on a pro-rata basis according to their respective shareholdings in Prestar as at the Entitlement Date; and
(iii) any Issue Shares applied for after the allocation under items (i) and (ii) above shall be allocated to the Entitled Shareholders of Prestar on pro-rata basis according to the remaining Issue Shares under application.
In the event there are any balance Issue Shares under the Restricted Offering after the above sequence of allocations are completed, the balance will be allocated in accordance with the processes set out in items (ii) and (iii) above.
Note:
^ Excluded Shareholders are defined as shareholders of Prestar whose names appear in its record of depositors as at 5:00 p.m. on the Entitlement Date who fall into any one of the following categories:
(a) persons with a registered address in jurisdictions outside Malaysia;
(b) persons located in jurisdictions outside Malaysia in which acceptance under the Proposed Restricted Offering would result in the contravention of the laws of such jurisdictions; or
(c) persons who are, in the opinion of the Board of Directors of Tashin Holdings (Board) (on the advice of the legal advisers), necessary or expedient to be excluded from participating in the Restricted Offering by reason of legal or regulatory requirements.
The entitlement of the Entitled Shareholders of Prestar to participate in the Restricted Offering is non-renounceable and non-tradable. Entitled Shareholders of Prestar are not allowed to submit multiple applications for the Issue Shares made available under the Restricted Offering and the Board has the absolute discretion to reject multiple applications.

Reference is made to the announcements dated 12 July 2017, 9 January 2018, 9 March 2018, 17 April 2018, 20 June 2018, 13 December 2018, 8 January 2019, 9 April 2019 and 3 June 2019 in relation to the above.
On behalf of the Board, M&A Securities is pleased to announce that as at the close of application and payment for the Restricted Offering at 5.00 p.m. on 19 July 2019, the total valid applications received were 13,293,800 Issue Shares, representing a subscription rate of 76.18%. The remaining 4,155,800 Issue Shares or approximately 23.82% over the total amount of 17,449,600 Issue Shares reserved for applications by the Entitled Shareholders of Prestar were made available for application by the Malaysian Public in accordance with Section 4.11.1 of the Prospectus dated 25 June 2019.
Details of the valid applications received as at the close of application and payment for the Restricted Offering at 5.00 p.m. on 19 July 2019 are as follows:
