WCT Holdings Berhad ('WCT' or 'the Company')(I)        Notice of Arbitration from Segi Astana Sdn Bhd to Malaysia Airports Holdings Berhad(II)        Notice of Arbitration from Malaysia Airports Holdings Berhad to Segi Astana Sdn Bhd and WCT Berhad
The Board of Directors of WCT wishes to announce that the Company’s 70%-owned joint-controlled  company, Segi Astana Sdn Bhd ('SASB'), had on 21 March 2019 through its solicitors served a Notice of Arbitration dated 21 March 2019 on Malaysia Airports Holdings Berhad ('MAHB'), claiming against MAHB a sum of RM70.0 million in respect of losses and damages suffered pertaining to, inter alia, the delay in the commencement of the commercial operation of the KLIA-2 Integrated Complex. The sums are payable pursuant to the Concession Agreement dated 22 September 2011 executed between SASB, WCT Berhad ('WCTB') and MAHB ('the Concession Agreement').

Concurrently, SASB and WCTB have on 21 March 2019, received a Notice of Arbitration from MAHB through its solicitors, whereby MAHB is claiming from SASB and WCTB fixed monthly charges of RM958,849-00 per month for the supply of chilled water for the cooling system of the KLIA-2 Integrated Complex from September 2013 until to date, allegedly due pursuant to the Concession Agreement ('MAHB’s Claim').  Both SASB and WCTB are disputing and challenging MAHB’s Claim.

The arbitration proceedings are not expected to have any material financial or operational impact on the Company, SASB or WCTB, for the financial year ending 31st December 2019.

The Company will announce any material development arising from the above proceedings as and when necessary.

This announcement is dated 25 March 2019.

建筑产业获利减‧WCT次季净利跌47%

(吉隆坡27日讯)建筑和产业获利降低,WCT控股(WCT,9679,主板建筑组)截至2019年6月30日止第二季净利下跌46.54%至2269万7000令吉,拖累上半年净利滑落20.75%至6302万令吉。

第二季营业额减少32.81%至4亿5010万7000令吉,上半年营收滑落20.25%至9亿6475万6000令吉。

WCT控股在文告中表示,第二季工程及建筑部门营收和营运盈利降低,因部分现有项目接近完工,以及新获工程尚在初步阶段。

产业发展盈利下滑是由于前期有售地获利,次季销售的产业单位共8200万令吉(前期1亿1100万令吉)。

至于产业投资与管理部门的营收和盈利则改善。

展望未来,该集团预期工程和建筑部门可继续获强劲的工程订单所支持,产业发展部门则将推出更多可负担房屋,以及将继续减少未售产业和脱售闲置地库。

该集团将继续减债以加强财务地位和改善负债水平,同时预期可在现财政年达到满意的财务表现。

获林晓春旗下公司10亿项目意向书

另一方面,WCT控股接受一份意向书,获得大股东丹斯里林晓春旗下Jendela Mayang公司颁发柏威年白沙罗高原第二期建筑项目,估计合约价值10亿令吉。

该公司表示,工程包括完成一栋32层的办公楼和酒店,两栋住宅高楼及相关外部工程。

双方将进一步洽谈以达致正式合约。

Pavilion Damansara Heights Development - Parcel 2 ("Project")
The Board of Directors of WCT Holdings Berhad (“WCT” or “the Company”) is pleased to announce that WCT Berhad (“WCTB”), a wholly-owned subsidiary of the Company has on 27 August 2019 accepted a letter of Intent (“Letter of Intent”), subject to contract, from Jendela Mayang Sdn Bhd (“JMSB”) for the construction and completion of the aforementioned Project (forming part of the Pavilion Damansara Heights proposed commercial development) for an estimated contract sum of approximately RM1.0 billion (“Proposed Contract”).

This Project forms an integral part of the overall proposed integrated commercial development known as Pavilion Damansara Heights which is developed concurrently by JMSB and Impian Ekspresi Sdn Bhd, both companies in which Tan Sri Lim Siew Choon (“TSLSC”), the Executive Chairman and major shareholder of WCT, is a substantial shareholder and director.

The scope of works under the Proposed Contract shall encompass the execution and completion of 1 block of 32 storey office and hotel on a podium block comprising retail space, mezzanine floors and works to lower ground floor and basement car park, 2 blocks of residential tower, hard and soft landscape works and external works, including road and drainage, water reticulation, sewerage and a MRT link bridge.

The Letter of Intent shall not constitute a binding contract at this juncture as it is still subject to further negotiations and finalisation of the terms and conditions by both WCTB and JMSB.

The Proposed Contract is considered a recurrent related party transaction (“RRPT”) between the WCT Group and JMSB, which is deemed as a related party, by virtue of TSLSC, being a substantial shareholder and director of JMSB. As such, the acceptance of the final award of the Proposed Contract will be subject to the approval of the Board of Directors of the Company (whereby TSLSC shall accordingly abstain from all deliberations and decisions relating to the Proposed Contract).

The Company had earlier obtained its shareholders’ mandate at the Company’s 8th Annual General Meeting held on 12 June 2019 for WCT Group to enter into such RRPT with a related party.

A separate announcement will be released at a later date upon finalisation of the terms and conditions of the Proposed Contract and acceptance of the final award of the Proposed Contract by WCTB.


This announcement is dated 27 August 2019.

Reference is made to the previous announcement dated 10 March 2017 pertaining to the Company’s Middle East Regional Office in Doha, Qatar received from the Dubai International Arbitration Center (DIAC) a Request for Arbitration (Arbitration) filed by TSC, naming the Arabtec Construction LLC (ATC) as the First Respondent and WCT Berhad (Dubai branch), a branch office of WCT Berhad (WCTB), a wholly owned subsidiary of the Company, as the Second Respondent, where ATC and WCTB are unincorporated joint venture partners on a 50:50 basis (AWCTJV).

The Board of Directors of WCT wishes to announce that WCTB had on 11th February 2020 received from its solicitors in Dubai, the Arbitral Tribunal’s Final Award in respect of the Arbitration proceedings.

The Arbitral Tribunal’s Final Award dismisses TSC’s claim against AWCTJV in its entirety and makes the following further ancillary orders:
  • TSC shall be responsible for 70% of the arbitration costs (already paid in full by TSC) while AWCTJV shall be responsible for 30% of the arbitration costs (partially paid by TSC). In this respect:
    • AWCTJV to reimburse TSC a sum of AED218,098 being AWCTJV’s portion of the arbitration costs paid by TSC; and
    • AWCTJV to pay the balance of AWCTJV’s portion of the arbitration fees amounting to AED378,860 directly to DIAC;
  • TSC is to bear its own legal costs; and
  • TSC to pay to AWCTJV AED601,208.60 for AWCTJV’s legal costs.

Mr. Chow has 40 years of working experience of which 35 years were in the banking and financial services and the remaining 5 years in property development and hospitality industries. He began his professional career as a banking officer in D&C Bank Berhad (now RHB Bank Berhad) in October 1978. He held the position until his retirement from the bank in February 2014.During his banking career, Mr. Chow held senior management positions with revenue and profit accountability and had developed and implemented business transformation strategies to continually drive business and revenue growth.After retiring from banking, Mr. Chow has been involved in providing business and management guidance to companies in the property development and hospitality industries. WCT HOLDINGS BERHAD ("WCT" OR "COMPANY")ACQUISITION OF OPTIONS TO ACQUIRE THE DEVELOPMENT RIGHTS OVER EACH AND EVERY OF THE PARCELS COMPRISING LANDS MEASURING APPROXIMATELY 411.394 ACRES IN TOTAL AREA SITUATED AT LOK KAWI, DISTRICT OF PUTATAN, SABAH FROM YAYASAN SABAH
The Board of Directors of WCT (“Board”) wishes to announce that WCT Perkasa Sdn Bhd (formerly known as WCT Realty Sdn Bhd) (“WCTPSB” or “Developer”), an indirect 80% owned subsidiary of WCT, had on 13 October 2021 entered into a principal agreement (“Principal Agreement”) with Yayasan Sabah (“YS” or “Vendor”) for the acquisition of options to acquire development rights whereby the Developer is granted options by the Vendor to acquire the sole, exclusive and absolute development rights over each and every of the parcels comprising lands measuring approximately 411.394 acres in total area situated at Lok Kawi, District of Putatan, Sabah (“Options” and each an “Option”) (“Acquisition”).

Please refer to the attachment for the details of the Acquisition.

WCT Holdings Berhad ("WCT" or "the Company")Arbitration between Malaysia Airports Holdings Berhad, Segi Astana Sdn Bhd and WCT Berhad
Reference is made to the Company’s previous announcements pertaining to the Arbitrator’s Final Award in relation to the arbitration proceedings by Malaysia Airport Holdings Berhad (“MAHB”) against Segi Astana Sdn Bhd (“SASB”) (a joint-controlled company jointly owned by the Company and MAHB on 70:30 basis) and WCT Berhad (“WCTB”) (a wholly owned subsidiary of the Company).  

The Board of Directors of WCT wishes to announce that SASB and MAHB have on 1 November 2021 entered into a mutually agreed amicable payment agreement for the amounts awarded under the Arbitrator’s Final Award to be settled by SASB progressively over a period of nine (9) months. Pursuant to the terms of the agreement, all pending legal proceedings arising from the arbitration will be discontinued and withdrawn with no order as to costs.
