(吉隆坡5日讯)汇华产业(Hunza Properties Bhd ( Financial Dashboard))大股东把私有化收购价,从每股2.50令吉调高至2.90令吉,带动该股今日升至2.77令吉的5年新高。

汇华产业(基本面:1.7;估值:1.5)昨日向大马交易所报备,已收到大股东 Khor Teng Tong Holdings私人有限公司的来函,表明将提高每股资本回退额,至2亿6760万令吉或每股2.90令吉,之前献议价为2亿3070万令吉。

Khor Teng Tong Holdings在今年3月表明,欲通过资本回退私有化汇华产业。Khor Teng Tong Holdings和其行动一致人士,共同掌控该公司59%股权。

其他大股东包括朝圣基金局(7.28%)和槟城土著基金会(6.45%)。

截至早上11时01分,该股报2.73令吉,上扬10仙或3.8%,交易量为145万8600股。市值为5亿9197万令吉。

REVALUATION IN COMPLIANCE WITH FINANCIAL REPORTING STANDARD 140
1. INTRODUCTION
The Board of Directors of HUNZPTY wishes to announce that the Company had undertaken the annual revaluation exercise on all the Group’s Investment Properties. Details of the Investment Properties (including its financial impact) are as per the Table attached (except those Investment Properties with no material difference between current market value and their carrying values). The Board has today approved the incorporation of the net gain arising from fair value adjustment of the Investment Properties in the consolidated financial statements for the financial year ended 30 June 2015.

2. PURPOSE OF VALUATION
The valuation is carried out pursuant to the Group’s accounting policy and to be in compliance with the Financial Reporting Standard (“FRS”) 140, Investment Property.

3. REVALUATION SURPLUS
The gain arising from fair value adjustment of the Investment Properties is approximately RM51,000. The details of the fair value gain are set out in the Table attached.

4. EFFECTS ON THE NET ASSET VALUE
The fair value gain of approximately RM51,000 has resulted an increase of 0.02 cents* of net assets per share for the outstanding shares as at 30 June 2015 (not including treasury shares).

5. DATE OF VALUATION
The valuation was done on March/June 2015.

6. NAME OF VALUER
The valuation was done by independent firms of professional valuers as in the Table attached.

7. DOCUMENTS AVAILABLE FOR INSPECTION
The Certificates of Valuation in relation to the Revaluations are available for inspection at the Registered Office of Suite 12-02, 12th Floor, Menara Zurich, 170 Jalan Argyll, 10050 Penang during normal office hours from Monday to Friday (except public holidays) for a period of 3 months from the date of this announcement.

* This is excluding the effect of deferred tax derived from booking of 5% RPGT for the gain on revaluation of investment properties.

汇华被索偿2002万

(吉隆坡16日讯)汇华产业(HUNZPTY,5018,主板产业股)宣布,接获Gurney Park联合管理机构所发出的传讯令状和索偿陈述书,要求赔偿2002万300令吉。

根据文告,后者是针对2009年至2010年的路陷事件展开控诉。

除了索赔2002万300令吉,Gurney Park联合管理机构也要求索赔利息和成本。

汇华产业已在今天出庭,同时也已指示律师辩护,申请取消控诉。【南洋网财经】

匯華產業斥5702萬檳購地

(吉隆坡20日訊)匯華產業(HUNZPTY,5018,主要板房產)建議以5702萬420萬令吉,在檳城購地。

匯華產業向馬證交所報備,獨資子公司Diamaward(大馬)私人有限公司,與WLB房地產私人有限公司簽署買賣協議,以5702萬420萬令吉現金,收購位于檳城約3.924公頃的土地。

根據報備文件,匯華產業將通過內部融資和銀行貸款,來支付是項土地收購。

該公司將在探討負債水平、利息成本,及內部營運現金需求后,才決定內部融資和銀行貸款的比例。

许廷忠:续推动发展 汇华下市后营运如常

(吉隆坡20日讯)在完成私有化后,汇华产业(HUNZPTY,5018,主板产业股)将成为一家私人公司,而运作一切照旧,以及不会忽略企业监管。

汇华产业创办人和拿督许廷忠,日前在股东特大向记者表示:“公司业务不会显著变化,营运仍如往常,我们将以私人企业身分,继续推动公司发展。”

专注发展槟房产

汇华产业早前接获大股东许廷忠控股私人有限公司,建议通过削减面值与资本回退,私有化汇华产业。

通过这项私有化活动,股东将获得每股2.90令吉或总值2亿6764万令吉资本回退。

股东在特大上通过这项建议,赞成票达95.47%。

被问及私有化原因,许廷忠指出,国内市况具挑战,加上竞争加大,尤其在槟城产业领域,而决定私有化。

汇华产业将在未来三年,专注在槟城的产业发展计划,包括拥有33层和34层公寓的Alila II项目,和Casa Innova第二与第三期工程。

(1):2015年3月20日,匯華產業宣佈,由公司非執行董事拿督許廷忠為首的許氏家族及相關人士,作出私有化計劃獻議,即通過選擇性削減資本及回退行動,以將公司私有化。

大股東是以每股獻購價2令吉50仙進行私有化。較後於2015年8月6日,有關獻購價上調至每股2令吉90仙。

獨立顧問:不公平但合理

該公司於志期2015年10月23日的股東通知書中,有關私有化計劃建議的獨立諮詢顧問-MERCURY證券在致給股東的信函中指出,認為有關的獻購建議是“不公平”,不過,卻是“合理”,從而建議股東在股東特別大會中,投下贊成票,接受私有化計劃。

Description
HUNZA PROPERTIES BERHAD ("HUNZA" OR "COMPANY")SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE UNDER SECTION 64 OF THE COMPANIES ACT, 1965 ("ACT") ("SCR")
(Unless the context otherwise requires, all definitions used herein shall have the same meanings assigned thereto in the announcement made by the Company on 31 March 2015 and 4 August 2015)

We refer to the Company’s announcement dated 4 August 2015, 6 August 2015, 22 October 2015, 18 November 2015, 24 February 2016, 1 March 2016, 4 March 2016 and 30 March 2016 in relation to the SCR.

On behalf of the Board of Directors of Hunza, we wish to announce that Bursa Securities had, vide its letter dated 5 April 2016, informed the Company that the entire issued and paid-up share capital of Hunza will be removed from the Official List of Bursa Securities with effect from 9.00 a.m. on Friday, 8 April 2016 pursuant to Paragraph 16.07(b) of the Main Market Listing Requirements of Bursa Securities.

As such, the SCR is completed upon the delisting of Hunza.
