ACQUISITION OF SHARES IN CNX SOFTWARE SDN. BHD.

REDTONE INTERNATIONAL BERHAD ("REDTONE" OR "THE COMPANY") ACQUISITION OF SHARES IN CNX SOFTWARE SDN. BHD. The Board of Directors of RIB wishes to announce that the Company has on 17 January 2008 acquired 100,000 ordinary shares of RM1.00 each being the entire issued and paid-up capital of CNX Software Sdn. Bhd. (“CNX”) for a cash consideration of RM100,000.00 ("the Acquisition"). CNX was incorporated in Malaysia on 22 December 2003 as a private limited company by shares. It currently has an authorised capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each have been fully issued and paid up. CNX is currently carrying its business on provision of multimedia products and services. The Acquisition is not subject to the approval of the shareholders and it is not expected to have any material effect on the earnings and net assets of the Company for the current financial year. None of the Directors and/or substantial shareholders of the Company and persons connected to them have any interest, direct or indirect in the above acquisition. This announcement is dated 21 January 2008.
