探讨派息加强透明度.花时装或涉足建筑运输

(吉隆坡29日讯)花时装(VOIR,7240,主板贸服组)不排除多元化业务至建筑、物流及产业发展领域,同时,也将探讨派息政策,以加强股东利益及增加透明度。

花时装主席拿督查鲁尔阿末莫哈末苏菲基里在股东大会后表示,合理化业务尚在进行中,预计最新的商业计划将于近期出炉。

他指出,该公司已经过1年的合理化活动,相信是作出最终结果的时机。

也是Zenith集团主席的查鲁尔表示,Zenith的业务涉及建筑及运输,因此,将会尝试把该两项业务带入花时装。

查鲁尔表示,Zenith有望在槟城进行一项大道工程,料在今年7月可以获得最终结果,而相信花时装子公司将会涉及部份工程,不过,胥视管理层的决定才有最终结果。

“因此,花时装最大可能将会进入建筑及物流领域,目前,管理层已在准备相关文件,以便获得相关单位的批准。”

查鲁尔相信这是花时装的一大里程碑,因为将决定未来的方向。

他也不排除花时装进入产业发展的领域,主要胥视管理层的决策。

尚贡献盈利
不结束业务

查鲁尔表示,尽管花时装探讨缩小服饰业务,但是,并没有计划要结束该业务,因为,尚有部份依然贡献盈利及拥有成长的潜能。

至于服饰业务,董事经理谭雄杰表示,花时装尚在观察中,会继续进行合理化活动。

他说,预计在本财政年将会开设3至4家门市,下周将于云顶名牌商品城(Genting Premium Outlets)开设一家门市,而在2015至2016年间,花时装已经关闭7家门市。

至于拖累花时装盈利表现,而在2016年中停止的餐饮业务,查鲁尔相信花时装并没有重新进入该业务的打算。

查鲁尔指出,为了让花时装更具透明度,相信管理层会在今年或明年拟定派息政策。

查鲁尔直言,以目前的经济状况,相信消费者将会倾向于选择必需品,因此,该公司将会寻求政策,以改善服饰业务表现,包括削价。

此外,查鲁尔也指出,花时装不会被私有化,并将会维持上市公司地位。

花时装探进建筑产业
拟购Consortium Zenith 13.21%


2017年8月31日
(吉隆坡30日讯)花时装(VOIR,7240,主板贸服股)建议,认购Consortium Zenith建筑股权,多元化至建筑、产业发展、产业投资、基建工程及大道经营业务。

花时装向交易所报备,以986万令吉认购Consortium Zenith建筑350万股新股,相等于13.21%股权。

同时,以2100万令吉脱售Applemints服装全数股权,脱售所得用于偿还银行贷款和企业营运资本。

集团将从这项脱售活动,取得约70万令吉净利。

花时装主要涉足服装、鞋子和配饰零售业务,但由于国内外知名品牌所引起的激烈竞争,导致集团面对严峻挑战。

加上实行消费税,消费者情绪疲弱,令吉贬值进一步导致本地服装零售业竞争白热化。

因此,该集团决定整顿服装零售业务,通过脱售Applemints服装,退出男女服装业,而把焦点放在女性服装。

由于服装零售业在过去财年的营业额增长受限,所以,集团自去年开始扩展营业额来源至建筑业务。

由于建筑、产业发展、产业投资、基建工程及大道经营业务的盈利潜能及增长前景诱人,集团相信上述股票认购及多元化业务,将有助提升未来展望及带来更多收入。

建议改名Vertice

完成股票认购及多元化后,集团继续在短期内寻求新建筑工程,而在中长期鉴定其他可行业务的机会,以改善股东回酬。

为了更好地反映企业形象,加上预计新业务将成为未来主要贡献,花时装因而建议,把公司名字改为Vertice公司。

另一方面,该集团建议成立一项股票发行计划,发行高达15%股本给合格董事及雇员。【e南洋】

花時裝控股 獲8042萬分包合約

(吉隆坡16日訊)花時裝控股(VOIR,7240,主要板貿服)獲頒8042萬令吉發展分包合約。

花時裝控股向馬證交所報備,獨資子公司Million Twilight私人有限公司收到由Kuasa Lumpadang私人有限公司頒發的分包合約,以完成首階段發展計劃,包括辦公大樓、雙層店屋、娛樂中心、以及泊車場。

這項鋼筋混凝土和機械工程分包合約,價值8042萬令吉。

該公司將從下周一(20日)展開這項為期35個月的工程。

Financial Effect

进军建筑若理想.花时装或设股息政策

(吉隆坡23日讯)花时装(VOIR,7240,主板贸服组)进军的建筑业务若表现理想,不排除在2019年设立股息政策。

该公司主席拿督再鲁在股东特大后向《星洲财经》表示,花时装完成收购Zenith建筑公司13.21%股权后,届时该业务将为公司带来显著贡献。

Zenith手握63亿合约

“Zenith手握63亿令吉合约,可支撑未来10年业绩表现。”

Zenith合约包括道路及槟城海底隧道。

再鲁说,如果业务表现理想,不排除在2019年,设立股息政策。

询及未来是否会增持Zenith股权一事时,再鲁则表示,胥视Zenith未来的表现,再做定论。

“如果现在我们收购Zenith大宗股权,就将抵触条例,需要进行倒置收购(RTO),因此,我们只收购小宗股权。但未来表现若良好,不排除会增持更多Zenith的股权。”

有关花时装现有的合约,再鲁说,不包括Zenith合约计算在内,该公司现在有两宗合约,总值约1亿令吉左右。

针对服装与建筑业务的贡献比例,再鲁说,现阶段无法提供相关数据,只能尾随市场的变化,再决定营运方针。

花时装主要涉足服装、鞋子和配饰零售业务,但由于竞争激烈,该集团决定整顿服装零售业务,通过脱售Applemints服装,退出男女服装业,而把焦点放在女性服装。

Vertice私配30%筹6279万

2017年12月20日
(吉隆坡19日讯)前身为花时装的Vertice(VERTICE,7240,主板贸服股),建议通过向第三方私下配售最多6156万股新股或30%股权,筹资最多达6279万1000令吉。

Vertice向交易所报备,假设发售价为每股1.02令吉,是5日交易量加权平均市价(VWAP)折价9.73%,能筹得最低4443万1000令吉,最多6279万1000令吉。

按所筹得的最低资金,其中4043万1000令吉或占总额91%的资金,将作为建筑项目开销资本;300万令吉为营运资本,剩余资金将支付本次私下配售开销。

该建筑项目资本,是用于Vertice在今年11月获得的三项分包合约,总值1亿739万令吉。

Vertice预计上述活动在明年次季完成,并解释,私配是最合适的筹资方法,因为无须支付利息或偿还贷款,让公司得意保留现金来重新投资与增长。

完成上述私下配售后,Vertice股本将从1亿4520万股,扩大到至少1亿8876万股;缴足资本也从7402万1898令吉,增加到至少1亿1845万3098令吉,而负债率也从目前的0.02倍,微降至0.01倍。 【e南洋】

联号公司63亿工程招标
Vertice料获槟城建筑合约

(吉隆坡13日讯)前身为花时装的Vertice(VERTICE,7240,主板贸服股),可能会从联号公司Consortium Zenith建筑(CZCSB)手中,取得槟城主要道路和海底隧道部分合约。

目前,CZCSB正为旗下总值63亿令吉槟城项目进行招标,而已多元化业务至建筑领域的Vertice,将有望从中分一杯羹。

身兼CZCSB高级执行董事及VERTICE主席的拿督再鲁阿末,今天接受《南洋商报》专访时披露,自成荣集团(MUDAJYA,5085,主板消费产品股)上月与CZCSB终止槟城项目的合作后,公司现已在着手为该项目的第二配套工程进行招标。

“我们计划将工程配套拆细,可能会分成2至3块,并转包给其他建筑公司。”

再鲁称,Vertice有可能获得合约。但他强调,Vertice和CZCSB依然是非常独立运作的个体,因此,双方都会循规蹈矩地进行竞标项目。

成荣集团是在去年12月2日时,获得Consortium Zenith BUCG有限公司(CZSB的前身)颁发总值8亿1000万令吉的第二配套项目工程合约。

不过,双方今年11月宣告终止合作,而相关工程也尚未动工。

建筑业务贡献

明年翻身在望

另一方面,截至今年九月杪第三季,Vertice净亏31万令吉;累计首九个月,更是蒙受192万4000令吉净亏。

再鲁点出,随着建筑业务很快开始贡献营收,明年业绩有望好转。

“我们目前手持订单达1.32亿令吉,在未来公司将会继续竞标更多工程。”

至于今年业绩逊色,再鲁解释,这可归咎于令吉走跌导致进口原材料成本变高,以及数项内部企业活动的单次开销。

服装业专攻女性时装

除了建筑业务,再鲁指出,公司依然会经营服装业务,并在未来会专攻女性时装市场。

“我们进军建筑领域,是因为要把业务更多元化,而非希望可全仗单一业务来贡献收入。服装业务竞争激烈,因此,我们会专注在女性市场。”

Vertice的前身花时装(Voir),之前涉足男女服装、鞋子和配饰等业务,旗下品牌包括Voir、SODA、South China Sea和Diadora。

为了重整业务焦点,公司早前已脱售男女服装生意Applemints。

探讨进军电子商务再鲁也称,电子商务为大势所趋,因此,公司将会探讨网售业务的潜能。

“越来越多人的购物习惯已经改变,消费者足不出户就可买到自己心仪的商品,因此,进军网购将会是大势所趋。”【e南洋】

Vertice Berhad (“Vertice” or “the Group”), formerly known as Voir Holdings Berhad today made several statements regarding the recent media reports in relation to Malaysian Anti-Corruption Commission’s (“MACC”) investigation on the Undersea Tunnel Project in Penang (“the Project”). The Group has confirmed the following:
  • To the Group’s best knowledge, the current investigation by MACC on the Project will not impact its progress which is an integral component of the Penang Transport Master Plan.
  • The role of Consortium Zenith Construction Sdn Bhd (“Consortium Zenith”) (a 13.2% associate company of Vertice) as the main contractor for the Project will continue as previously planned.
  • As part of the Group’s diversification efforts, the main revenue driver for the Group moving forward will be from construction projects secured and executed by Vertice Construction Sdn Bhd (Formerly known as Million Twilight Sdn Bhd), a wholly owned subsidiary of the Group which has been awarded multiple projects worth more than RM100 million in recent months. We expect that this growth momentum will continue in financial year 2018 and beyond.
  • Therefore, the Group expects that the financial performance of Vertice will not be adversely impacted by the recent reported events.

Vertice公司稱只認購Zenith股份 沒參與海底隧道計劃

2018年1月16日
(吉隆坡16日訊)Vertice Berhad(前稱VOIR Holdings Berhad)今日澄清,該公司並沒有參與檳城海底隧道計劃的建設,相反只是最近向主要承包商Consortium Zenith認購了13.2%的股份。

該公司在文告中指出,該公司是在2016年期間開始進入建築業,目前是一個以時尚及建築為主的上市公司。

文告說,該公司在去年11月22日召開的特別股東大會上,提出了多個提案,獲得股東們一致同意,而其中一項提案就是向Consortium Zenith認購13.2%的股份.

以時尚建築為主

早前馬華署理總會長拿督斯里魏家祥揭露,指價值63億令吉檳城海底隧道計劃,竟然有一家本地小型服裝公司(VOIR Holdings Berhad)參與建設,要求檳州政府予以解釋。

檳州首長林冠英隨後以財政部(機構)購下一項發展計劃公司的51%股權為例,澄清服裝公司擁有兩岸三通一檳城承包商公司股份是投資,不代表要建海底隧道。【中国报财经】
