友联工业获代工合约

（吉隆坡4日讯）友联工业（YLI，7014，主板工业产品股）独资子公司———友联铸造厂公司，与日本久保田公司（Kubota Corporation）签署购买与供应协议，以便为后者制造与销售球墨铸铁管。

根据文告，该代工生产协议为期3年，从2013年至2015年。

友联铸造厂公司将为久保田公司在日本以外的市场，根据其规范、商标与标志，制造球墨铸铁管。

（吉隆坡13日讯）友联工业（YLI，7014，主板工业产品股）主席兼主要大股东丹斯里赛莫哈末尤索夫，以3253万令吉，沽清手上30.04%股权给SuasananKarisma私人有限公司。

赛莫哈末尤索夫也是大马Hard Rock Cafe的专营权持有人。他在上周五，与土地和产业投资公司———Suasana Karisma达成协议，以每股1.10令吉，脱售友联工业2957股给后者。

随着上述交易结束，他不再是公司股东，但尚未公布是否留任主席一职。

董经执董接手赛莫哈末尤索夫是在2007年6月，以8600万令吉（每股2.90令吉）向罗氏家族收购友联工业30%股份。同年8月，他晋升为公司主席。

另外，Suasana Karisma主要大股东是友联工业现任董事经理拿督三苏里及执行董事阿里沙布力。【南洋网财经】

大股东转为间接持股 友联工业拓雪商机

丹斯里赛莫哈末尤索夫可能已经出售在友联工业控股有限公司（YLI，7014，工业产品组）的30%股权，并已终止大股东身份，但这名商人表示他尚未与该公司全面分割。

透过5月9日的一项交易，他已脱售友联工业控股的2956万股票予Suasana Karisma私人有限公司，成交价为3253万令吉或每股1.10令吉。该股于同日也是以1.10令吉挂收。

赛尤索夫透露，与公众认识相反，他目前并没有撤出友联工业控股。他也维持该水管制造商主席职位。

“实际上，我控制Suasana Karisma的3117万优先股，后者则持有友联工业控股的30%股份。”

赛尤索夫在2007年崛起成为友联工业控股控制股东，当时是以8600万令吉，或每股2.90令吉代价，向公司创办人骆氏家族买进30%股权。

赛尤索夫以每股1.10令吉卖出持股，意味着他在这项投资中蒙受亏损。虽然如此，他仍希望可透过持有Suasana Karisma优先股，获得未来股息形式的回馈。

优先股股东并没有投票权，但可在公司获利时，享有固定常年股息。

根据大马公司注册局的资料，Suasana Karisma并没有录得任何盈利或亏损。

回到2007年，当尤索夫加入时，友联工业控股广泛被视为雪兰莪期待已久水供重组活动的受益者。他据称是雪兰莪苏丹萨哈夫汀的密切商业伙伴。

大马交易所文件披露，友联工业控股董事经理拿督森苏利和执行董事阿里沙比，联合控制Suasana Karisma。

有趣的是，在2008年加入友联工业控股之前，森苏利于1996年起担任TRIplc有限公司（TRIPLC，5622，产业组）执行副主席和执行董事。

TRIplc公司是一家建筑与产业发展公司，并与商峰控股有限公司（PUNCAK，6807，基建公司组）执行主席丹斯里罗查利有关，后者持有股份约23%。

罗查利也曾于1999至2009年间，出任前身优木控股有限公司（U-Wood Holdings）的TRIplc公司主席职位。

谈及脱售股份时，赛尤索夫称：“这是一项管理层收购，这并非不寻常，同时意味着带动管理层为所有（友联工业控股）股东们交出佳绩。”

他相信这项管理层收购将确保公司准备妥当，迎接雪兰莪水供领域统一的预期水管铺设活动。

“雪兰莪水供重组活动已经迫在眉捷。经过4年艰辛时期，我们看到所有团体已经朝一致方向努力，预示输送管工业的公司前景看俏。”

“透过来临的冷岳2计划它将有需要替换输送管，以降低非水供收益。”

根据友联工业控股2013常年报告，朝圣基金局持有该公司的6.89%。不过，在今年4月25日，该基金已经终止成为大股东。与此同时，雪兰莪苏丹萨哈夫汀却买进1.1%的股份。

友联工业控股过去5年已经密切关注雪兰莪水供统一的僵局。“在等待雪兰莪水供业重组的同时，我们已强化我们的销售，出口我们的水管到新加坡、印度和斯里兰卡。”

赛尤索夫指出：“我们也与日本公司久保田集团合作，为它们的海外客户制造水管。”

在去年9月，友联工业控股独资子公司友联铸造私人有限公司，已获久保田集团授权，以在原厂设备制造商安排下，制造和销售球墨铸铁水管长达3年。

这项水管制造工程的价值并未公布，但供应予久保田集团的水管数量与价格，将由双方同意拟定。

友联工业控股上周五闭市时挂价1.12令吉，今年迄今涨幅约58%，这可能是因为预期该公司将从雪兰莪水供业统一中受惠。

实际上，该公司已经连续3个财政年年蒙亏。在其截至2013年3月31日止财政年，友联工业控股亏损从前期的262万令吉缩小到244万令吉。而在2011财政年，其净亏损企于4030万令吉。

2013财政年的疲软表现是由于激烈海外竞争，侵蚀了该公司产品的盈利利润，同时政府津贴逐步撤除增加了成本。

虽然如此，友联戒严控股已在2013年3月31日止第4财季转亏为盈，并自此取得季度净盈利。

在截至2013年12月31日止第3财季，该公司的净盈利达到118万令吉，比较一年前净亏损达317万令吉。收益达到3359万令吉，比较之前是1649万令吉。

收益的增长主要是拜西马半岛的较高水管需求所赐。【光华日报财经】

友聯購HPSB和MPIPES 70%股權

（吉隆坡7日訊）友聯工業（YLI,7014,主板工業產品組）擬透過現金和發股方式，總值655萬6千475令吉來收購Haluan Prisma私人有限公司（HPSB）和MRPI PIPES私人有限公司（MPIPES）70%股權，以強化現有核心業務。

該公司發文告指出，將分別以11萬6千260令吉和53萬9千388令吉現金，以及發售104萬6千338股和485萬4千489股，每股售價1令吉新股來收購HPSB和MPIPES的70%股權，並隨即變成集團70%子公司。

目前，HPSB主要涉足建築和工程管理，而MPIPES則從事塑膠產品和管道的製造與貿易，將與友聯工業現有墨鐵管（Ductile Iron）、鋼鐵管和其他水務相關產品相輔相承，有望在業務整合後取得協同效益。

在完成上述計劃後，友聯工業繳足資本將從現有的9千843萬9千令吉擴大至1億零783萬9千令吉，並有望對截至2015年3月31日止和往後的財政年帶來正面盈利貢獻。（星洲日報／財經）
