(八打靈再也17日訊)發展商馬星集團(MAHSING,8583,主要板房產)總執行長兼董事經理丹斯里梁海金,榮獲2012中小企業卓越成就獎(SME Recognition Awards)之2012白金企業家獎項。

該2012中小企業卓越成就獎由大馬中小型工業公會主辦;出席者包括能源、綠色工藝及水務部長拿督斯里陳華貴。

梁海金透過文告說:“我非常榮幸獲得大馬中小型工業公會頒發該獎項,這個獎項將促使我更努力工作,改善每個人的生活。”

馬星集團成立于1986年之前,並于1991上市;在梁海金領導下,馬星集團于1994年開始跨進房地產領域,並于2004年轉至馬股主要板。

其他獲得白金企業家獎項的得獎者包括亞洲廣播網絡(The ABN Media Group)執行主席依華然及Mutiara Motor汽車公司董事經理阿末可敏。[ChinaPress]

梁海金否認 馬星成隆合併

(吉隆坡30日訊)根據《The Edge》財經週刊報導指出,馬星集團(MAHSING,8583,主要板房產)總執行長兼董事經理丹斯里梁海金否認與成隆機構(DIJACOR,5401,主要板房產)合併一事。

早前傳言,成隆機構有意與馬星集團結盟,為抵抗政聯房產集團的圍攻,他們將共同打造私營房地產的巨擘。

更有知情金融執行員指出,成隆機構股東兼總執行長丹斯里陳志成與梁海金的代表,已有過幾次的面談,探討合併的可能與展望。

雖然陳志成有意締盟,但梁海金則有較多的顧慮,因一旦合併成功,陳志成所持有的股權將比梁海金多。

馬星集團亦曾發電郵回應,指出暫時沒有與成隆機構有任何的併購洽談。梁海金在近日與《The Edge》的訪談中,亦親口否認該傳言。[ChinaPress]

发展50亿产业 马星要当柔南产业一哥

(吉隆坡30日讯)马星集团(MahSing,8583,主板产业股)放眼几年内凭在依斯干达经济发展区(IDR)发展总值(GDV)约50亿令吉的产业发展计划,成为该区最大生活时尚产业发展商。

《星报》引述马星集团董事经理兼总执行长丹斯里梁海金的话说:“我们要成为柔佛最大业者。”

梁海金说:“我们已做好功课,会锁定EduCity的学生和家庭。依斯干达发展区因与新加坡毗邻,发展潜力很大。”

梁海金补充,鉴于外藉人士为主要目标买家,所以计划农历新年后于新加坡开设销售中心。

“我们收到许多来自新加坡、韩国、日本和印尼潜在买家的询问,所以,我们有计划把潜在买家带到销售中心参观。我们会大规模宣传推销。”

截至目前,马星集团的发展计划发展总值约22亿9000万令吉,并在柔佛州拥有5项占地433英亩土地的发展计划。[南洋商报财经]

馬星具2大利好‧惟股價偏高

(吉隆坡31日訊)馬星集團(MAHSING,8583,主板產業組)雖具備增購新地段與爭取有利付款條件兩大利好,分析員卻礙於股價頗高而維持保守看法。

豐隆研究表示,與馬星管理層會面的結果顯示,一如該行較早發佈的報告所言,該公司計劃繼續物色新地段,也確認在本季完成附加股計劃後,該公司仍有餘裕將淨負債比提昇到0.5倍。

“我們相信馬星繼續在巴生河流域外圍、依斯干達特區等地區物色土地。"

仍有集資4.4億的空間

此前,該行估計,在發行附加股籌資4億令吉後,該公司的淨負債比將從0.3倍縮至0.22倍。以此推算,該公司仍有集資4億4千萬令吉的空間,保守估計,這些資金可貢獻額外的40億令吉產業發展總值。

該行表示,在他們表達債務疑慮時,管理層強調,將透過與地主結盟或延長付款期限4至5年,爭取最有利的條件。

“我們並不排除這個可能,由於市場展望欠佳,地主可能提出更合理的價格。"

他補充,2013年產業市場依然面對去年的餘波,包括銀行放貸條件趨緊、消費者青睞低價有地房產等。

該行認為,該公司的現金流量依然可保障中短期展望,未進賬銷售為2011財政年產業營收的2.2倍,這意味著該公司短期內並無維持新產業計劃銷量的壓力。

該公司管理層樂觀看待產業銷售前景,為2013財政年設下新的30億令吉銷售目標,也計劃推出發展總值至少達37億令吉的房產計劃。

不過,該行表示,鑒於馬星股價接近該行設定的2令吉41仙目標價水平,在缺乏新利好下,短期恐怕難以突破這道關口,因此維持“守住"評級。(星洲日報/財經)

Mah Sing approves rights issue

Shareholders at Mah Sing Group Bhd voted to approve a renounceable Rights Issue with free Warrants, followed by a one for every five share bonus issue for shareholders at the extraordinary general meeting today.

The fund raising exercise is expected to raise up to RM400 million which will part finance their property development expenditure, future land acquisitions and general working capital requirements.

Group Managing Director/Group Chief Executive Tan Sri Leong Hoy Kum said the exercise was part of the group's prudent management of capital structure to maintain a healthy and optimum capital base.

The entitlement date for the rights issue with free warrants is expected to take place by end-February 2013, with the closing date for acceptance of rights and excess application by mid-March.

The new rights shares and warrants are expected to be listed by end-March 2013.

While interest is expected to be strong for the rights issue with free warrants, Mayang Teratai Sdn Bhd, a major shareholder of Mah Sing, is providing an undertaking to take up to 50 per cent of the rights issue.

The group is evaluating new landbanks in Greater Kuala Lumpur and Klang Valley, Penang island, Johor Baharu and Kota Kinabalu, Sabah for their new acquisitions in 2013.

Mah Sing has set a sales target of at least RM3 billion for 2013 which is a 20 per cent increase from 2012.

Greater Kuala Lumpur and Klang Valley will make up the bulk of 2013’s sales target at 62 per cent while Johor Baharu is expected to contribute 20 per cent, Penang island 13 per cent, and the balance of five per cent from Sabah.

"At the moment, our buyers are mainly local professionals, business people and SMEs, and foreign buyers make up less than 10 per cent of our sales.

"However, with the rollout of new projects in 2013, we would like to increase the base to about 15 per cent to 20 per cent,” said Leong.

For 2013, its property sales is expected to be boosted by the launch of six new projects on top of its existing projects including Southville City and M Residence 2 in the Klang Valley and Ferringhi Residence in Penang island. -- Bernama

市场情绪选后改善 马星锁定30亿销售目標

(吉隆坡5日讯)马星集团(MAHSING,8583,主板產业股)董事经理兼首席执行员丹斯里梁海金认为,市场情绪將在大选后进一步改善。        

市场向来相信大选將影响產业领域。针对即將到来的大选会否对市场带来衝击,梁海金认为「大选每四年得进行一次,我们唯有做好本分。我认为政府不会对我们的发展项目带来影响。」

他指出,比较全球经济来看,我国经济可说表现良好。

他认为市场情绪並没有显著放缓。无论如何,相信大选之后市场更加充满活力,情绪將进一步获得改善。

此外,马星集团目前大量竞標政府和私人的土地。「我们有意与政府进行土地联营。」

梁海金在马星集团股东特大结束后的记者会上如此表示。

马星集团今日在股东特大通过附加股送凭单,及送红股。该附加股计划將集资高达4亿令吉,作为產业发展开销、未来的土地收购,及营运资本。

惟现阶段未决定附加股的发售价,以及免费凭单的转换价和数额,將在较后宣佈附加股的除权日。

该公司在完成附加股后,將以5送1的比例,派送红股。

梁海金透露,公司將专注於大吉隆坡、巴生谷、檳城、新山、亚庇,及沙巴的发展项目。

「我们仍然寻求新的土地收购,不过我们不会隨意购。我们將研究有关地段的需求后,推出符合市场需求的项目。」

今年推6大新盘

该公司將在今年推出六个新计划。这包括Southville City、位於巴生谷的M Residence 2、檳岛的Ferringhi Residence、马星iParc@TanjungPelepas、依斯干达特区的Meridin@Medini,以及位於亚庇的Sutera Avenue。这六个新计划的总发展价值(GDV)达74亿令吉。

除了这六项新计划,2013年的主要推介將来自八打灵再也的旗舰项目--Icon City、M Residence 1以及赛城的Garden Plaza等等。

该公司將2013年的销售目標设在至少30亿令吉,相等於年成长20%。

其中,大部份来自大吉隆坡和巴生谷的楼盘,將占2013年销售目標的62%。

新山,檳城以及沙巴,预计將分別为销售作出20%、13%及5%的贡献比重。

目前,海外买家佔其整体销售不超过10%比重。

该公司冀望將海外买家的比重提高至介於15%-20%之间。[东方日报财经]

(吉隆坡6日讯)马星集团(MahSing,8583,主板产业股)附加股订价每股1.42令吉,以3股普通股配1股新股方式发行。

马星集团向马交所报备,上述附加股股东权益日将在日后决定,预期1周内公布。

此外,集团也敲定了每认购5股附加股的股东将获得3张免费凭单,此凭单行使价为每张2.38令吉。

集团表示,附加股订价在每股1.42令吉,相当于马星集团5天成交量加权平均市价(VWAMP)有37.2%的折扣(至2013年2月5日,平均股价为2.26令吉);相较于2.05令吉的5日加权平均市价的理论除权价(TERP),则折价30.7%。

每张2.38令吉凭单行使价相对于上述理论除权价,折价16.1%。

由此,发行2亿8009万9803股附加股可筹集3亿9774万1720令吉;其中,1亿6805万9881张凭单若全数转换母股,将可筹集3亿9998万2516令吉。[南洋商报财经]

We refer to the announcements dated 10 December 2012, 14 December 2012, 26 December 2012, 14 January 2013, 18 January 2013 and 5 February 2013 in relation to the Proposals.

On behalf of the Board of Mah Sing, CIMB and HLIB wish to jointly announce the following:
(i) that the Issue Price has been fixed at RM1.42 per Rights Share at an entitlement basis of 1 Rights Share for every 3 existing Mah Sing Shares held by the Entitled Shareholders as at an Entitlement Date to be determined and announced;

(ii) that the entitlement basis for the Warrants had been fixed as 3 Warrants for every 5 Rights Shares subscribed for by our Entitled Shareholders; and

The Issue Price of RM1.42 per Rights Share represents a discount of 37.2% to the 5-day volume weighted average market price of Mah Sing Shares up to 5 February 2013 of RM2.26 (“5-day VWAMP”) and 30.7% to the theoretical ex-rights price of Mah Sing Shares of RM2.05 (“TERP”) based on the 5-day VWAMP.The Exercise Price of RM2.38 for each Warrant represents a premium of 16.1% to the TERP.

To facilitate the price fixing, Mah Sing has obtained a written undertaking from the Convertible Bondholders not to convert their Convertible Bonds from the Price-fixing Date to the Entitlement Date. Mah Sing has also rescheduled the timing for the exercise of the Options. Accordingly, the issued and paid-up capital as at the Entitlement Date will be 840,299,410 Mah Sing Shares (“Entitlement Paid-up Capital”). Mah Sing intends to announce the Entitlement Date within 1 week, subject to the underwriting arrangement being finalised and the SC’s approval being obtained for the Proposed Exemption.

Based on the Entitlement Paid-up Capital, the Rights Issue with Warrants will involve the issuance of up to 280,099,803 Rights Shares to raise gross proceeds of up to RM397,741,720.26, and the issuance of up to 168,059,881 Warrants to raise gross proceeds of up to RM399,982,516.78, assuming full exercise of the Warrants.

通常 Right Issue 开始是下的,因为有些人不要就出卖,

否认脱售传闻 马星加码投资塑胶业务

(吉隆坡13日讯)马星集团(Mahsing,8583,主板产业股)否认有意脱售塑胶业务的市场传闻,反而近期正加码投资扩大产能,相信塑料业务将为集团带来更大收益。

马星集团董事经理兼总执行长丹斯里梁海金接受《The Edge》财经日报电邮访问时表示,旗下塑胶业务营运得宜,脱售的可能极小,但也未有分拆上市的打算。

由于房地产业务己占营收90%,市场揣测马星集团将会脱售塑胶业务,以将全副心力摆在房地产上。

“塑胶业务有另一组专业管理人才在管理,表现得非常好,而且营收稳健,我们相信塑胶和房地产业务能相互应用顾客群创告互补效用。”

马星集团的塑胶业务在大马和印尼营运,大马方面由独资子公司马星塑胶工业私人有限公司主导,印尼方面则是持有65%的PT马星印尼。

注资新厂与设备

梁海金表示,马星塑胶工业去年斥资1000万令吉安装两台产能高达4000吨的超大型注塑机,预计可带来每年2000万令吉的额外销售额。

印尼方面,公司投资300万美元(9300万令吉)在西爪哇省(West Java)的东Karawang购入工业土地,以设新办事处和厂房,预计今年10月投产。

“新厂房全面投产后,每年销售额可提高1000万美元(3097万令吉)。”

据了解,马星塑胶工业是本地其中一家大型高科技塑胶生产商,产能介于40吨至4000吨,是东协最大生产商之一。截至2012财年首9个月,马星集团旗下塑胶业务净利668万令吉。[南洋商报财经]
