优家乐退出 打南雄风料出现新大股东

(吉隆坡21日讯)打南雄风(TALAMT,2259,主板产业股)正进行重组活动,料会出现新投资者的加入,而原有大股东———优乐家集团(KEURO,3565,主板建筑股)则将退出投资者行列。

《星报》引述消息报道,新资金将随着新投资者的加入而流入,而打南雄风也计划通过企业活动,加强资产负债表的表现。

消息披露,新投资者包括原有的股东———万能(MAGNUM,3859,主板贸服股)(前称为马化控股,MPHB)。

目前,万能是通过大马综合工业(MWE,3921,主板消费产品股),间接持有打南雄风。

“投资者投入资金,是因为他们相信该股(打南雄风)拥有长期潜能。”

不过,消息称,新投资者将维持“被动股东”的角色,不会参与营运。

据悉,分析员对于万能入股打南雄风并没有太大兴趣,反之更关注前者子公司———马化资本(MPHBCAP,5237,主板金融股)的派息情况。
前景仍严峻

这是因为,马化资本早前脱售地皮,引起市场认为该公司将派发特别股息的揣测。

在连续三年蒙亏后,打南雄风最终成功在2014财年转亏为盈,全年净利为958万令吉。

该公司曾向大马交易所报备,已完成了所有未竣工的房屋,且将持续和有信誉的企业合作,开发旗下地皮。

然而,鉴于国行紧缩借贷条例,加上建筑成本高涨,打南雄风前景或更具挑战。

优乐家集团的退出,并不是个意外,因其大股东———IJM(IJM,3336,主板建筑股),目前的重心是落实西海岸大道(WCE)。

打南雄风目前拥有约2000英亩的地库,遍布于赛城、士拉央、淡江和武吉柏伦东(Bukit Beruntung)。【南洋网财经】

(吉隆坡22日訊)針對市場報導公司將出現新股東一事,新達南(TALAMT,2259,主要板房產)向馬證交所表示不知情。

據《星報》報導,新達南正進行重組計劃,屆時將出現新股東,現有大股東優樂家集團(KEURO,3565,主要板建築)將退出公司。

所謂新投資者,包括由丹斯里劉錦坤掌控的現有股東馬化控股(MPHB),但后者已是新達南間接持股股東。

消息人士稱:“集得部分資金將提振公司資產負債表,他們相信該股具長期潛能才作出投資。不過新投資者將保持低調,且不會加入營運管理。”【中国报财经】

為何新達南價量齊升?

產業股新達南(TALAMT,2259,主板產業組)財務狀況如何?最近為甚麼價量齊升,甚至登上熱門股項榜首,還可以買進嗎,分析員如何看這隻股項。 業務前景如何?

答:經過3年的持續虧損後,新達南在截至2014年1月31日為止財政年成功轉虧為盈,全年取得淨利957萬9千令吉,或是每股淨利為0.24仙。

反觀在過去3年,即在2011年淨虧1億6千708萬8千令吉(每股淨虧為5.18仙),2012年淨虧1億2千640萬6千令吉(-3.33仙),以及2013年則是淨虧2千零14萬5千令吉(-0.5仙)。

脫售資產
轉盈主因

該公司股價被炒起,轉虧為盈可能是部份原因,但實在不可不留意,轉盈的個中主因,是包括脫售一些資產所致。

同期間,該公司每股資產值為14仙。

截至2014年1月31日為止,該公司的總資產為19億7千240萬4千令吉,而總負債則為14億零266萬2千令吉。現金及銀行余款則為2千660萬1千令吉,而儲備金則是負2億4千737萬2千令吉。

除此以外,該公司最新(今年4月4日)也宣佈一些脫售資產消息,致力脫售資產還債以改善資產負債表。該公司甫於今年4月初,建議以2億3千萬人民幣(約1億2千156萬令吉)脫售中國吉林省Maxcourt酒店有限公司的85%股權,以集資還債。

該公司脫售資產的淨賺益為1千830萬令吉,或每股0.45仙,意味著每股淨資產將提高0.45仙至14仙,負債比也會從0.78倍,降至0.56倍。

在較早時,公司於今年1月杪宣佈,以2千601萬9千令吉代價,脫售雪州瓜拉雪蘭莪173.4英畝土地,給怡保工程(IJM,3336,主板建築組)旗下兩家獨資子公司。

該公司通過獨資子公司Maxisegar脫售上述土地給大馬岩石產品公司,以及怡保工程建築有限公司。

談到公司的未來的業務前景,該公司在宣佈業績時指出,已經完成以往未完成的房屋計劃。除了目前擁有的一些聯營計劃外,該公司將繼續與有卓超名聲的機構聯營發展其地庫。

一旦獲得當局批准,該公司將會推介新發展計劃。惟董事部認為,現財政年的經營環境深具挑戰,主要是國家銀行實施更嚴峻的借貸指南,以及建築成本增加所致。

Termination of Joint Venture Agreements
The Board of Directors of the Company wishes to inform that the following wholly-owned subsidiaries of the Company, and the following entities have on 22 May 2014 entered into two (2) Termination Agreements to terminate their respective joint venture agreements as follows:-
i)                   G.L. Development Sdn Bhd, a wholly-owned subsidiary of TTB, to terminate the 50:50 joint venture with IJM Properties Sdn Bhd (“IJMP”) under Good Debut Sdn Bhd pursuant to the Joint Venture/Shareholders’ Agreement dated 17 November 2006 in relation to the proposed development of approximately 17.84 acres of land held under Hakmilik No. 505 & 506, Lot 19000 SEK 2 and Lot 19003 SEK2, Batu 7, Ulu Kelang, Bandar Ulu Kelang, Daerah Gombak, Selangor Darul Ehsan; and

ii)                 Mutual Prosperous Sdn Bhd, a wholly-owned subsidiary of TTB, to terminate the 50:50 joint venture with IJMP under Cekap Tropikal Sdn Bhd pursuant to the Joint Venture/Shareholders’ Agreement dated 5 March 2007 and Supplemental Agreement dated 27 February 2008 in relation to the proposed development of 204 acres of land located in Mukim of Batu, Daerah Gombak, Selangor.

The joint ventures are terminated as the intended commercial objectives of the respective joint ventures are unlikely to materialise.

The terminations will not have any significant effect on the earnings or net assets per share of the Company for the financial year ending 31 January 2015.   

None of the Directors or the major shareholders of the Company, or persons connected with them, has any direct or indirect interest in the terminations, save and except for IJM Properties Sdn Bhd, a wholly-owned subsidiary of IJM Land Berhad, a 64.1%-subsidiary of IJM Corporation Berhad, a major shareholder of TTB, which holds 25.1% equity interest in Kumpulan Europlus Berhad, which in turn is a major shareholder of TTB, which holds 29.9% equity interest in TTB.

出售资产业绩转盈 新达南地库待发展

新达南有限公司(TALAMT,2259,产业组)在雪兰莪拥有约2000英亩地库,可能是商人丹斯里刘锦坤于去年10月购物该产业发展商间接股份的原因之一。

一名高级管理层官员披露:“我们在雪兰莪仍然拥有约2000英亩未发展地库。如果我们自行发展,预测总发展值将超过50亿令吉。”

基于新达南最新常年报告中的10大产业,它在雪兰莪共拥有1861英亩土地,包括安邦、武吉加里尔、蒲种、雪邦和万挠,截至2013年1月31日止的净市值达9亿6200万令吉。

加上吉隆坡和中国吉林的3项产业,10大名单的净市值共11亿6000万令吉。

新达南最近正寻求出售部分产业。根据致给大马交易所的文件显示,该公司建议卖出武吉伯伦东一幅空置商业地段(4540万令吉)、吉林Maxcourt酒店有限公司85%股份(1亿2156万令吉)、及瓜拉雪兰莪八丁燕带区173.4英亩租赁空置地段(2600万令吉)。

新达南在截至2014年1月31日止财政年度转亏为盈,主要由脱售地段的赚益所贡献。

消息指出,新达南2015财政年的大部分收益仍然将来自资产脱售,不过,该公司计划保留大部分的土地。

“若价格合适,我们仍然会出售,但不会是大规模。我们的资产脱售已经接近尾声,只会再有一或二项,因我们已经卖出所要出售的。”

在其2014财政年账目中,新达南拥有3亿6030万令吉‘供出售资产’,该集团已经签署买卖协议,目前尚待落实附带条件。

消息说,它预料大部分资产将在2015财政年完成。

与此同时,它即将落实一项联营计划,及提呈有关其于士拉央、乌鲁巴生和武吉伯伦东现有土地的修正设计计划。

该集团有意在今年第3季动工位于蒲种的建后售发展。

刘锦坤是透过大马工业控股有限公司(MWE,3921,消费产品组)收购优乐加集团有限公司(KEURO,3565,建筑组)的24.68%,崛起成为新达南的大股东。优乐加集团是新达南的最大股东,持股29.89%。

市场盛传,由刘锦坤控制的马化资本有限公司(MPHBCAP,5237,金融组),将透过优乐加集团的售股,崛起成为新达南的联营伙伴或新投资者。他在马化资本拥有37.19%间接股权,同时出任董事经理职。

针对这点,新达南官员表示:“由于优乐加集团拥有控制股份,我们对它们(优乐加集团)洽售新达南持股的团体并不知情。”

“因此,我们也不知道任何团体或马化资本是否入主新达南和它们的意向。”

虽然如此,许多人士认为,新达南需要一个新的推动力,而资产注入将是一个催化剂。

产业分析师透露:“透过马化资本拥有的土地并入新达南,整体将会更强大。”

马化资本基本上属于一名地主和产业投资者。

在该集团的近期展望方面,官员称:“我无法确保会继续维持盈利,因我们正尝试降低账面成本。随着我们已经大幅降低负债率,我们可以在一个低起点重新开始。”

新达南是在连续3年的亏损后,于2014财政年成功恢复盈利。

截至1月31日,新达南的债务对股份比例企于0.6倍,而总负债达到3亿4000万令吉,比较股东基金5亿6970万令吉。

打南5000万售购物中心

(吉隆坡13日讯)打南机构(TALAMT,2259,主板產业股)旗下独资子公司--Venue Venture私人有限公司,与CHN商品交易中心私人有限公司达成协议,建议以5000万令吉脱售Pandan Safari Lagoon购物中心。        

该公司表示,此项脱售活动將提升该公司目前现金流及降低债务。

此外,脱售所得资金將用来向IJM Construction私人有限公司赎回私人土地冻结令、偿还银行贷款及作为营运资本。【东方网财经】

打南雄风亏1939万

(吉隆坡28日讯)打南雄风(TALAMT,2259,主板产业股)2015财年首季亏损扩大至1939万9000令吉,不过营业额则扬276.1%,报8192万令吉。
该公司通过文告表示,营业额增长归功于地皮脱售活动。

打南雄风税前亏损达2015万令吉,因盈利滑落、行政费和其他开销走高。

房产发展和投资业务的营业额劲扬374.73%,达7947万令吉,归功于地皮脱售。

惟鉴于开销高涨,该业务仍蒙亏1671万令吉。

酒店和娱乐业务方面,营业额滑落51.39%,报245万令吉,因长住的日本客户已终止租约,蒙亏344万令吉。

未來或需融資‧新達南推30億房

(吉隆坡22日訊)新達南(TALAMT,2259,主板產業組)預期明年推出4項發展總值30億令吉產業發展計劃,不排除未來將為新產業計劃展開融資活動。

該公司主席曾慶炎在股東大會後表示,剛向雪州政府提呈4項發展總值20億至30億令吉綜合產業發展計劃,希望明年可推出市場。

他指出,這些發展計劃總面積約1千英畝,分別位于士拉央、烏魯吧生、布特拉柏蘭嶺(Putra Perdana)及武吉柏倫東(Bukit Beruntung),住宅產業占30%,70%為商用產業(武吉柏倫東)。

“將以先建後售方式推出符合目前市場需求的房產,如單位面積較小,部分裝飾的可負擔型產業。"產業計劃融資方面,他說部分將從資產脫售所得融資,但不排除未來會為新產業發展計劃展開融資活動。

“不排除此可能性,亦對融資活動持開放態度,但不會是現在,因目前還不需要大筆資金,不過在開始新發展計劃時,才可能需要融資。"他說,今年公司營業額來自產業聯營計劃及資產脫售活動,目前還在與2至3家本地發展商洽談聯營計劃,發展雪州小型地庫。

現階段,該公司已完成一項聯營計劃,還有3項發展總值4億至5億令吉的聯營計劃在進行中。

另外,也有總值3億令吉的資產脫售計劃待完成,包括Pandan Safari Lagoon購物中心、中國吉林酒店、一些位於八丁燕帶(BatangBerjuntai)及武吉柏倫東的土地。

今明年將不會派息

“希望今年可完成大部分資產交易及在明年聯營一些產業發展計劃,雖然脫售資產獲益不多,卻有助于改善現金流及償還債務,不過,因為公司還在復原階段,今明年將不會派息。"目前該公司負債率為0.27倍,他預計在未來2年,負債率將減半至0.14倍水平。

至于未來是否持續脫售其他資產,他表示資產脫售計劃已進入尾聲,目前不急于脫售,除非買家開出無法抗拒的價格才會考慮。

陈雅才儿子任打南雄风董事

(吉隆坡25日讯)打南雄风(TALAMT,2259,主板产业股)委任创办人丹斯里陈雅才最年幼的儿子陈德佑(译音),担任非独立兼非执行董事,且立即生效。

根据文告,今年29岁的陈德佑之前在媒体机构和制作公司就业。

间接持股7.35%

目前,他通过家人间接持有打南雄风3亿1022万1466股或7.35%股权。

陈雅才也是集团的非独立兼非执行董事。

同时,打南雄风也委任达企业(TA,4898,主板金融股)前执行董事姚春顺(译音)为集团执行董事。

成顯著股東‧陳雅才續增持新達南股票

(吉隆坡1日訊)丹斯里陳雅才自7月24日後再次成為新達南(TALAMT,2259,主板產業組)的顯著股東,持續增持新達南的股票。

陳雅才週三以不知的價錢在場外交易市場裡加購了5千625萬股或1.33%股權。

加上從大馬交易所買得的股票,陳雅才在新達南的股份從上星期3億1千022萬股或7.35%的股份增加至現在的3億6千647萬股或8.68%的股份。

現階段,陳雅才直接擁有新達南1億771萬股或2.55%的股份及間接持有其餘的2億5千876萬股或6.13%的股份。

陳雅才是新達南的非獨立非執行董事。

在上星期四被委任為董事的陳雅才幼子陳德佑(譯音)也以Jejak Progesif的名義間接持有新達南8.68%的股份。

上星期四陳雅才的投資公司Jejak Progesif從優樂家集團(KEURO,3565,主板建筑組)手中以每股9.4仙的價錢購得新達南2億3千萬股即5.44%的股份。

繼優樂家集團(KEURO,3565,主板建筑組)開始撤資新達南後,拿督劉錦坤的兩家公司大馬綜合工業(MWE,3921,主板消費品組)及Pinjaya Sdn Bhd在上星期四也削減了9億9千284萬股或23.54%的股份。

陳雅才近期開始囤積在新達南的股份而這令人懷疑他是否想重新控制新達南。

新達南的股市在近期被大量交易而其位於巴生谷價值超過9億令吉的土地儲備是買家看好新達南的原因。( 星洲日報/財經)

DISPOSAL OF SUBSIDIARIES
The Board of Directors of TTB wishes to announce that the Company's subsidiaries has on 8 August 2014 entered into the following three (3) separate Sale of Shares Agreements (“SSA”) with Plenitude Silver Sdn Bhd (Company No. 950498-A) (“PSSB”) to dispose of shares to PSSB (“Disposals”):-
(i) SSA between Europlus Corporation Sdn Bhd (Company No. 212846-A) and PSSB for the disposal of two (2) Ordinary Shares of RM1.00 each representing 100% equity interest in Classic Fortune Sdn Bhd (Company No. 213486-W) (“CFSB”) to PSSB for a total cash consideration of Ringgit Malaysia One Hundred (RM100.00) only; and

(ii) SSA between Winax Development Sdn Bhd (Formerly known as Talam Premium Development Sdn Bhd (Company No. 261178-X) and PSSB for the disposal of five hundred thousand (500,000) Ordinary Shares of RM1.00 each representing 100% equity interest in Juara Tiasa Sdn Bhd (Company No. 449457-W) (“JTSB”) to PSSB for a total cash consideration of Ringgit Malaysia One Hundred (RM100.00) only.

(iii) SSA between Europlus Berhad (Company No. 520-H) and PSSB for the disposal of one thousand (1,000) Ordinary Shares of RM1.00 each representing 100% equity interest in Larut Leisure Enterprise Sdn Bhd (Company No. 226113-U) (“LLESB”) to PSSB for a total cash consideration of Ringgit Malaysia One Hundred (RM100.00) only.

CFSB, JTSB and LLESB, will cease to be subsidiaries of TTB upon completion of the Disposals on 13 August 2014.

None of the Directors and/or the major shareholders of the Company and/or persons connected with them have any interest, direct or indirect in the Disposals and no approval of shareholders is required.

This announcement is dated 8 August 2014.
