We refer to your Company’s announcement dated 18 September 2020, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1) In relation to the Property, information as required under Part C of Appendix 10A of the ACE Market Listing Requirements.
2) The particulars of any liabilities, including contingent liabilities, in relation to the Proposed Disposal which remain with SCH Group Berhad and/or Sin Chee Heng (Butterworth) Sdn Bhd, together with the details and justification for such arrangements.

The Board of SCH wishes to provide additional information pertaining to the Porposed Disposal as below:-
1. The transaction does not exceed the percentage ratio of ACE Market Listing Requirement under Para 10.04 (1)(b). Hence, no valuation has conducted on the Property.
2. The said property is a 1½ storey corner lot warehouse.
3. With reference to item 2 of the announcement made on 22 September 2020, the Board wish to include an additional clause as highlighted in BOLD below.:-
As part of the ordinary clauses in the sale and purchase agreement:-
a) SCH (Vendor) will pay real property gain tax, quit rent and other outgoing arising out of the said Property upon the completion of the transaction.

HEXTAR INDUSTRIES BERHAD ("HIB" OR "COMPANY")RECEIPT OF NOTICE OF UNCONDITIONAL MANDATORY TAKE-OVER OFFER FROM M&A SECURITIES SDN BHD ON BEHALF OF HEXTAR HOLDINGS SDN BHD ("OFFEROR") TO ACQUIRE ALL THE REMAINING ORDINARY SHARES IN HIB NOT ALREADY OWNED BY THE OFFEROR, FOR A CASH CONSIDERATION OF RM0.38175 PER SHARE
The Board of Directors of HIB (“Board”) wishes to announce that the Company had on 12 October 2022, received from M&A Securities Sdn Bhd on behalf of the Offeror, a notice of unconditional mandatory take-over offer (“Notice”), notifying the Board, the intention of the Offeror to make an offer to acquire all the remaining ordinary shares in HIB (“Shares”) not already owned by the Offeror (“Offer Shares”) for a cash consideration of RM0.38175 per Offer Share (“Offer”).

In accordance with Paragraph 3.06 of Take-Overs, Mergers and Compulsory Acquisitions Rules (“Rules”), the Board (save for Dato' Ong Choo Meng and Ong Tzu Chuen) had on 8 August 2022 appointed Malacca Securities Sdn Bhd as the Independent Adviser to provide comments, opinions, information and recommendation on the Offer to the Board (save for Dato' Ong Choo Meng and Ong Tzu Chuen) and the holders of the Offer Shares.

A copy of the Notice is attached herewith and will be posted to the holders of the Offer Shares within 7 days from the date of this announcement, in accordance with Paragraph 9.10(5)(b) of the Rules.

The Board of Directors of HIB (the “Board”) wishes to announce that the Company, had on 5 September 2023, entered into a conditional Share Sale Agreement (“SSA”) with Chew Fei Fei, Chew Siau Fong, Tan Tian Goh, Tan Tian Kuan and Tan Tian Sin (the “Vendors”) (collectively with the Purchaser, to be referred as the “Parties”) for the acquisition of 100% equity interest of Pacific Office (M) Sdn Bhd [Registration No. 199501025186 (354391-M)] (“Sale Shares”) for a total cash consideration of Ringgit Malaysia Sixteen Million Five Hundred Thousand (RM16,500,000) (“Consideration”) (“Acquisition”) upon the terms and conditions set out in the SSA.

HEXTAR INDUSTRIES BERHAD ("HIB" OR THE "COMPANY")(I)        PROPOSED DISPOSALS; (II)        PROPOSED PROPERTIES TENANCIES; AND(III)        PROPOSED BINTULU TENANCY(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")
On behalf of the Board of Directors of HIB (“Board”), MIDF Amanah Investment Bank Berhad (“MIDF Investment”) wishes to announce that HIB, through Sin Chee Heng Sdn Bhd, a wholly-owned subsidiary of HIB and PK Fertilizers Sdn Bhd, an indirect wholly-owned subsidiary of HIB (collectively, the “Subsidiaries”), respectively entered into 2 conditional sale and purchase agreements (“SPAs”) with Pacific Trustees Berhad (“Pacific Trustee”), being the trustee of KIP Real Estate Investment Trust, on 29 August 2024, for the disposals of:

(a) a parcel of land together with the buildings erected thereon held under title No. HSM 13156, PT 23677, located in the Mukim of Cheras, District of Ulu Langat, State of Selangor; and

(b) the remaining unexpired period of a lease created over a parcel of land together with the buildings erected thereon held under title No. GRN 489953, Lot No. 66247, located in the Mukim of Plentong, District of Johor Bahru, State of Johor

(collectively referred to as the “Properties”) to Pacific Trustee, for a total cash consideration of RM45.90 million.

Simultaneously with the execution of the SPAs, the Subsidiaries will respectively enter into the tenancy agreements in-escrow with Pacific Trustees for the Properties for 12 years and 15 years, respectively.

In addition to the above, HIB, through Hextar Solutions Sdn Bhd, an indirect wholly-owned subsidiary of HIB, entered into a tenancy agreement in-escrow with Pacific Trustees for the rental of a parcel of land together with the buildings erected thereon held under title No. Lot 3122 Block 26, Kemena Land District, TRN 09-LCLS-032-026-03122, Locality of Jalan Kidurong, Division of Bintulu, State of Sarawak from KIP REIT for 15 years.
