Sunway’s 36% stake in SunInfra draws interest

PETALING JAYA: Several parties are interested in taking over the 36.16% stake held by Sunway Holdings Bhd (formerly Sunway Holdings Inc Bhd) in Sunway Infrastructure Bhd (SunInfra), the latter company's chairman Tan Sri Jeffrey Cheah said.

However, he declined to identify the parties.

At an EGM yesterday, SunInfra shareholders approved the proposed cancellation of Sunway's undertaking granted to Sistem Lingkaran-Lebuhraya Kajang Sdn Bhd (SILK) in favour of the holders of the RM2.01bil Al-Bai Bithaman Ajil Islamic debt security (BaIDS) issued by SILK, a wholly-owned subsidiary of SunInfra.

The BaIDS bondholders had on Aug 17 gave the green light for the restructuring/refinancing of the BaIDS.

The exercise involved RM50mil cash and the transfer of Sunway's equity interest in SunInfra to the bondholders.

After the exercise, the bondholders would take over the management of SunInfra.

Cheah said Affin Investment Bank, the adviser to the bondholders, was looking at “various parties” to take over the 36.16% equity stake.

Asked how many parties had expressed interest in the stake, he said: “I cannot say but I believe there are a few interested parties. I cannot say more than that.”

He said the acceptance of the bondholders of the restructuring indicated they were confident that this direction would bode well for the company in the future.

SUNWAY Holdings Bhd group chairman Tan Sri Jeffrey Cheah said a few parties are keen to buy the group's 36.16 per cent stake in Sunway Infrastructure Bhd (SunInfra).

Under a debt revamp plan, Sunway has to give up its SunInfra stake to existing bondholders. The bondholders will then sell the shares to recover their loans.

The creditors include CIMB Investment Bank Bhd, Mayban Fortis Holdings Bhd and RHB Asset Management Sdn Bhd.

Advisers to the bondholders are looking at various potential buyers, Cheah said after SunInfra's extraordinary general meeting yesterday.

SunInfra, through its unit, Sistem Lingkaran-Lebuhraya Kajang (SILK) Sdn Bhd, has a concession to collect toll at the RM1.25 billion, 37km highway in Kajang until 2037.

But poor traffic volume has affected toll collection.

Cheah said the restructuring will cut SunInfra's debt by 30 per cent from RM1.06 billion.

The debt revamp plan will see Affin Investment Bank Bhd pumping in RM220 million, with a minimum 64 per cent of the bondholders to participate in the restructuring scheme.

Affin together with the key participants will form a consortium to restructure the remaining debts of SILK.

Sunway Holdings close to exiting highway ops

THE coast is clear for Sunway Holdings Bhd (formerly Sunway Holdings Inc Bhd) to transform into a regional player in the construction materials, quarrying and property development sectors, with the expected completion of the divestment of its 36.16% stake in Sunway Infrastructure Bhd (SunInfra) by the end of this month.

Sunway managing director Yau Kok Seng sees strong prospects for the group going forward, with 50% of earnings for financial year ending June 30 (FY08) expected to come from overseas, especially Singapore, India, China, Vietnam, and Trinidad and Tobago.

Sunway is close to exiting the highway concession business altogether with the completion of the debt restructuring for Sistem Lingkaran-Lebuhraya Kajang Sdn Bhd (SILK), a 100% unit of SunInfra.

The company no longer has to account for losses arising from SunInfra, as the investment was fully written down to nil in the last financial year.

Yau said the key growth areas for Sunway were the quarrying, construction and construction materials, both locally and overseas.

Since moving back to the quarry business two years ago, Sunway has captured second place in the Klang Valley market. It has seven quarries in Malaysia and two in Vietnam.

The company is also growing its core business of construction and its order book stands at more than RM2bil, of which about 50% comes from abroad.  

Sunway is seeking new projects in Malaysia and overseas, especially in Trinidad and Tobago and the Middle East. Its construction, quarry and building materials divisions stand to benefit from the Ninth Malaysia Plan while the supply of construction materials to Singapore will also boost earnings.

Aseambankers Equity Research is raising Sunway's net profit forecasts for FY08 by 18% and by 12% for FY09 and 10% for FY10 on revised assumption for margins from its construction, quarrying and property development businesses.

It expects Sunway to deliver a stronger 152% growth in core net profit for 2007, and a three-year compounded annual growth rate of 59% versus 55% previously.  

The research house remains positive on Sunway and rates the stock a “strong buy”.

28-02-2008: Proton chairman major shareholder of SunInfra

KUALA LUMPUR: Proton Holdings Bhd chairman Datuk Mohammed Azlan Hashim has emerged as a substantial shareholder of Sunway Infrastruture Bhd (SunInfra), following Sunway Holdings Bhd’s disposal of a 36.16% block in the toll-operator to settle debts.

In a statement yesterday, Sunway Holdings said it disposed of its entire 65.09 million shares or 36.16% stake in SunInfra for RM11.07 million to Infra Bumitek Sdn Bhd (IBSB) controlled by Azlan and Johan Zainuddin Dzulkifli.

IBSB is an investment holding company with RM2 paid-up capital.

The disposal is part of a bigger exercise to restructure the debts of SunInfra’s wholly-owned subsidiary, Sistem Lingkaran-Lebuhraya Kajang Sdn Bhd (SILK). SunInfra is in the red despite revenue growth due to a “severe mismatch” between its ability to generate revenue and the high financing costs it incurred on debts issued by SILK.

There was no mention of whether the sale would trigger a mandatory general offer. Nonetheless, a MGO would not be attractive as the transaction took place at 17 sen per share, some 15% below the 20 sen that SunInfra shares were suspended at 2.30pm last Tuesday. Trading resumes this morning.

SunInfra ceases to be Sunway Holdings’ associate company, following the disposal.

The disposal was not expected to have any material effect on Sunway Holdings’ earnings or net assets.

Its 36.16% stake in SunInfra had been fully written down in its books in the previous financial year ended June 30, 2007.

发现在1月份中开始 suninfr 和suninfr-wa的股价是一天比一天的压低，而且成交量却非常少，当时suninfr的成交量有时一天才几十粒，有时整百粒，而暂停交易的当天，忽然卖压很大，从 0。245跌到 0。20。今天开市已经起回 0。245了
请问各位大大有什么看法呢? 这次真的可以起死回升吗 有人会炒吗?

对啊!这个价位太低啦  那么之前买的人不是亏到很严重
因为这个消息出来后，今天的股价已经被压到0.01

如果不卖回给他们，后果会如何呢?
