Tenaga Nasional Berhad (“TNB”) wishes to announce that it had, on 2 March 2020 (UK Time)/2 March 2020 (Malaysia Time) via its wholly owned subsidiary, Tenaga Wind Ventures UK Ltd (“Tenaga Wind”), completed its acquisition of the balance 20% interest in two (2) United Kingdom (“UK”) renewable energy companies; GVO Wind Limited and Bluemerang Capital Limited (the “Acquired Cos.”) for an equity consideration of GBP18.6 million as initially agreed in the Share Purchase Agreements (“SPAs”) with Georg von Opel and Tanzanite B.V. & Catalin Breaban (“the Sellers”) respectively entered on 28 February 2018.
The complete acquisition will give TNB 100% asset ownership and control over the Acquired Cos. and its assets via Tenaga Wind. The combined platform make up the largest Feed-in Tariff (“FiT”) wind portfolio in the UK, comprising 53 operational onshore medium wind turbines with a total combined capacity of 26.1MW.
TNB has actively managed the wind farm assets since its acquisition in 2018. The assets have performed positively contributing RM76 million (GBP14.4 million) EBITDA in 2019. The assets have shown tremendous growth from 62% EBITDA margin at acquisition to 74% EBITDA margin in 2019.

Type | Announcement | Subject | OTHERS | Description | IMBALANCE COST PASS-THROUGH FOR JULY - DECEMBER 2020 | Tenaga Nasional Berhad (“TNB”) wishes to inform that the Government of Malaysia (“Government”) has approved via a letter from Suruhanjaya Tenaga (“ST”) dated 30 June 2020 to adjust the Imbalance Cost Pass-Through (“ICPT”) for the period of 1 July until 31 December 2020.
For this period of ICPT implementation, the Government has approved a reduction in ICPT from the current 2.00 sen/kWh surcharge to 0.00 sen/kWh for non-domestic customers. This reduction in ICPT surcharge is due to a reduction in actual fuel costs for the period of January to June 2020 compared to the previous six (6) months period of July to December 2019.
Details of the actual fuel prices for period January to June 2020 are as follows: (i) Average Applicable Coal Price is at USD69.5/MT; (ii) Starting from January 2020, the gas price is set based on Reference Market Price (“RMP”), replacing the former two-tier gas pricing mechanism which comprises of Regulated Gas Price and LNG Price. For period January to June 2020, the average RMP price is RM26.60/mmBTU.
The benchmark fuel prices set for determination of Base Tariff for the same period are USD75/MT for coal and RM27.20/mmbtu for gas.
The above ICPT will be implemented on the average base tariff of 39.45 sen/kWh as follows: (i) Domestic Customers* No ICPT will be applied to domestic customers (0.00 sen/kWh)
(ii) Non-Domestic Customers No ICPT will be applied for non-domestic customers (0.00 sen/kWh)
Electricity customers will now have the ability to estimate future ICPT impact using the ICPT Calculator available at www.myelectricitybill.my. Please refer to ST’s website ( http://www.st.gov.my/) for further details on the ICPT implementation.
The ICPT is a mechanism approved by the Government and implemented by ST since 1 January 2014 as part of a wider regulatory reform called the Incentive Based Regulation (“IBR”). ICPT mechanism allows TNB to reflect changes in fuel and generation costs in consumer’s electricity tariff every six (6) months. This mechanism is implemented according to Section 26 of Electricity Supply (Amendment) Act 2015. TNB also wishes to inform that the impact of ICPT implementation is neutral on TNB and will not have any effect to its business operations and financial position.

(“PIPP”), a special purpose company owned by Tadmax Resources Berhad (40%), Worldwide Holdings Berhad (35%) and Korea Electric Power Corporation (25%). PIPP will construct, own, operate and maintain a gas-fired combined cycle electricity generating facility with a total nominal capacity of 1,200 megawatts (“MW”) proposed to be located at Pulau Indah, Selangor Darul Ehsan (“Facility”).

Bhd. completed its acquisition of the 5% controlling equity stake in Vortex Solar Investments S.a.r.l. (Vortex Solar) for a consideration of GBP11.0 million. The acquisition will increase TNB’s equity interest in Vortex Solar to 55%, giving TNB majority control of Vortex Solar.
Vortex Solar is one of the largest solar platform in the United Kingdom with Renewables Obligation Certificate subsidy scheme, comprising 24 operational solar farms with a total combined capacity of 365MW.
TNB has first acquired a 50% equity stake of Vortex Solar in 2017. The portfolio has performed positively contributing GBP39.1 million EBITDA in 2019. The portfolio has shown growth from 80% EBITDA margin in 2018 to 84% EBITDA margin in 2019. This acquisition is expected to contribute positively to the Group’s net profit at completion.

Type | Announcement | Subject | OTHERS | Description | IMPLEMENTATION OF IMBALANCE COST PASS-THROUGH ("ICPT") MECHANISM FOR JANUARY - JUNE 2021 AND ONE-YEAR EXTENSION OF THE SECOND REGULATORY PERIOD ("RP2") FOR 2021 | Tenaga Nasional Berhad (“TNB”) wishes to inform that the Government of Malaysia (“Government”) has approved via a letter from Suruhanjaya Tenaga (“ST”) dated 22 December 2020, the continued implementation of Imbalance Cost Pass-Through (“ICPT”) mechanism and a one-year extension of the Second Regulatory Period (“RP2”) of the Incentive Based Regulation (“IBR”) for 2021.
The ICPT is a mechanism approved by the Government and implemented by ST since 1 January 2014 as part of a wider regulatory reform called the Incentive Based Regulation. ICPT mechanism allows TNB to reflect changes in fuel and generation costs in consumer’s electricity tariff every six (6) months. This mechanism is implemented according to Section 26 of Electricity Supply (Amendment) Act 2015.
Beginning from 1 January 2021 until 30 June 2021, the Government has approved an ICPT rebate of 2.00 sen/kWh for all customers including domestic customers with monthly consumption of 300kWh and below. This ICPT rebate is a result of a reduction in actual fuel costs for the period of July to December 2020, consistent with the reduction in actual coal and gas prices for the power sector.
The following are the details of the actual fuel prices for the period of July to December 2020:
i. Lower average coal price in the global market at USD58.6/MT, compared to the benchmark coal price set in the base tariff at USD75/MT; and
ii. Lower power sector gas price at RM 21.0/mmbtu, compared to the benchmark gas price set in the base tariff of RM27.20/mmbtu.
Any shortfall or excess in the ICPT will be funded or transferred to customers via Kumpulan Wang Industri Elektrik (“KWIE”) fund to aid in the stabilisation of electricity tariff in the future via gradual build-up of the fund. TNB also wishes to inform that the impact of ICPT implementation is neutral on TNB and will not have any effect to its business operations and financial position.
The Government has also approved a one-year extension of the Second Regulatory Period (“RP2”) of the IBR for year 2021. Beginning from 1 January 2021, the current base tariff of 39.45 sen/kWh and the Electricity Tariff Schedule are maintained and will continue to be applicable until 31 December 2021. Any variations in the fuel costs will be addressed via the ICPT mechanism. With this, the Third Regulatory Period (“RP3”) is shifted by one (1) year to start on 1 January 2022 and ends on 31 December 2024. This decision was made following the uncertainty in demand outlook for 2021 and the instability of the current global fuel markets following the COVID-19 pandemic.
