引言

DVM科技（DVM，0036，創業板）正式上演一場股權爭奪戰!

年僅27歲的，丹麥籍年輕企業家邱(王玉)麟（Christian Kwok-Leun Yau Heilesen）在短短兩周內，已經與他的香港拍檔，在公開市場上收購該公司20%股權。

這無疑對DVM科技創辦人兼董事經理拿督吳健生帶來巨大威脅，因他的股權已經降低至5.05%。

周五傍晚閉市後，DVM科技宣布進行私下配售計劃，要把股本擴大10%。

看到自己的心血被敵意收購，吳健生沒有坐以待斃，此舉顯然是要沖淡邱(王玉)麟的股權。

可是，邱(王玉)麟聽聞這項最新消息後，信心不動搖地向《資匯》聲言，「我們一定可以打贏這場股權爭奪戰。既然我已經把頭濕進水里了，那就要跟他玩到底!」

背景

由於股價近期異常波動，DVM科技剛在8月2日接獲大馬交易所發出的不尋常交易活動（UMA）的詢問。無論如何，該公司隨後澄清，對近期股價走高的事項毫不知情。

該股自7月29日開始，已在交投熾熱的情況下走高，從28日的0.11令吉閉市價格，飆漲至今日最高的0.28令吉，漲幅高達155%。而該股也連續三個交易日位列十大熱門股。其實，該股自5月杪公佈其2011財政年首季業績以來，並沒有任何重大的宣佈。而其首季表現更是由盈轉虧，面對159萬3000令吉的淨虧損，去年同期則取得26萬2000令吉淨利。同時，該公司創辦人兼執行董事曾志平於3月29日宣佈辭職，另一名創辦人吳健生則仍持有該公司5.05%的股權。

邱(王玉)麟奉陪到底!

來歷不簡單的中國丹麥混血儿邱(王玉)麟，是在本周五前往大馬與《資匯》進行獨家專訪。邱(王玉)麟直言，目前他和香港拍檔葉偉文(譯音，Raymond Yip Wai Man)已經持有DVM科技大約20%股權。如今，他們倆的意願很簡單─要在9月召開特大，推翻吳健生的董事局，由自己擔當首席執行員或主席一職。

可是，吳健生卻在另一邊廂沽售股權，不禁讓市場錯以為他未戰先輸。

誰知道，DVM科技卻出乎意料地在周五閉市後，突然宣布要進行私下配售計劃。

面對股權被沖淡的危機，邱(王玉)麟的士氣完全不受影響。

他向《資匯》聲稱，「這原本就是一家有債務的公司。他(吳健生)現在要把錢擺進來填洞，這對我來說反而是件好事。」

他提醒，隨著自己和拍檔的累積股權已經高達20%，就算被沖淡也還有18%股權在手。反之，進行私下配售後，吳健生的股權最多也只是14%。對此，邱(王玉)麟表示，他依然處於上上風!他認為，隨著吳健生已經展開私下配售，強奪控制權的爭奪戰已經在所難免。可是，他堅信自己將成為最後贏家。

據了解，邱(王玉)麟是從8月份開始收購DVM科技的3500萬股，平均每股收購價為23仙。這也意味著，他和拍檔在現階段至少已經祭出800萬令吉。「既然我已經把頭濕進水里了，那就要跟他玩到底。如果要搶奪股權，我有的是錢!」

要推翻吳派董事局

邱(王玉)麟披露，其實他在早前曾經和吳健生見過面，可是雙方到最終還是不肯妥協。鑑此，他已經向吳健生發出通知書，要後者在28天內召開特大主動下台。若吳健生不肯，他要與其他小股東在14天內聯手召開特大，尋求罷免吳健生和董事局。

「我們已經見過面。那時，我向他提出下台的建議，他沒有作答。」

邱(王玉)麟無奈表示，他和吳健生是因為「不同年齡層有不同的想法」而談不來。

他也解釋，要吳健生下台的原因很簡單，因後者在公司只剩下5%股權。

不但如此，DVM科技管理不當，公司年年虧錢，股價一攤死水，小股東利益不受保障。他表示，要取代吳健生，其實是要嘗到白武士的「滿足感」，而不是刻意要敵意收購。

為何看中DVM科技?邱(王玉)麟解釋，他的IT背景可以協助公司在一兩年內轉虧為盈。

儘管不願披露商業策略，他表示，將從降低員工成本開始做起。

「DVM科技每年支出的工資高達500萬令吉，我入局後要降低70%。此外，該公司董事局費用高達70萬令吉，我要為公司省下60萬令吉。」

他直言，自己並不缺錢用，所以入局後只是要徵收1令吉董事費。

DVM科技股權爭奪戰已經在所難免。

雖然邱(王玉)麟曾經和吳健生商討善意收購，但在交談拉倒後，瞬間演變成一場敵意收購戰!
