優樂控股多元至產業發展

（吉隆坡23日訊）本地辦公室產品製造商優樂控股（EURO,7208,主板消費組）加強專注於國內外銷售市場，並積極擴張未全面開發的市場以尋求進一步成長，同時多元化業務至產業發展。

該公司集團董事經理廖發成在股東大會後表示，雖然美國及歐洲市場的訂單緩和，中國的經濟放緩有所影響，優樂控股會繼續專注在本身的業務，提昇生產線技術，著重在產品的改良，以達高素質的水準。

他再說，除了本地市場，該集團會加強50家海外經銷商的行銷策略，以達到經濟效益。他相信原有的市場還有增長空間。至於鐵柜儲存箱的業務會著重在歐洲、中東及非洲國家。

該集團正在研究新興市場及潛能未開發的國家。

提起面對成本逐漸提高，廖發成表示，本地市場的最低薪制度，電費漲價，匯率都會影響公司，但是會努力的在政策上作出調整。

詢及2014年展望，他表示，管理層會盡力保護股東的利益為最大考量。

談及集團未來的方向，他表示，集團正在集團的土地進行產業發展計劃，多元化業務至地產業，但並未作進一步說明。（星洲日報／財經）

（吉隆坡21日訊）優樂控股（EURO,7208,主板消費品組）大股東正以最高45仙洽購股權，若持股超過33%，將展開強制全面獻購。
不過，該公司強調，至今尚未達成任何正式協議。

今日收盤，優樂控股升1.5仙，收64.5仙。

該公司發表文告說，大股東兼董事拿督張彥強（音譯）知會董事部，他與友好夥伴正與多方代表洽商，打算以每股40至45仙增購公司股票。

該公司補充，若張彥強和友好夥伴總持股超過33%，將提出全購，買下其餘股票。

該公司指出，張彥強等人暫未達成正式協議，他們將在接獲張彥強的通知後，發出有關文告。

根據2014年常年報告，截至今年4月22日，張彥強持股為841萬股或10.38%。（星洲日報／財經）

大股东每股44仙全面献购优乐

（吉隆坡2日讯）优乐控股（EURO，7208，主板消费股）宣布，公司大股东正式对优乐控股进行全面献购活动，以每股44仙的献购价，收购余下的52.3%股权。

根据文告指出，大股东兼董事拿督斯里钟远强（译音）、执行董事童元梦（译音）和陈伟贤（译音）联手收购优乐控股总共4239万4000股股票，或占缴足资本52.3%。

上述3名股东今日完成3项股份购买协议。3协议分別为：第一、陈伟贤与优乐控股主席和大股东拿督斯里韩聂夫达成股权买卖协议，前者以总值420万令吉购买后者1000万股，或相等于缴足资本12.35%，，每股收购价42仙。

第二、钟远强与梁海南（译音）达成股权买卖协议，以总值74万6240令吉或每股44仙，收购后者169万6000股股票，或相等于缴足资本2.09%。

第三、童元梦与谢奕珊达成股权买卖协议，以总值66万令吉或每股44仙，收购后者的150万股股票，或相等于缴足资本的1.85%。

截至8月29日，3名联合收购人共持有2541万股股票，或相等于缴足资本的31.37%。

在完成上述收购后，他们的股权增至3860万6000股股票，或佔缴足资本的47.66%。

優樂控股獻購價欠公平 顧問：小股東應拒絕

（吉隆坡3日訊）DWA顧問私人有限公司（簡稱DWA）認為，每股44仙獻購優樂控股（EURO，7208，主要板消費）欠公平又不合理，並建議小股東拒絕獻購。

DWA今日發出股東通函指出，優樂控股執行董事兼主要股東拿督斯里張源強出價每股44仙沒有反映優樂控股合理價值，甚至低于市價。

根據每股重估凈資產值（RNAV），獻購價等同合理價格1.03令吉的折價57.28%或59仙。

DWA說，該股在過去12個月的流通量不俗，及聯合獻購方有意維持優樂控股的上市地位。換句話說，該獻購並不合理，進而沒有充足的理由接受獻購，並建議小股東拒絕獻購。

根據股東通函，該公司其他董事，包括拿督斯里莫哈默哈尼夫、劉發新、劉信世、劉興及鄭福多（人名皆譯音）已表態拒絕獻購。

優樂控股執行董事兼主要股東拿督斯里張源強、拿督唐運盟、鄭偉賢（人名皆譯音）共持有3860萬股或47.7%時，在9月初向優樂控股提出有條件強制性收購獻議。

聯合購獻方計劃維持該公司的現有業務，注重在房地產發展業。

大股东全购优乐到期 无人接受献议

（吉隆坡14日讯）优乐（EURO，7208，主板消费产品股）全面收购献议今日到期，惟提出献购至今，并未有股东接受购股献议，联合收购方持股维持不变在47.66%，或3860万6000股。

该公司向马交所报备，这是收购献议的首个到期日。

在9月初，优乐主要股东兼执行董事拿督斯里钟润强（译音）和拿督唐云盟（译音），联合郑伟生（译音）增持公司股权。

3人联合持有股权从31.37%，增至47.66%，触动上市条例，必须强制全面收购其余股权。

在这段期间，独立顾问DWA咨询曾指出，大股东持有大部分股权，将可控制公司营运方向，专注在产业发展，且改善公司财务。

不过，在考量所有因素后，独立顾问认为献购价不公平，大股东献议也不合理，建议股东拒绝献议。

大股东每股44仙的献购价，低于优乐1.03令吉的每股实际净资产价值（RNAV），折价57.28%。【南洋网财经】

Reference is made to EHB's announcement dated 2 September 2014, 3 September 2014, 5 September 2014 and 23 September 2014 in relation to the Offer. We wish to announce that EHB has received the attached press notice from AmInvestment Bank Berhad, on behalf of the Joint Offerors notifying that the Offer has closed at 5.00 p.m. (Malaysian time) on 14 October 2014. ("Closing Date") ("Press Notice"). In accordance with Section 25(1) of the Code, as at 23 September 2014, being the posting date of the Offer Document ("Posting Date"), the Joint Offerors collectively hold 38,606,000 EHB Shares representing approximately 47.66% of the equity interest in EHB. From the Posting Date up to the Closing Date at 5.00 p.m. (Malaysian time) on 14 October 2014, none of the Offer Shares has been received as acceptances or acquired/agreed to be acquired by the Joint Offerors.
