（吉隆坡22日讯）宏洋控股（BENALEC，5190，主板建筑股）间接独资子公司———Benalec Diversity私人有限公司，遭Citypoint Engineering私人有限公司追讨1880万4281.86令吉的费用。

根据文告，这笔费用是马六甲沿海填海工程的服务费。Benalec Diversity是在本月18日接获通知。

接获这项通知后，Benalec Diversity有21天时间缴付拖欠费用，否则将会被要求清盘。

宏洋控股正寻求法律咨询，采取所需的行动。

Benalec Diversity是Benalec私人有限公司的独资子公司，而后者则是宏洋控股的独资子公司。

Details of circumstances leading to receipt of the Notice of Demand The Claim originated from a purported Letter of Award dated 16 May 2012 between BDSB and CESB of which the Company is now strongly disputing. Total cost of investment in BDSB BDSB is not a major subsidiary of Benalec. The total cost of investment in BDSB is RM500,000.00. Financial and operational impact of the Notice of Demand on the Group The Notice of Demand is not expected to have any significant financial or operational impact on the Benalec Group as the Group has adequate resources to meet this commitment without any difficulty. Expected losses, if any, arising from the Notice of Demand In the event that BDSB is not successful in its defence against the Claim made by CESB, the expected losses to BDSB will comprise satisfaction of the Claim plus legal costs and interest. 二董事辭職 宏洋控股取消特大

（吉隆坡4日訊）宏洋控股（BENALEC，5190，主要板建築）指出，隨著兩位或將被罷免的董事辭職，召開特別股東大會的建議亦將取消。

該公司向馬證所報備指出，召開特大的主要目的是尋求小股東通過，罷免兩位執行董事分別是非獨立執行董事拿督廖大春和執行董事拿督廖亞財。

隨著上述兩位董事于今日提出呈辭，宏洋控股董事局決定取消召開特大的建議。

董事庭外和解 宏洋控股受激励走高

（吉隆坡6日讯）随着廖氏兄弟决定庭外和解，意味着宏洋控股（BENALEC，5190，主板建筑股）的法律纠纷终于告一段落。

根据宏洋控股致马交所的文告，该公司已经与3人，包括拿督廖大春、拿督廖亚财及廖勇进（译音）签署框架协议，以解决双方所有法庭诉讼、不满、争执和赔偿问题。

宏洋控股表示，双方将商谈最终协议内容，并在1个月内执行有关协议。

此外，宏洋控股还宣布，独资子公司宏洋多元化私人有限公司，与廖大春、廖亚财、廖勇进和Citypoint工程私人有限公司的诉讼案，也宣布销案。

宏洋控股10月宣布，两名时任执行董事的廖大春及廖亚财违反服务合约条例，董事部决议终止合约。

廖大春及廖亚财都是宏洋控股董事经理廖成海的兄弟。

公司早前也计划召开股东特别大会，罢黜两人的董事职。

不过，两人本月初辞去董事职，所以宏洋控股宣布取消特大。

随着法律纠纷落幕，宏洋控股今早以1.01令吉报开，全日波动不大，一度上扬至1.03令吉的最高点。

答：
2013年10月杪，宏洋控股獨資子公司――遺產置地實業有限公司，以5千150萬令吉，脫售8塊租賃空置地皮給Faithview Supreme發展有限公司，總占地約29.54英畝，坐落在馬六甲。

肯納格研究看好上述售地活動，惟這已在該行預測2014年售地160英畝土地目標內。2013年至今為止，該公司已售出101英畝土地，平均售價為每平方呎35.6令吉，較該行預測的31令吉來得高。其平均土地成本為每平方呎26令吉。

上述29.54英畝土地賣5千150萬令吉，使銷售價為每平方呎40令吉，比之前平均銷售價39令吉微高，不過，賬面價格則是3千零80萬令吉，或是每平方呎為24令吉，比上一次土地銷售的賬面值低17%。這使淨利潤達到1千550萬令吉，比上一次銷售900萬令吉高。

該行正面看待宏洋積極脫售馬六甲土地，以及向2名執行董事採取紀律行動，惟該行還是專注它在柔佛州填土計劃的最新發展。目前是等待環境影響評估報告，延長截止日期落在2013年12月11日，該行希望它能夠在截止日期前獲得批准。

买家未在期限内付费 宏洋控股终止售地

（吉隆坡13日讯）宏洋控股有限公司（BENALEC，5190，建筑组）取消以5431万令吉脱售在中马六甲占地16.82公顷8块租赁空置土地的建议。

在致给大马交易所文件中，该公司宣布，其子公司Heritage置地私人有限公司已经终止在6月份与Highbond Capital私人有限公司及Gigayear Revenue私人有限公司签署的买卖协议。

宏洋控股指出，Highbond和Gigayear无法在延长日期即12月10日前支付剩余数额4889万令吉。该集团补充，它有权没收上述2间公司缴付的10%订金，相等于543万令吉。

该公司称，这项交易不会对公司截至2014年3月31日止财政年的综合每股盈利及净资产带来任何实质影响。

宏洋控股早前曾表示，它计划使用出售所得款项来资助其正在进行的项目，以应付其营运资金需求。[光华日报财经]

负面消息笼罩 宏洋控股短期料遭卖压

（吉隆坡14日讯）宏洋控股（BENALEC，5190，主板建筑股）在柔佛丹绒比艾海岸进行填海工程再度延后，分析员认为，这将影响短期的投资情绪。

今年初，宏洋控股透过子公司Spektrum Kukuh私人有限公司、与柔佛州政府和1MY策略石油终站私人有限公司，签署捆绑条款清单，以在柔佛丹绒比艾海岸进行填海工程，以及收购一块占地1000英亩土地。

不过，由于无法顺利完成草拟合约内容，这是三方第二次同意延长条款书6个月，至2014年6月11日。

环境评估或是展延原因

普遍来看，投行对于这项消息并不感到意外，因为早前已预计会花较久的时间达成协议。不过，这将会令投资者失望，同时亦会影响股价表现。

联昌国际投行分析员表示：“在第二次展延下，意味着我们低估了这项交易的执行风险。”

不过，若宏洋控股能够进行这项目，将会成为集团最大型的填海工程，也是首个主要的油气终站。

分析员补充，这也是他们会在今年6月初开始追踪这只股项的主要原因。

“我们认为，环境影响评估批准也是让这项协议展延的因素之一。同时，亦不排除会受到政治因素干扰。”

因此，联昌国际把公司投资评级下调至“减持”，并建议投资者转向睦兴旺（MUHIBAH，5703，主板建筑股）。

不过，其他投行，如大马研究、艾芬投行及肯纳格投行普遍仍看好这项发展，以及公司长期展望。

大马研究认为，这项投资保持不变，因接近新加坡裕廊的石化中心，有大批已在营运的油气跨国企业。

此外，管理层也正积极与1MY合作，寻找更多投资者发展丹绒比艾。因此，投行仍对这家公司“喊买”。

股价不跌反起

近期，宏洋控股面对的坏消息接踵而来，除了早前的家庭纠纷、独立董事要求开特大罢黜拿督廖大春及拿督廖亚财的董事职位、2014财年首季净亏470万令吉，以及上述的协议第二次展延之外，还有卖地不成的消息。

周四，宏洋控股取消以5431万4528令吉脱售8片土地给Highbond资本和Gigayear Revenue的买卖协议，因为买方无法支付剩余4880万令吉的收购价。

后者仅支付10%的定金给宏洋控股而已。

肯纳格分析员表示，对这项消息感到意外，因为他们完全没有料到买方会无法支付剩余90%的款额。

不过，大马研究指，预计公司已完成大约2亿令吉的土地买卖，这将会反映在接下来的季度业绩上。

虽然宏洋控股面对两大负面消息，但是股价不跌反起，该股周五闭市时攀升1仙，至1.02令吉。[南洋网财经]

宏洋協議展延影響短暫

（吉隆坡16日訊）宏洋控股（BENALEC，5190，主板建筑組）宣佈進一步展延1MY策略儲油終站有限公司與柔州秘書署簽署約束性協約，至2014年6月11日。

1MY策略儲油終站有限公司是計劃發展丹絨比艾1千英畝土地，為策略石油儲藏終站，宏洋控股的職責是出售有關土地然後以20億令吉代價進行填海工程。

宏洋控股與柔佛州秘書處先脫售1千英畝土地予1MY策略石油終站私人有限公司，以興建和營運原油與石油儲藏設施和私人碼頭，加快大馬儲油終站的成形。

分析
分析員對上述展延不感驚奇，因為大片土地面積和龐大工程的協商工作或會曠日持久，惟丹絨比艾的投資將會持續，這只是短暫的挫折。

大馬研究說，丹絨比艾的投資會持續，主要是接近裕廊的石化樞紐，很多油氣公司皆駐守裕廊。

“除了1MY策略儲油終站有限公司，宏洋也尋求更多投資者發展丹絨比艾；同時，檳城的填海工程也更熱絡，約值10億令吉。”

（吉隆坡18日訊）宏洋控股（BENALEC，5190，主要板建築）建議以5553萬令吉，脫售4片土地。

宏洋控股向馬證交所報備，獨資子公司Oceanfront房地產私人有限公司，與Faithview Concept發展私人有限公司，簽署買賣協議。

這項買賣協議價格為5553萬令吉現金，交易4片位于馬六甲總面積約31.86英畝的土地。[中国报财经]

宏洋控股售地获看好 丹绒比艾填土推动盈利关键

（吉隆坡19日讯）宏洋控股（BENALEC，5190，主板建筑股）土地销售备受看好，但券商认为，该公司的丹绒比艾填土计划仍是推动盈利增长的关键。
大马研究报告指出，从2014财年次季起，预计宏洋控股将有超过2亿令吉的土地销售将陆续进账。

宏洋控股在今年初，透过子公司Spektrum Kukuh私人有限公司、与柔佛州政府和1MY策略石油终站私人有限公司，签署捆绑条款清单，以在柔佛丹绒比艾海岸进行填土工程，及收购一块占地1000英亩土地。

不过，三方因无法达至协议，以致这项合作协议延长至明年6月11日。

另一方面，宏洋控股在早前与FaithviewConcept发展有限公司达成买卖协议，以5553万令吉或每平方尺40令吉，脱售马六甲4块约共31.86英亩的土地，相关地段位于马六甲格勒邦（Klebang）海滩地区，在市中心的西南地区。

大马研究分析员认为，相关地段的邻近土地市值介于28令吉至30令吉，宏洋控股的售价高于市场价值，预计可为公司带来600万令吉盈利。

宏洋控股早前指出，售地所得款项将作为公司营运资本需求。

宏洋控股过去52周最高股价为1.55令吉，最低则为88仙，该行根据分类加总估值法（SOP）的45%折价计算，该股合理价为1.31令吉。[南洋网财经]
