达加富设合作关系 在隆发展综合项目
二零一五年八月一日 晚上七时三十九分
(吉隆坡1日讯)婴儿用品和避孕套制造商达加富资源有限公司(TAKASO,7071,消费产品组)计划与Makok国际私人有限公司合作,在吉隆坡一幅永久土地兴建综合发展项目。
该集团发布文告指出,已接获Makok国际的有条件通知书,获准收购后者子公司Masbe咖啡私人有限公司的51%股权。
Makok国际是该1492.23平方尺(0.15公顷)土地的合法拥有者。
根据达加富资源向大马交易所报备,Makok国际在6月26日执行Form 32A,向两名股东收购冬眠公司MCSB的所有股权。
达加富资源称,Makok国际在2014年12月29日与MCSB签署联营协议,将该地发展为住宅、商业或综合项目。
“Masbe咖啡在2015年4月10日取得该地的主要发展准令。目前,该项目处于起步阶段。”
达加富资源执行董事王家和认为,如果成事,该交易有利于集团。
“据我们所知,吉隆坡的永久地契发展地实在有限,且需求很高。因此,如果成事,该项目将会非常吃香。”
他说,该集团正积极物色有助于增强集团的良好商业机会,而不是依赖现有的业务。

(吉隆坡4日讯)达加富资源(TAKASO,7071,主板消费产品股)将拨出9449万令吉,与联营公司Makok国际(简称MISB)携手发展吉隆坡一片1492.23平方米的地皮。
不过,在MasbeCoffee(简称MCSB)取得所有发展批准,布局规划及建筑计划后,实际成本可能会有变动。
达加富资源回复大马交易所询问时表示,公司有意通过筹资活动、内部融资及向银行借贷,来筹得发展成本,惟目前还未有定案。
上周,该公司宣布接受MISB的献议,以500万令吉收购MCSB的51%股权。
1年内动工MISB和MCSB在去年12月29日签署联营协议,一起发展住宅、商业或综合发展项目。
今年4月10日,MCSB已取得发展准证。
完成收购后,达加富资源将委任新董事入局,取代MCSB原有的董事,并取得公司及发展项目的控制权。
除了发展准证,该公司还未从任何相关组织取得其他批准。
根据发展准证,获批的发展项目是一栋145个单位的服务式公寓,预计在1年内动工,料耗时3年完成。
不过,在MCSB和MISB成立了新联营关系后,前者可以申请修改发展准证。
依据市价计算,该地皮的市价料为每平方尺1万6062令吉,或约4500万令吉。【南洋网财经】

达家富进军建筑业 斥资购马六甲土地
二零一五年八月十四日 晚上九时十分
(吉隆坡14日讯)达家富资源有限公司(TAKASO,7071,消费产品组)近期进军建筑业,并以现金932万令吉收购位于马六甲Taman Melaka Raya的3万7264平方尺的土地。
上述土地权属截止日期是2082年10月4日。
该集团发布文告称,这项土地收购是由其子公司Tristar City私人有限公司与Mega Irama Enigma有限公司签署有条件买卖协议。
尽管该土地最初批准开发7层楼高、174间房间的廉价酒店,不过达家富资源称,公司计划转换土地为综合发展,总发展价值1亿3415万令吉。
它补充:“原因是地点适宜,该地区已经快速增长,促使该处的产业拥有较高的需求。”
达家富资源也称,土地收购是集团策略之一,以便继续寻求机会来扩展和多样化其业务运作,转向有利可图,并且从不同部门来维持持续增长及平衡收入来源。
该公司执行董事黄家河(译音)发文告说:“我们相信这项企业将会使我们减少依赖传统业务。”

(吉隆坡19日讯)达加富资源(TAKASO,7071,主板消费产品股)建议系列企业活动,包括发附加股、送凭单、多元化至产业发展业务和扩大注册资本。
根据文告,达加富资源建议用1配3比例,发行高达7亿3507万4052股不可赎回可转换优先股。
这批附加股的每股发售价为5仙,转换价为每股50仙,相等于53.37仙理论除权价格的折价6.31%。
公司也会发行7350万7405张免费凭单,以10送1比例,赠送这批凭单给认购附加股的股东。
每张凭单行使价为50仙,相等于54.15仙理论除权价格的折价7.66%。
为了达到最低认购水平,达加富资源已获得总共持股27.99%的股东,认购1亿7239万8300股附加股。
料筹3675.4万
达加富资源预期可筹资高达3675万4000令吉,当中的2861万令吉将用来发展产业项目,368万令吉支付建筑与员工开销,186万4000令吉购买马六甲地皮。
剩余260万令吉,将用作收购Masbe咖啡51%股权,支付相关开销。
同时,达加富资源建议多元化至产业发展业务,减少对现有业务的依赖,且提振盈利表现。

(吉隆坡8日讯)达加富资源(TAKASO,7071,主板消费产品股)计划将附加股活动所筹获的资金,动用其中3247万令吉作为产业发展。
根据文告,该公司建议发行不可赎回可转换优先股(ICPS)和凭单,若每股发售价0.05仙,计划筹资最多3675万4000令吉,最少为862万0000令吉。
该公司经过考量后,将挪用其中3247万4000令吉作为产业发展,其中1064万0000令吉和1729万令吉分配用在关丹和叶观盛发展项目,而马六甲项目约454万4000令吉。

达加富资源末季亏损扩大

(吉隆坡28日讯)达加富资源(Takaso Resources Bhd ( Valuation: 0.30, Fundamental: 1.65))截至7月杪的2015财年末季净亏扩大至488万令吉,上财年净亏301万令吉。
综合2015财年的全年业绩表现,该集团净亏799万令吉,高于上财年同期的595万令吉34.3%。
达加富资源向大马交易所报备指出:“净亏扩大主要是厂房和机器的150万令吉资产减值亏损所致,再加上公司的应收账款也蒙受82万令吉的减值亏损。”
该集团2015财年末季营业额也按年收窄20%至635万令吉,上财年同季为794万令吉,主要因为电脑零件业务放缓。
全年营业额也走软2.1%至3676万令吉,2014财年合共四季营业额报3756万令吉。
达加富资源表示,尽管电子与机械产品,以及电脑零件业务有所改善,惟全年营业额仍受阴极射线玻璃管(cathode ray tube glass),以及一些消费产品的生意放缓所拖累。
该集团指出,旗下业务如制造与出售安全套,以及婴儿产品等的,在过去的财年面临营运成本和原料价格企高的窘境。
达加富资源补充,为了提升业绩表现,该集团才开拓业务至建筑与产业发展领域,目前该集团已签下联营合约,计划承办一项位于关丹的综合发展计划。
此外,该集团也透露,已经接受一封有条件信函,以收购一项位于叶观盛路的综合发展项目的51%股权。另外,该集团还签下买卖合约,收购一块位于马六甲的地段,以进行综合发展计划。
达加富资源说:“集团正致力为建筑与产业发展业务谋取更多商机。透过这些努力,管理层预测,集团未来将呈正面发展。”
闭市时,达加富资源收报于挂49.5仙,跌0.5仙或1%。,全日成交量为3万股。 |

600万购AWIL 50% 达加富发展4540万房产

(吉隆坡29日讯)达加富资源(TAKASO,7071,主板消费产品股)以600万令吉收购A.W.Impian Land私人有限公司(AWIL)50%股权,并进行发展总值4540万令吉产业项目。
文告指出,公司今日与AWIL的2名大股东陈德安(人名皆译音)和曾林华,签署股权买卖协议,认购AWIL一半股权。
AWIL在八打灵再也地区,拥有2块面积分别达3万2206平方尺的地皮。
根据独立估价师Rahim & Co公司作出的估价,这2块土地的价值达1250万令吉。
因此,这宗交易的价格,约等于市价的折价50%。
达加富资源执行董事王家豪指出,公司将在这些土地,打造3栋三层连栋住宅,当中共有39个单位。
“这个项目将在取得批准后,在一年内展开工程,预期需时3年竣工。”
他续称,公司很荣幸能够找到价格和估值良好的交易商机,展望未来,产业发展将是业绩的关键推手。【南洋网财经】
