- ACQUISITION OF SHELF COMPANY | Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements, the Board of Directors of Titijaya wishes to announce that the Company had on 19 March 2015 acquired two (2) ordinary shares of RM1.00 each, representing 100% of the issued and paid-up share capital of Premsdale Development Sdn. Bhd. (Company No. 1121985-U) ("Premsdale Development"), for a total consideration of RM2.00 ("Acquisition").
Following the above Acquisition, Premsdale Development has become a wholly-owned subsidiary of Titijaya.
Premsdale Development was incorporated as a private company limited by shares on 9 December 2014. The authorised share capital of Premsdale Development is RM400,000/- divided into 400,000 ordinary shares of RM1.00 each. The present issued and paid-up share capital of Premsdale Development is RM2.00 divided into two (2) ordinary shares of RM1.00 each.
Premsdale Development has not commenced business since its corporation.
None of the directors and/or major shareholders of Titijaya and/or persons connected to them, have any interests, direct or indirect in the above Acquisition.

(吉隆坡12日訊)帝億成功置地(TITIJYA,5239,主要板房產)以300萬令吉,全面收購Tulus Lagenda私人有限公司(簡稱TLSB )的股權。
帝億成功置地向馬證交所報備,與法季達阿都拉和陳平國(譯音)簽署股權買賣協議,以收購TLSB100%股權,或相等于100萬股,收購價為300萬令吉。
該公司將通過內部融資,支付上述收購。TLSB主要涉及投資控股,一旦完成收購,TLSB將成為帝億成功置地獨資子公司。【中国报财经】

INTRODUCTION Pursuant to Paragraph 10.05(2) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Titijaya wishes to announce that the Company had on 8th May 2015 entered into a Share Sale Agreement (“SSA”) with Fazidah Binti Abdullah and Chan Peng Kooh (“Vendors”) to acquire 100% equity interest in Tulus Lagenda Sdn Bhd (“TLSB") comprising 1,000,000 ordinary shares of RM1.00 each for a purchase consideration of RM3,000,000/-, upon terms and conditions as stipulated in the SSA (“Acquisition”).
2. BACKGROUND INFORMATION OF TLSB TLSB was incorporated in Malaysia as a private company limited by shares under the Companies Act, 1965 on 1st April 2013 and has an authorised share capital of RM1,000,000 divided into 1,000,000 ordinary shares of RM1.00 each, of which have been fully paid-up.
TLSB is principally engaged in investment holding.

Under the terms of the SSA, the completion of the Acquisition is subject to satisfaction of certain conditions precedent. Upon completion of the Acquisition, TLSB shall become a wholly owned subsidiary of Titijaya.
3. CONSIDERATION OF THE ACQUISITION The purchase consideration for the Acquisition to be settled entirely by way of cash was arrived at on a “willing-buyer willing-seller” basis after taking into consideration, amongst others, the cost of investment of the Vendors and the future earnings prospects of TLSB.
4. FINANCIAL EFFECTS The Acquisition will not have any effect on the issued and paid-up share capital and substantial shareholders’ shareholdings of the Company. The Acquisition is not expected to have any material effects on the earnings or net assets of the Company for the financial year ending 30 June 2015.
5. SOURCE OF FUNDING The Acquisition will be funded through the Company’s internally generated funds.
6. LIABILITIES TO BE ASSUMED Save for those liabilities incurred by TLSB in the ordinary course of business, there are no additional liabilities (including contingent liabilities and guarantees) to be assumed by the Company arising from the Acquisition.
7. HIGHEST PERCENTAGE RATIO APPLICABLE TO THE ACQUISITION The highest percentage ratio applicable to the Acquisition pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 0.77%, computed based on the purchase consideration as compared to the audited consolidated net assets of the Company as at 30 June 2014.
8. APPROVALS REQUIRED The Acquisition is not subject to the approval of the shareholders of the Company and any other authorities.
The Acquisition is not conditional upon any other corporate exercise undertaken or to be undertaken by the Company.
9. DIRECTORS’ AND MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHAREHOLDER’S INTERESTS None of the Directors and/or major shareholders of the Company and/or persons connected to them, has any interest, direct or indirect, in the Acquisition.
10. STATEMENT BY DIRECTORS The Board of Directors of Titijaya, having taken into consideration all aspects of the Acquisition, is of the opinion that the Acquisition is in the best interest of Titijaya.

帝亿购地计划获准

(吉隆坡29日讯)帝亿成功置地(TITIJYA,5239,主板产业股)以1亿2600万令吉,向独资子公司City Meridian发展私人有限公司购买槟州面积达20.3英亩地段的计划,获得股东通过。
该公司计划发展住宅与商业综合项目,发展总值高达26亿令吉。
该地段属于租赁地契,位于槟城第二大桥南部,衔接通往主要市镇的大道。
该公司将通过银行贷款和内部资金,进行这项购地计划。
一旦完成这项购地交易,帝亿成功置地的地库,将从原有的412.05英亩,增至432.47英亩,同时让该集团在槟城成为首要产业发展商。
集团副董事经理林保亿指出,尽管槟州的产业市场竞争剧烈,但是,住宅和商业产业预料还是备受国内外买家青睐。

帝億置地:今年產業價料企平

(吉隆坡6日訊)帝億置地(TITIJYA,5239,主板產業組)副董事經理林保億表示,消費稅(GST)落實超過2個月,對消費者情緒帶來打擊,料今年產業價格將企平,但斷言現有市場依舊強勁。
整體市場仍強勁
他說,自去年杪起,帝億置地產業推介認購率出現走緩跡象。
“可以肯定,市場將出現一定的調整期。買家現採取觀望態度。但正面的是價格未下跌,意味著整體市場依舊強勁。”
但他補充,儘管認購率緩慢,但廣受追捧的巴生河流域仍將吸引眾多買家。
不過,產業市場可能不如預期般黯淡,林保億透露:“我們看到市場近期有改善。我認為人們可能因市場趨穩而倦鳥回歸。”
他說,大馬仍仰賴石油收入,而油價反彈將是吸引更多產業投資者的催化因素。
“市場需要信心,以及催化因素來說服投資者回來,而這不僅僅是股市,產業市場也一樣。”
可是,基於認購率趨緩,林保億相信今年產業價格漲勢將受限。
“我們並未對今年寄予厚望,更可能下調或維持增長目標。”
與MBI洽潛在聯營合作
與此同時,林保億也向《The Edge》證實,集團正與雪州大臣機構(MBI)洽商潛在聯營合作計劃。
他指出,MBI在雪州擁有良好的地庫,但仍未有具體計劃。
MBI首席執行員索凡阿芬迪早前披露,正與實達集團(SPSETIA,8664,主板產業組)、綠盛世(ECOWLD,8206,主板產業組)等私人產業發展商洽談聯營合作。

与铁道公司换地发展 帝亿20亿重头戏将揭幕

(吉隆坡19日讯)帝亿置地(TITIJYA,5239,主板产业股)即将落实與马来亚铁道公司(KTMB)的发展计划,为发展总值20亿令吉的项目揭开序幕。
集团董事经理丹斯里林顺平日前向《南洋商报》透露,公司将與KTMB签署换地协议,在後者位於梳邦再也站及莎阿南之间的一块土地上,展开发展总值20亿令吉的项目。
“我们已获得相关单位的批准,目前正协商合约内容等细节,预计可在今年作出宣佈,同时也希望能在明年底展开工程。”
公司将帮助KTMB兴建总部、办公室和电动火车站,作为获得发展这块地皮的代價。
去年,消息传出帝亿置地已上呈计划书给KTMB,建议在该土地上,兴建大型商业建筑物。
同时,有传KTMB也有意释放地库價值,包括吉隆坡市中心的总部建筑物和土地。
续扩展地库
副董事经理林保亿也指出,公司将继续扩展地库,来推高发展总值。
“我们将继续在槟城與巴生谷,寻觅合適的地皮,为将来的发展项目铺路,我有信心公司所有项目的发展总值,可在明年达到140亿令吉。”
林顺平补充,虽然槟城並非第十一大马计划的重点发展城市,但这不会影响当地需求。
因此,公司还是会专注在原本熟悉的区域,收购更多土地。
包括进行中與即将推介的项目在内,帝亿置地目前所有项目的发展总值达85亿令吉。
朝5亿销售迈进 冀业绩胜往年
截至3月杪,帝亿置地截至3月杪,帝亿置地销量达4.15亿令吉,正朝向5亿令吉的目标前进,有信心现财年业绩将优於去年。
林保亿表示,公司首9个月净利和营业额,分别报6260萬和2.74亿令吉,相当接近上财年的7130萬令吉和2.838亿令吉。
“我预期今年可交出更出色的表现,而公司的产品也会继续迎合市场需求,希望下财年业绩可保持亮眼。”
公司首9个月的未进账销售录得7.37亿令吉,能够为盈利带来支撑。
但在总赚幅(gross margin)方面,由於地皮價格不断上扬,预料会对公司造成影响。
林顺平表示:“我们的土地成本,约占项目发展总值的15%,随著地價走高,预计赚幅会减少至30%左右。”
另外,公司把下财年的销量目标,也同样设在5亿令吉,希望即将在明年推介的峇都茅(BATU MAUNG)及十五碑(Brick fields)的综合产业计划,可提振销量表现。
林顺平称:“我认为产业市场将随著我国经济环境,一同稳定下来,相信会在今年底恢复正常。”

儘管產業市場放緩,帝億置地(TITIJYA,5239,主板產業組)巧妙佈局,透過多元化產品驅動需求力挽頹勢,亦借助中央和州政府的龐大地庫,“借力使力”打造公共交通主題產業,為其產業發展打開更大格局。
主打年輕人
放眼樂齡市場
帝億置地董事經理丹斯里林順平接受訪問時指出,抵禦經濟放緩的其中一個策略是專注於建50萬令吉以下、適合年輕人居住的房屋,以需求帶動買氣。
他說,年輕人有82%由鄉村湧至城市讀書,很多選擇不回鄉而在城市落腳,年輕人要在城市成家立業,對地點方便而負擔得起的產業需求若渴。
“這些產業的面積可造小一點,以符合年輕市場的負擔和需求,而政府也在鼓勵興建這類產業。”他補充,主打年輕人的房產,將佔其所建房產的30%。
他舉例說,未來坐落在梳邦至峇都迪甲之間一塊馬來亞鐵道局地段,基於鄰近公交和其適中地點,將打造成公交主題產業。
根據消息,帝億將協助馬來亞鐵道公司興建總部、辦公室和電動火車站,作為發展該地皮的交換條件。
林順平說,該計劃有20億令吉發展值,產品多元化,除有高樓公寓外、也有商產、SOHO、SOVO等計劃。
在檳城峇都茅新近所購得的約20英畝地段,地理位置優越,面臨大海和檳城第二大橋,風景怡人,明年將打造26億令吉產業發展值,適宜樂齡養生、旅遊與相關的醫護服務。
他說,檳城上述樂齡養生與旅遊主題計劃,正與經驗豐富的韓國公司洽商,預料明年可動工。這包括空間的規劃與設計,醫療與看護佈局等。
他指出,明年開始會建這些計劃,會做一些創新,也會和慈善團體、非政府組織帶動,讓這些人士有心靈寄託和過得充實自在。
他說,老齡化不只是台灣、日本的問題,現在中國、新加坡和大馬遲早也面臨同樣問題,新加坡、台灣對老人的服務和福利皆不錯。
剛從台灣出遊回國的林順平提到,台灣對樂齡政策不錯,65歲樂齡人士用餐半費,乘坐公共巴士和捷運免費。他預期優惠老人的政策慢慢來到大馬,因大馬的樂齡人口也逐步加高。
房市低迷
正是收購好時機
林順平也估計,經濟低迷、產業放緩,預計影響銷售逾10%。
“然而,正因目前是低迷期,可趁機收購土地作為未來之用。”
該公司目前除了持有2千800萬令吉淨現金,2013年11月首次公開售股籌獲1億2千255萬8千令吉資金中,截至5月28日用作購買地段的3千萬令吉,仍剩餘1千500萬令吉。這筆未用罄資金,將展延18個月作適當用途。
帝億置地這個財政年將推展5億令吉發展值產業計劃,分別坐落在雪州八打靈、巴生、吉隆坡等地。這些推展的產業計劃包括ARA DAMANSARA H20B座(發展值1億9千100萬令吉)、沙亞南總值2億2千500萬令吉)Emporia Soho和辦公套房,9千800萬令吉的吸收山靈之氣的Emery/Embun@Kemensah半獨立洋房和庭院式洋房計劃等。
最新數據顯示,未進賬銷售達8億1千600萬令吉,銷售達4億1千530萬令吉。
洽政府地庫
創雙贏發展
帝億置地目前不會隨意向銀行借貸以增負債。
林順平指出,帝億目前採取與聯邦政府、州政府合作的方式,創造雙贏的格局。
他披露,目前正忙著磋商有關土地與土地運用等合作事件,都是靠近火車站、機場的交通導向所在。
“這類的合作方式風險不高,由聯邦、州政府提供土地供發展,除了不因購地增加負債外,由政府作後盾的計劃風險也較低。
“和雪州大臣署(MBI)正就此磋商,有信心在今年內有實質成果,因為這類的合作互惠雙贏。”
他說,這些土地中,以雪州的土地面積最大,這些土地將聯營興建住宅、辦公、商業等綜合計劃,也考慮樂齡人士的購房與退休計劃。
新近所購吉隆坡中環4.6地段,和吉隆坡大使館區Eaton路地庫,將用作高檔產業用途。
目前大約還剩餘200多英畝地庫,其地庫不僅為住宅用地,也包括巴生中環附近的100多英畝工業地段。該工業地已建輕工業區和一些住宅產業。
按照林順平的務實做法,是先在國內穩紮穩打,基礎穩定後才放眼區域或國際,其即時的構思是吸引一些國家地區投資者,到大馬置業或投資。
他說,目前會專注發展產業,讓產業強大後,才開拓農業、技職教育或成年教育這個區塊。
穩打穩紮
創造價值
林順平家族總共持有公司股權63%,兒子林保億擔任副董事經理,主管行政和業務;也是董事的女兒林貝芳專司行銷。
家族仍牢控股權
重大決策還是由創辦人和持股最多的林順平進行,他表示兒女皆已慢慢上軌道,會慢慢放手讓他們接棒。
談到若交棒後,會否國內業務仍交由兒女掌管,而本身則開拓海外業務;他表示暫不會發展到國外,大馬還有很多機會,地皮多、人口不多,還有很多空間供發展。
他表示,其家族仍然會牢控大多數股權,而不會脫售一些持股來增公眾參與度。
2013年11月27日上市,帝億發售價1令吉50仙,上市時飆上1令吉80仙,高峰期股價飆至2令吉80仙左右,而目前又回復上市初期的1令吉80仙價位。
談到為股東創造價值的問題,林順平指出,該公司剛上市一年多,規模方面尚小,不過將一步步謹慎向前邁進。該公司30%盈利供派息,視財務狀況而定。
有計劃擴大公眾持股
他強調:“成長和創造股東價值以穩紮穩打為主,不會也不敢亂闖,以免衝得太高而跌得更低。”
他說,帝億有計劃把其公眾持股擴大,這相信會是2年內的短至中期計劃,而這將通過發新附加股落實。
全盤掌握
團隊出擊
在產業發展和計劃部總經理王招茗眼裡的林順平,不僅如公司舵手掌握公司大方向,也對項目設計和規劃瞭如指掌。
他說,林順平沒有老闆架子和階級觀念,且謙虛、勤力;雖身為老闆,卻願意放下身段,走入工地實際瞭解產業發展的進度和所面對的問題。
“他有豐富的實際經驗,可掌握發展計劃的細節,從概念設計、市場定位、項目定價到其他細節,他都給予意見。”
從創辦人林順平,逐步過渡至第二代接班人的林保億、林貝芳,大伙一樣合作無間,愉快共事。
帝億置地位於首邦市的總部有100多名員工,都在同一棟樓共事。配合檳城的發展,明年會有30名員工,負責工程管理和行銷。
林順平相信,一個人的力量有限,要創造大成就和大事業,必須匯合“眾人”之力量。
他表示,“單打獨鬥”不適合今天的經商環境,事業要做大需要團隊和伙伴;當事業更大更強,伙伴即如團隊的靈魂,串起強穩力量把事業推向高峰。
子女從基層做起
“我把適合的人才安置在適當位置上,讓每個伙伴施展所長、發揮所能,這是公司人力資本的最大化功能。”
即使是一對兒女從澳洲留學回國後,加入公司是從基層做起,和所有員工一起打拼。
他也灌輸孩子要紀律嚴明、公私分明,孩子如其他職員一樣,沒有特權和禮遇,從基層做起,一步步學習,經過實際考驗,過關了,才來到公司高層管理位置。
2003年畢業澳洲莫納斯大學,主修電腦系的林保億為帝億置地副董事經理。2004年加入公司擔任業務發展執行員,並成為林順平的私人助理,負責市場開發和監督計劃,目前負責執行公司策略。
親力親為
和員工一起拼
談到其管理哲學,林順平說,早在公司仍未具規模時,他便凡事親力親為,和員工一起拼搏,也和員工配合。
“這非常重要,很多員工都看到我們關心公司,就會和大伙兒一起關心公司。”
為了達致國際化的要求,其房地產計劃融合了國際建築師、設計師、景觀設計師、顧問和國際公司,把國際理念引進大馬,使其房地產呈現國際化格調。
熱心公益
“賺錢要心安理得”
林順平的經商原則是,有錢大家一起賺,獨賺會使格局愈來愈小,最後沒有人願意跟你做生意。因此,他願意採取聯營,共同分擔風險的方式合作。
他說,做生意營商都會有風險,然而他堅信“危機即是契機”,捱過難關後,便可唱豐收。
為人誠正信實的他,經商也有其原則,賺錢要賺得心安理得,不做非法勾當、不走捷徑賺黑心錢!
推愛心蜜餐計劃
林順平於2014年發起“關愛慈善協會愛心蜜餐計劃”,宗旨是回收剩餘食物、杜絕浪費,發放予有需要的貧苦人家發揮愛心。
林順平和林木生集團(LBS,5789,主板產業組)董事經理拿督斯里林福山首先各捐獻20萬令吉。
該項計劃獲得林氏企業家的廣泛響應及參與,包括頂級手套(TOPGLOV,7113,主板工業產品組)執行主席丹斯里林偉才、高產尼品(KOSSAN,7153,主板工業產品組)董事經理拿督林寬城、CB工業(CBIP,7076,主板工業產品組)董事經理林再明。該項活動的募款目標為100萬令吉。
林順平熱心公益、關心社會的面向多元,也包括成為華裔婦女創業轉型基金的重要推手,協助弱勢婦女改變命運。
他也事母極孝,近年在母親80歲大壽上,宣佈設立“帝億置地基金會”,從公司撥出100萬令吉,作社會公益、福利用途。
人棄我取
賺第一桶金
林順平的第一桶金,賺取自福隆港別墅建築工程。
80年代初,正是林順平年輕力壯時期,當時福隆港山路九曲十八彎,運輸困難山路難行,沒有人願意接下工程。
林順平秉持“人棄我取”態度,果斷剛毅的接了該工程,早上六時從巴生開羅里上山,晚上10時下山;他堅持完成艱巨工程,為自己賺了人生第一桶金。這一桶金,開啟了林順平往後的事業。
1997年亞洲金融危機,很多企業紛紛退出市場時,他採取大膽進攻策略,一舉買下巴生河流域多處黃金地段,奠定了往後房地產市場的輝煌成就。
1997年主打可負擔房屋的單層排屋,2000年在巴生推出價格大眾化半獨立洋樓,全購一空。
2007年,洞察市場對小型辦公室的需求,在首邦市First Subang搶攻市場這塊肥肉。
走出巴生
推高檔產業
林順平女兒林貝芳說,從父親身上學到謙虛與誠懇,不帶有色眼光待人。“父親經常告訴我們,對任何人都要平等,一個人窮苦和出身低,不代表日後不能出人頭地。”
帝億置地多年前在首邦市家樂福(現為Aeon Big)旁邊購置一塊地皮,當時在該區沒有高檔產業,帝億便順勢推出首個高檔產業,這也是走出巴生的第一個項目。
即使在澳洲阿德萊德大學主修企業金融的林貝芳剛畢業,林順平果斷決定,把整個產業計劃交託女兒全權負責。林順平只分享本身要發展的產業方向和規模等,其餘細節全交女兒領導與決定。
尊重新生代經營方式
林貝芳找來新加坡設計師設計示範屋,心裡對這首項高檔產業有點擔心,林順平沒有主動過問和干預,反而是貝芳向老闆報告進展,老闆只是點頭,讓她自由發揮;偶而參觀示範屋,給一些想法。
林順平不用傳統的處處約束和管教方式,而是尊重新一代的想法和經營方式。他說,他們接受高深教育,掌握電腦和科技知識,可以為公司注入新元素,帶領公司更上一層樓。
小檔案
林順平1955年出生於巴生班達馬蘭“椰腳”一帶,原籍福建同安西河官潯村人。父母養豬種菜為生,家裡成員眾多(11個兄弟姊妹),在班達馬蘭馬B校畢業後,便出來社會歷練。
11歲起便在巴剎賣豆芽,憑著堅強的信念和明確目標,由經營小生意到70年代成為小型二手承包商;他為人勤奮,當時包括丹斯里楊忠禮的建築商,把一些工程分給他。楊忠禮說,林順平無法像一般少年完成基礎教育,因此唯有不斷努力學習和力求上進。
“林順平11歲做小生意、17歲做燒焊建築、20歲創業。初創缺乏資金,只能以小本經營二手承包;30歲憑儲蓄和實際經驗,學做土地買賣,經營小型發展計劃。”

帝億成功置地 下修銷售目標至4億

(吉隆坡9日訊)由于市場買氣低迷,帝億成功置地(TITIJYA,5239,主要板房產)將2016財年銷售目標從5億令吉,下調20%至4億令吉。
該公司副董事經理林保億說,預計貢獻將來自未進賬銷售和新的發展項目。
截至6月30日,帝億成功置地旗下計劃的發展總值約86億令吉。
該公司總資產值達11億令吉;非流動資產總值2億1420萬令吉,流動資產總值8億4070萬令吉。
林保億今日出席公司匯報會時,這么指出。
冀吸引更多外國買家
另外,帝億成功置地創辦人兼董事經理丹斯里林順平指出,令吉貶值有助吸引外國買家購買大馬房地產,該公司展望取得15%至20%海外投資者比例。
“目前陸續有海外投資者前來投資我們的房產,未來預計可增至15%到20%。”
同時,他指出,公司90%建築原料來自本地供應商,因此令吉貶值未帶來太大沖擊。
另外,該公司將在檳城峇都茅進行綜合發展項目。
林順平透露,當地土地稀少,又是旅遊勝地,為此公司非常看好當地市場,未來亦打算進軍酒店業,也考慮開設一家具特色的海鮮餐廳。
帝億成功置地全年營業額按年成長20%,達3億4065萬令吉。不過,2015財年6月底末季營業額卻按年下滑19.7%至6649萬1000令吉;淨利亦跌至1827萬4000令吉。
帝億成功置副董事經理林保億說,由于市場買氣低迷,公司將2016財年銷售目標下調至4億令吉,預計貢獻將來自未進賬銷售和新的發展項目。 |

(吉隆坡17日讯)帝亿置地(TITIJYA,5239,主板产业股)获得政府颁发放贷执照。
根据文告,帝亿置地独资子公司Liberty Park发展私人有限公司(LPDSB)在上月21日,获城市和谐、房屋与地方政府部的贷款人和典当部颁发这项执照。
该公司指出,放贷执照可多元化收入来源。

(吉隆坡30日訊)帝億成功置地(TITIJYA,5239,主要板房產)子公司帝億成功資源私人有限公司(Titijaya Resources)與Amona發展私人有限公司和Metrogale發展私人有限公司簽署股東協議,共同建造學校設施,並藉此來換取武吉免登一塊地段。
帝億成功置地向馬證交所報備,配合房地產發展業務的擴張,Metrogale發展將成為帝億成功資源與Amona發展的聯營公司,負責吉隆坡潛在的房產發展機會。
簽署協議后,Amona發展和帝億成功資源,各持Metrogale發展60%和40%股份。
同時,Metrogale發展已向大馬公司委員會申請易名為Amona Titijaya私人有限公司,目前等待批准。
另外,Amona發展已向政府提呈建議,透過建造學校設施,來交換武吉免登一塊佔地2.7英畝土地。
根據報備文件,該項獻議已進入后期階段,一旦雙方達成協議並簽署私有化協議后,該公司將另行宣布。

帝億置地與Amona聯營‧放眼燕美路地庫

(吉隆坡7日訊)帝億置地(TITIJYA,5239,主板產業組)與Amona發展私人有限公司聯營發展吉隆坡市中心地庫,以擴大產業計劃。
早前帝億置地發文告表示,與Amona的聯營計劃雙方各佔60%及40%的股權。
消息人士向《THE EDGE》表示,該聯營計劃是位於吉隆坡市中心燕美路的地庫,佔地11萬7千627方尺(或2.7英畝),屬於保留校地,距離敦拉薩國際貿易中心(TRX)約2公里,目前該地庫充作停車場用途。
帝億置地將在吉隆坡其他地方建造學校,以換取上述的地段,惟該公司拒絕向《THE EDGE》透露更多詳情。
早前燕美華小的9萬零8方尺的地庫以3億8千800萬令吉售予新加坡上市公司,每方尺作價4千310令吉。
帝億置地的土地估價會否相等,讓市場關注。產業估價師向《THE EDGE》表示,帝億置地上述地段每方尺的估價為2千800令吉左右。
估價師表示,以TRX部份地庫近期的交易價作為參考,再加上政府對華小的津貼,2千800令吉屬於合理價格。
目前無法得知帝億置地將在該地段發展哪一類型的產業,不過對比同類型地段,一般會發展綜合式產業項目,潛在總值發展達10億令吉。

INTRODUCTION The Board of Directors of Titijaya wishes to announce that the Company has on 2nd December 2015, entered into a Framework Agreement (“FA”) with Stone Master Corporation Berhad (Company No. 498639-X) (“SMCB” or “Vendor”). Pursuant to the FA, the Vendor agrees to offer the Products and Services coupled with interest free vendor financing services to the Company over a span of eighteen (18) months from the date thereof in the FA (“Availability Period”), and Titijaya agrees to accept the dual offers subject to all the salient terms and conditions as stated therein the FA.
2. BACKGROUND INFORMATION ON SMCB
SMCB was incorporated in Malaysia under the Companies Act 1965 on 11 November 1999 as a public limited company under its present name. SMCB is listed on the Main Market of the Bursa Malaysia Securities Berhad. The issued and paid-up share capital of SMCB stands at RM22,476,294.25 divided into 89,905,177 ordinary shares of RM0.25 each. SMCB is principally an investment holding company with its subsidiaries engaging in the importing, manufacturing, trading and undertaking contracts of natural stones, ceramic tiles, sanitary wares and other building finishing materials.
3. RATIONALE FOR THE SIGNING OF THE FA
Titijaya and SMCB shall collaborate with each other for products and services provided by SMCB at competitive prices on Selected Development Projects. As under the FA Agreement, payments will only be made after completion with favourable deferred payment terms of 60 months with no interest charges. This will contribute positively towards the Group operating cash flow.
4. EFFECTS OF THE SIGNING OF THE FA
The FA does not have any effect on the issued and paid-up share capital of Titijaya and is not expected to have any material effect on the earnings, gearings and net assets of Titijaya for the financial year ending 30 June 2016.
5. THE RISKS IN RELATION TO THE SIGNING OF THE FA
The Board of Directors of Titijaya does not foresee any risk factors in respect to the signing of the FA, other than the normal market risk.
6. APPROVALS REQUIRED
The signing of the FA is not subject to the approvals of any authority and/or the shareholders of the Company.
7. DIRECTORS AND SUBSTANTIAL SHAREHOLDERS INTEREST
None of the Directors and/or Substantial Shareholders of Titijaya or persons connected to them has any interest, direct or indirect, in the FA.
8. DIRECTORS' STATEMENT
The Board of Directors of Titijaya, having considered all aspects of the signing of the FA, is of the opinion that the signing of the FA is in the best interest of the Company.
