RELATED PARTY TRANSACTIONS | Description | SMILE-LINK HEALTHCARE GLOBAL BERHAD (SLHGB OR COMPANY)PROPOSED ACQUISITION BY SLHGB OF THE ENTIRE EQUITY INTEREST IN SMILE-LINK SDN BHD FOR A CONSIDERATION OF RM5,500,000 | The Board of Directors of SLHGB (“Board”) wishes to announce that SLHGB (“the Purchaser”), had, on 13 September 2019, entered into a conditional Shares Sale Agreement (“SSA” or “Agreement”) with Dato’ Dr. Wong Ruen Yuan and Datin Wong Chien Yue (f) (“the Vendors”) for acquisition of the entire equity interest in Smile-Link Sdn Bhd (“SLSB”) comprising 1,000,000 ordinary shares (“Proposed Acquisition”) for a consideration of RM5,500,000.00 (Ringgit Malaysia: Five Million And Five Hundred Thousand Only).
In view of the interests of major shareholders of SLHGB as set out in Section 8 of the attachment, the Proposed Acquisition is deemed to be a related party transaction under Rule 7.06 of the LEAP Market Listing Requirements (“Listing Requirements”) of Bursa Malaysia Securities Berhad (“Bursa Securities”).
