Privatisation Proposals

MULTI-PURPOSE HOLDINGS BERHAD (“MPHB” OR THE “COMPANY”) -        Proposed privatisation of Magnum Corporation Berhad (“MCB”) (“Proposed Privatisation”) -        Proposed transfer of MPHB’s entire equity interest in MCB to Magnum Holdings Sdn Berhad (“MH”), a joint venture established by MPHB and Asia 4D Holdings Limited (“Asia 4D” or “Investco”) after the completion of the Proposed Privatisation (“Proposed Transfer”) (Collectively “Privatisation Proposals”) We refer to the announcement dated 14 January 2008 in relation to the Privatisation Proposals. On behalf of the Board of Directors of MPHB, RHB Investment Bank Berhad is pleased to announce that the holders of 5% 5-year exchangeable bonds 2003/2008 of MPHB (“Bondholders”) had, at the Bondholder’s meeting held today, approved the special resolution as set out in the notice of meeting of Bondholders dated 14 January 2008. This announcement is dated 5 February 2008.

KUALA LUMPUR: Multi-Purpose Holdings Bhd (MPHB) is taking the organic route to growing its insurance business in the medium term following the termination of talks on its possible disposal to a local insurance player.

“We’re still growing the insurance business organically, we will explore further if there is a suitor,” MPHB chief operating officer Kheoh And Yeng told The Edge Financial Daily after the company’s AGM here yesterday.

“We did have a suitor. However, the deal had to be called off as shareholders of the prospective buyer had yet to reach a consensus and we couldn’t wait that long,” she added.

Kheoh added that while the company was not actively looking for suitors, it remained open to strategic alliances and merger and acquisition opportunities.

The company had said it was in talks with a local insurance firm with foreign shareholding on the possibility of selling the general insurance business under its subsidiary Multi-Purpose Insurans Bhd.

“We’re looking at about 12% growth in the insurance business this year, higher than the industry average,” she said, adding that MPHB was on track to achieve its target of RM320 million in gross insurance premiums this year. Last year, it earned RM283 million in premiums.

Kheoh said MPHB also had plans to open an office in Kota Kinabalu in the near future. The company already has a licence to operate a branch there, she said. “We’re talking to a team now, if it works out, we plan to open the branch.”

Commenting on the company’s property ventures, MPHB managing director Datuk Surin Upatkoon said the company was considering buying Magnum Corporation Bhd’s land in the Klang Valley.

“We have the first right of refusal on certain assets, we’re still deciding on which of these assets to acquire,” he said, adding that they expected to finalise the acquisitions within the next few months.

Magnum has 2,240ha of land in Malaysia, including plots in Gombak, Rawang and Kuala Lumpur in the Klang Valley.

“We’re assessing the viability and timing of the projects as this is not the best of time to embark on major property development,” said Surin.

Among the projects being planned were a mixed development effort comprising commercial buildings and service apartments on a 2ha plot along Jalan Sultan Ismail, near the Smart Tunnel, Kheoh said, adding the company was currently assessing the ‘best mix’ for the area.

This would be one of the two large mixed-development projects MPHB planned to launch next year, she said, adding that the company would likely kick off with a project worth RM500 million in gross development value.

The company is funding its property ventures from the RM800 million cash raised from the privatisation of its gaming arm Magnum, completed earlier this week. The money will also be utilised for the gaming business.

卖车都有放MPHB保险的logo，还有，Magnum最近私有化后，流动资金好像增强，股息达到8％

打算明年warrant到期，看看有什么作为。

Surin came to Malaysia in 1965
HE first came to Malaysia some 40 years ago in his early teens to attend Form One at Penang's Han Chiang High School.
Surin Upatkoon has come a long way since then. Today, he is a datuk and managing director of Multi-Purpose Holdings Bhd (MPHB).

He was sent from Bangkok to Malaysia by his late father who had, at the time, set up Malayan Weaving, a textile company, in Penang.

Surin, who is in his 50s, joined the company in 1971, which was later listed on Bursa Malaysia and renamed MWE Bhd. He continues to be its major shareholder.

In Bangkok, his family has long been engaged in the textile industry. There, his brothers and sisters manage the family-owned company, PN Textiles Co Ltd.

Surin, known to observers for his entrepreneurial drive in diversifying MWE with acquisitions, had a big break when he participated in the acquisition of a major stake in MPHB, the largest shareholder of numbers forecast operator Magnum Corp Bhd.

In an earlier period, he was also known as Datuk K.K. Lau but, in recent years, he has used only his Thai name in company annual reports.

还有2亿warrant要于明年2月到期。

问题是warrant要到期，而且前30位的大户都收着大部分warrant了，balance应该没有什么改变。
即使价格压，也压不去哪里。

没力是一回事，公司购买自家股票可能是：

1，认为股价被低估，或者现在收住日后释放其价值；
2，要派红股；
3，支撑股价，回复市场对公司信心；

magnum在私有化过后的数据变好是预料中的事
通常私有化前都会收着一些盈利、现金，收购完成以后才释放出来:@ :@ :@

目前释放后好像比较正常了。
每股20sen盈利，比起之前的30sen不合理盈利应该算sustainable。

不过有待研究。
