NEXGRAM HOLDINGS BERHAD ("NEXGRAM" or "THE COMPANY")- INCORPORATION OF A WHOLLY-OWNED SUBSIDIARY COMPANY
1. INTRODUCTION
Pursuant to Rule 9.19(24) of Bursa Malaysia Securities Berhad ACE Market Listing Requirements, the Board of Directors of NEXGRAM wishes to announce that NEXGRAM is one (1) of the first subscribers for one hundred (100) ordinary shares of RM0.01 each, representing 50% equity interest in Nexgram Plantation Sdn. Bhd. (“NPSB”) for a cash consideration of RM1.00. Upon the successful incorporation of NPSB on 20 May 2015, NEXGRAM acquired the remaining one hundred (100) subscriber's shares, representing the other 50% equity interest in NPSB for a cash consideration of RM1.00. Consequent thereto, NPSB became a wholly-owned subsidiary of NEXGRAM.

2. INFORMATION OF NPSB
NPSB was incorporated in Malaysia under the Companies Act, 1965 on 20 May 2015. The present authorised share capital of NPSB is RM1,000,000.00 divided into 100,000,000 ordinary shares of RM0.01 each and the paid-up share capital is RM2.00 divided into 200 ordinary shares of RM0.01 each.
The intended principal activities of NPSB is agriculture venture business.

3. FINANCIAL EFFECTS
The incorporation of NPSB is not expected to have any material effects on the earnings or net assets of the Company for the financial year ending 30 April 2016.

4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHARHOLDER’S INTERESTS
Other than their respective interests through NEXGRAM, none of the Directors and/or major shareholders or persons connected to them has any interests, direct or indirect, in the aforesaid acquisition.

5. STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors is of the opinion that the incorporation is in the best interest of the Company.

与中冶合作发展產业 亿丰欲参与TRX

(吉隆坡26日讯)亿丰网通(NEXGRAM,0096,创业板)旗下亿丰置地有限公司与中国中冶马来西亚公司,签署谅解备忘录,以发展位於赛城和布城的综合產业项目。

由亿丰置地负责所有相关批文,中冶则作为建筑承包商。

亿丰行政总监侯纶在签署仪式后的记者会上表示,两项项目以合共15亿令吉的价格,出售予My Angkasa Bina私人有限公司,並將以低於市价25%至40%的价钱,出售予后者的会员。

他说,两项目预计最早会在本財年第3季获准动工,计划5年內竣工,惟以中国中冶在建筑业的丰富经验,他相信可提早在3至4年內完工。

此外,该公司主席威拉阿育耶谷在开幕致辞也对在场的外交部长阿尼法喊话,表示亿丰网通有意参与一马公司的敦拉萨国际贸易中心(TRX)。【东方网财经】

The Board of Directors of Nexgram (“Board”) is pleased to announce that Nexgram Land, a wholly-owned subsidiary of the Company, had on 26 May 2015, entered into two (2) Memorandums of Understanding (“MOUs”) with MCC Overseas in relation to the construction and development of the following projects to be undertaken by Nexgram Land:-
(i)      A mixed development which comprise Phase 1 – high rise office block and shop/retail outlets, Phase 2 - shop office/virtual office and Phase 3 – service suites to be used as hotel and/or such other commercial development commercial shops on a 5.906 acres of commercial land situated at P58 HS(D) 28897 PT No 42830 Mukim of Dengkil Daerah Sepang Negeri Selangor Darul Ehsan (“Cyberjaya Project”); and

(ii)     Three (3) blocks of towers comprising a total of 669 units, out of which 659 units are designated to be SOHO apartments and 10 units of commercial/retail shops in a 2.154 hectares of commercial land at PM 8688, Lot 104160 (formerly known as H.S (M) 15921 PT 32378), Mukim Dengkil, Kg Limau Manis, Daerah Sepang, Negeri Selangor (“Selangor Project”).

For consistency purposes, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the Company’s announcement made on 26 May 2015 in relation to the MOUs.

Reference is made to the Company’s announcement on 26 May 2015 and Bursa Malaysia Securities Berhad’s letter dated 27 May 2015 pertaining to the above matter.

The Board of Directors of Nexgram wishes to furnish the following additional information of the abovementioned matter.

Nexgram Land is a developer whilst MCC Overseas shall be appointed as a work contractor for the Projects, of which the details of the contract will only be finalised upon signing the definite contract agreement between the Parties.

(吉隆坡29日讯)NEXGRAM(NEXGRAM,0096,创业板)表示,正与一个马来西亚发展有限公司(1MDB)初步洽谈,可能会收购敦拉萨国际贸易中心(TRX)的土地。

NEXGRAM昨天在大马交易所发表文告,指该公司目前还没有确定,将会自行发展抑或是与其他单位联营发展。

该公司的文告,主要是为了澄清日前媒体的报道,指该公司“觊觎敦拉萨国际贸易中心的最后一块土地”和“有兴趣参与该发展项目”。

该公司表示,一旦敲定了有关的收购条件,董事部将会跟进上市条例公布详情。【南洋网财经】

Reference is made to the article entitled “Nexgram in talks with 1MDB” which appeared on page 5 of StarBiz on Wednesday, 27 May 2015, in particular, the sentences reproduced below:-
(i)         “…is eyeing the last available acres of land at 1MDB’s Tun Razak Exchange”; and
(ii)        “…our interest to participate in the development of the project…”.

The Board of Directors of Nexgram (“Board”) wishes to clarify the above statements.

The Company is currently in preliminary discussion with 1MDB to potentially acquire a piece of land in 1MDB’sTun Razak Exchange. To-date, the type of development to be carried out, and whether it is to be carried out by the Company on its own or in a joint venture with another party, has not been determined.

The Company will make the relevant announcements in accordance with the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad once the terms of the acquisition have been determined, and an agreement is formalised and approved by the Board.

純屬巧合?

上週,報道稱億豐(NEXGRAM,0096,創業板科技組)正與飽受流言蜚語困擾的一個大馬發展有限公司(1MDB)旗下的敦拉薩國際貿易中心(TRX)展開購地洽商。

億豐執行董事侯崡綸在出席簽約儀式後向記者透露:“我們的經理和代理與1MDB進行洽商,並傳達參與相關計劃發展的興趣。”

雖然侯崡綸言明,但當問及相關交易何時成行時,他戛然而止。他僅說:“我們將在不遠的將來知道結果。同時,我們也在進行內部份析。”

在回應大馬股票交易所質詢時,億豐表示,該公司只是初步和1MDB討論潛在收購其在TRX的一塊土地,但發展計劃類型,以及整個發展計劃是否由公司自行去完成還是跟另一方合資,尚未確定。

該公司補充,一旦收購條款確定,以及董事部批准了合約後,自然會作出宣佈。

雖然億豐與1MDB正如火如荼展開磋商,該公司前首席執行員鄭博毅卻異常忙碌,忙著累積公司持股。他在上個月已累積收購億豐19億股總股本中的3.2%股權。

賠錢生意無人做

殺頭的生意有人做,賠錢的生意無人做。

敦拉薩國際貿易中心(TRX)和依斯干達特區房產,都是近期的最佳例子。

當初,朝聖基金局(Tabung Haji)只不過向一馬發展公司(1MDB)買下一塊小小的土地,就鬧得滿城風雨,管理層幾乎地震,害得這家清真至上的投資機構趕緊“賤價”摔開這塊詛咒之地。

可是,所謂的賤價賣地,也讓朝聖基金局在短期內賺走500萬令吉,可見1MDB的資產不是不值錢,只是不適合朝聖基金局而已。

相對的,在商言商的億豐(NEXGRAM,0096,創業板科技組)就毫無朝聖基金局的顧忌。

上週,億豐表示,正與1MDB洽購敦拉薩國際貿易中心待售的最後一塊土地,表達他們參與這項大型發展項目的意願。

敦拉薩國際貿易中心位處吉隆坡市中心黃金地段,相信是首都碩果僅存的大型綜合房產項目,有能力沒能力、有資源沒資源、有關係沒關係的大大小小公司都對這個項目虎視眈眈,因為在政策護航下,這個顯然是點石成金的項目。

吉隆坡房市相對穩定,發展商湧進是理所當然的事情,反而南端的依斯干達特區房市在供過於求後,仍有發展商繼續勇敢前進,就不得不注意了。

上週,高峰控股(BPURI,5932,主板建筑組)偕同地主馬帕斯(MPCORP,6548,主板產業組)公佈,計劃在柔佛新山的24.41英畝土地建造412間雙層排屋,發展總值達2億零400萬令吉。

這是依斯干達特區房市一再流露供應過多跡象以來,發展商罕見地高調宣佈進軍這片地區,也是高峰控股第一次涉足主要面向新加坡投資者的新興產業市場。

值得注意的是,億豐和馬帕斯擁有令人玩味的共同大股東,即曾遭富達(PRTASCO,5070,主板建筑組)罷免董事職的話題人物鄭博毅。

交易所資料顯示,他分別掌握億豐和馬帕斯的12.95%和5.21%股權。

鄭博毅2012年底參股富達時,其股價才不到1令吉,雖然爆發董事糾紛期間一度跌至1令吉40仙以下,近期卻穩步回到1令吉80仙水平,目前仍握有富達超過10%股權的鄭博毅的錢包未曾消瘦,反而愈見膨脹。

赛城计划获发展准证 Nexgram控股挺10%

(吉隆坡21日讯)随着Nexgram控股有限公司(NEXGRAM,0096,创业板)宣布“Angkasa Icon City”计划获颁发展准证后,该股股价今日受消息激励上涨10%至11仙。

Nexgram控股是大马交易所的热门股之一,截至闭市时,该股平盘挂收,报10仙,成交量2848万2800股。

根据Nexgram控股昨日透过大马交易所发布的文告,其独资子公司Nexgram置地私人有限公司获雪邦市议会颁发发展准证。

Nexgram控股去年12月与MyAngkasa Bina私人有限公司就占地2.36公顷的综合商业发展计划,签署一项包销买卖协议。

该公司为上述地段的地主和此发展计划的发展商,完工后将出售予MyAngkasa。

它在文告中披露,该公司业绩表现疲弱,此时获批发展准证可谓来得及时。

根据文告,Nexgram控股截至2015年4月杪的财年净利减少至698万令吉,上财年净赚1428万令吉。

营业额则走高至1亿3534万令吉,上财年营业额报1亿207万令吉。

(吉隆坡5日讯)针对收购敦拉萨国际贸易中心(TRX)土地的计划,NEXGRAM(NEXGRAM,0096,创业板)表示,目前还在与一个马来西亚发展有限公司(1MDB)洽谈。

NEXGRAM总执行长兼董事经理拿督郑博毅,今日出席股东特别大会后向媒体表示,公司必须谨慎考虑土地成本和回酬,因此,尚未决定是否购买该地。

“若价格太高,考虑到公司赚幅,我们不会购买该片土地。”

他指出,公司对此事并不着急,但不可否认,该地处于黄金地段,且相较于全球产业市场,土地价格较低。

“我们希望,以心目中的价格购买该地。”

该公司于三年前进军产业领域,郑博毅表示,进行中的布城和赛城发展项目,预期在年杪推出市场。

“我们希望,该项目能为公司本财年营业额,捎来双位数贡献。”

计划进军工业领域

他指出,该项目可让公司持续忙碌好几年,同时,正洽谈几项巴生谷的发展项目。

“我们还是会采取相同的策略,以联营的方式,发展产业项目。”

NEXGRAM原本是手机应用程序和平台供应商,核心业务仍是电讯、传媒和科技业务(简称TMT),不过,该公司也计划进军工业领域。

“我们已进行内部讨论,目前还不是告诉大家的时候。”

郑博毅说,必须等产业业务稳定后,才考虑进军工业领域。

目前,美元走强,令吉贬值,但他指出,短期内对公司影响不大。

“虽然材料如钢铁、石油等成本下跌,但令吉也贬值,我们因此并没有受惠。”

他表示,公司设下6个月的观察期,若令吉贬势恶化,将对材料成本造成压力。【南洋网财经】

Pursuant to Rule 9.19(24) of Bursa Malaysia Securities Berhad ACE Market Listing Requirements, the Board of Directors of NEXGRAM wishes to announce that Nexgram Land Sdn. Bhd. ("NLSB"), a wholly-owned subsidiary company of NEXGRAM, had on 19 August 2015, acquired two (2) ordinary shares of RM1.00 each, representing 100% equity interest in Vertical Paradise Sdn. Bhd. ("VPSB") for a total cash consideration of RM2.00 (Ringgit Malaysia: Two) only ("Acquisition"). Consequent thereto, VPSB became a wholly-owned subsidiary company of NLSB, which in turn became a subsidiary company of NEXGRAM.

2. INFORMATION OF VPSB
VPSB was incorporated in Malaysia under the Companies Act, 1965 on 10 July 2015. The present authorised share capital of VPSB is RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each and the paid-up share capital is RM2.00 divided into 2 ordinary shares of RM1.00 each.
The intended principal activities of VPSB are gerenal trading, investment holding and property.

3. FINANCIAL EFFECTS
The Acquisition is not expected to have any material effects on the earnings or net assets of the Company for the financial year ending 30 April 2016.

4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHARHOLDER’S INTERESTS
Other than their respective interests through NEXGRAM, none of the Directors and/or major shareholders of NEXGRAM or persons connected to them has any interests, direct or indirect, in the Acquisition.

5. STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors of NEXGRAM, having taken into consideration all aspects of the Acquisition, is of the opinion that the Acquisition is in the best interest of NEXGRAM.

(吉隆坡14日讯)随着Nexgram Holdings Bhd ( Valuation: 2.00, Fundamental: 0.80)在截至4月杪的2015财年承担高达4690万令吉的咨询费用(consultant fee),因而引起市场哗然。

郑博毅表示,若与Nexgram的两项产业发展计划的发展总值(GDV)相比,这笔咨询费用显得微不足道。摄影:Sam Fong
此咨询费用不仅是一次过付清的数额,此数额也相等于Nexgram三分之一的市值,在处理账目方面料将引发多方面的质疑。

然而,Nexgram总执行长拿督郑博毅在受访时指出,这笔咨询费用不算大,Nexgram两项位于雪兰莪州赛城和龙溪(Dengkil)的咨询费用更为高昂。

根据Nexgram 2015财年的已审核财报,该公司的库存(inventories)共计8984万令吉,其中4690万令吉被列为咨询性质费用。

不过,按照账目审计角度,将咨询费用纳入库存一栏在产业发展领域并不常见。

一名不具名的业内人士指出,Nexgram将发展开支归类在库存一栏,这样的会计算法“不太寻常”。

他透露,咨询性质的费用似乎高于一般费用。

询及一些上市产业发展公司,他们也表示,在发展项目完成之前才会产生咨询费用,这笔费用被归类为“发展开支”,并列入“正进行中”(work in progress)的账目。

家盟吉(Gabungan AQRS Bhd ( Valuation: 1.50, Fundamental: 0.90))产业发展部前任高级总经理Jerry Lau Hing Kiet指出:“一旦工程项目完工,公司才会将发展成本转移至库存,这是可以肯定的。”

询及有关Nexgram的作法时,一位来自马来西亚会计师协会(MIA)不愿具名的会员指出,按照大马财务报告准则(FRS),咨询费用不应该被归类在库存这一栏。

“除非该公司能够证明此发展活动已动工,可以在正常的营运周期(通常是一个财年)内完成。否则,这些成本仍旧属于非现有资产。”

然而,digitaledge Daily就此事联络上Nexgram的审计公司CHI-LLTC合伙人、负责审计Nexgram 2015财年的账目的Tang Boon Hiap,惟他却拒绝针对此费用的交易性质多作解释,并坚持不会对可疑的账目记录发表言论。

在CHI-LLTC接手成为Nexgram的审计公司前,SJ Grant Thornton曾是该公司的外部审计公司。

由于SJ Grant Thornton将审核费用从20万令吉调高至50万令吉后,不获Nexgram董事部的批准,SJ Grant Thornton因而辞去其审计公司一职。

Nexgram所支付的咨询性质成本,占两项产业发展计划估计建筑成本9亿600万令吉的5.18%。

郑博毅向digitaledge DAILY透露,这笔费用是配合Nexgram在赛城和龙溪的产业发展计划。

他指出,若与这两项产业发展计划的发展总值(GDV)相比,这笔咨询费用显得微不足道。

“这两项产业发展计划的发展总值为14亿4000万令吉,因此,相较之下,4697万令吉的咨询费用是在不算多。其实,我认为,这笔咨询性质费用不足以应付全部的工程项目。”

他披露,这两项产业发展计划的土方工程已开始动工。

询及Nexgram采取的会计处理方法与业界不太相同时,郑博毅重申,Nexgram所支出的每一笔款项都取得产业计划的承购商-- MyAngkasa Bina私人有限公司,以及涉及产业计划融资部分的相关银行所同意。

去年12月,Nexgram子公司与MyAngkasa达成一项承购和买卖协议,后者将承购Nexgram两项在赛城的发展计划。

(吉隆坡23日讯)NEXGRAM(NEXGRAM,0096,创业板)建议把股票面值削减至每股5仙,来解决难以进行筹资活动的问题。

昨天的文告指出,公司把股票面值削减至每股5仙后,预期至少可获9415万6724令吉。

这笔资金将拨入资本储备户头,未来用作相关企业活动。

届时,法定股本将会扩大至100亿股,每股面值5仙;缴足资本也会从1亿8831万3448令吉,减少至9415万6724令吉。

NEXGRAM表示,目前的股价不利于进行筹资和企业活动,因为公司不能发出价值低于每股面值的新股。

所以,公司建议削减股票面值,来解决这个问题。

这项企业活动必须得到高等法庭、公司股东和其他相关单位的批准,预期可在今年第4季完成。【南洋网财经】
