Sunway Land has appointed Mr Ong Lai @ Ong Kong Lai and Mr Wong Cham Mew of Unit C-20-5, Block C, 20th Floor, Megan Avenue II, No. 12, Jalan Yap Kwan Seng, 50450 Kuala Lumpur as the liquidators for purpose of the members' voluntary winding-up.
Other than the liquidation expenses, there are no material losses or effects on the net assets per share and earnings per share of Sunway Group arising from the liquidation.

(吉隆坡5日讯)双威(Sunway,5211,主板产业股)建议以3股普通股配1股附加股方式、发售最高5亿9455万2301股的附加股,发售价为1.70令吉。
文告上指出,集团预计可从附加股发售计划中筹集最低3亿6260万令吉至最高10亿1070万令吉。
所筹集的资金将用于资本开销(2.1亿令吉至6.7亿令吉间)、支付现有贷款(1.2亿令吉至3亿令吉间)、营运资本(3200万令吉至4010万令吉间),以及发售附加股计划开销(60万令吉)。
另一方面,双威建议为集团和旗下子公司的合格执行董事和雇员设立雇员认股计划(ESOS)。
根据雇员认股计划,集团将发行占缴足资本不超过15%的新股予合格雇员。

发售价诱人 大股东保证 双威附加股全面认购不难

(吉隆坡8日讯)尽管双威(Sunway,5211,主板产业股)发附加股将稀释每股盈利,但分析员认为发售价有吸引力,加上大股东认购信心保证,要达到全面认购不难。
双威上周建议以3股普通股配1股附加股方式、发售最高5亿9455万2301股附加股,发售价为1.70令吉,预计可筹最低3亿6260万令吉至最高10亿1070万令吉。
所筹资金将用于资本开销(2.1亿令吉至6.7亿令吉间)、支付现有贷款(1.2亿令吉至3亿令吉间)、营运资本(3200万令吉至4010万令吉间)以及发售附加股计划开销(60万令吉)。
MIDF研究分析员表示,双威发附加股可能在2013财年末季完成,所以对每股盈利稀释的冲击预期对2013财年影响不大。
每股盈利稀释24%
“附加股全面认购和凭单全面转换、将造成总股数扩大至20亿6800万股的假设情况下,2014财年每股盈利将稀释约24%。”
提及附加股发售价,拉昔胡申研究分析员和丰隆投银分析员皆认为有吸引力,后者由此相信附加股可被全面认购。
拉昔胡申研究分析员表示,每股1.70令吉的发售价、较5天交易量加权平均价格(VWAP)2.99令吉和理论除权价2.67令吉、分别折价43.1%与36.3%。
“这比上月完成、并超额认购的马星集团(MahSing,8583,主板产业股)附加股更有吸引力,因后者两项的比较折价为37.2%与30.7%。”
筹资发展依区合时
拉昔胡申研究分析员指出,持股约49%的大股东兼集团主席丹斯里谢富年及相关利益者已承诺认购部分附加股,是展示信心的举动。
“我们认为,筹资活动来得合时,因市场正对依斯干达地区增长前景相当受落。双威在该区投资,就是看好柔佛州的长期增长以及来自新加坡的外溢效应。”
至于部分资金将用于支付现有贷款,马银行投行分析员表示,附加股活动后,双威净负债率预期将从截至2012年12月的0.45倍减低至0.20倍。
加上约57%至66%资金将拨为发展投资房地产和未来购地,都是为了增长而作的准备。[南洋网财经]

双威印尼成立子公司

(吉隆坡19日讯)双威(Sunway,5211,主板产业股)宣布,在印尼成立子公司———PT双威Pacific Flow。
根据文告,双威透过两家子公司双威行销(新加坡)私人有限公司以及印尼双威Flowtech在1月31日成立上述子公司,持股权分别为95%及5%。
双威Pacific Flow的注册与缴足资本分别为194亿7600万印尼盾,或相等于200万美元(约600万令吉),以及48亿6900万印尼盾或相等于50万美元(约150万令吉)。

双威集团获颁2.22亿计划
二零一三年四月三十日 晚上七时四十六分
(吉隆坡30日讯)双威集团有限公司(SUNWAY,5211,产业组)透过双威建筑私人有限公司,已获Cititower私人有限公司颁发一份价值2亿2200万令吉合约,着手吉隆坡城中城步道(Persiaran KLCC)的综合发展计划。
Cititower是KLCC(控股)私人有限公司和QD亚太有限公司之间的联营。QD亚太是卡塔尔投资局旗下投资支臂Qatari Diar实业投资公司的全资子公司。
在致给大马交易所的文件中,双威集团透露,上述合约包括兴建和完成吉隆坡城中城步道2幅土地综合商业发展计划的打桩与附属架构工程,以及相关工作。
上述计划预定在82周内完成。双威集团将在土地移交后展开工作。移交日期尚未确定。
双威集团在文件中称:“这项计划预料将从截至2013年12月31日止财政年起,对双威集团的收益带来正面贡献。”
它说,建议中计划仍面对建筑材料价格波动的正常建筑风险。

Cititower 配套2 赚幅6% 双威净利看涨1300万

(吉隆坡2日讯)双威(Sunway,5211,主板产业股)二度获得吉隆坡城中城综合商务发展计划配套工程,假设工程净赚幅为6%,预计将在2013至2014财年带来1300万令吉的净利贡献。
双威日前宣布获得Cititower颁发总值2亿2200万令吉的配套2工程,合约期长82周。
这也是双威第二次获得有关综合商务发展计划的配套工程,两个月前,Cititower颁出总值3亿400万令吉的合约,负责停车场建筑工程。
马银行投资研究指出,新工程将双威建筑订单推高至44亿令吉,激励未来2至3年的建筑收益潜能。
“假设工程净赚幅为6%,预计2013至2014财年将带来1300万令吉的净利贡献。鉴于我们之前已预计2013财年将取得18亿令吉工程,因此暂维持收益预估。”
上调财测1-2.4%
根据达证券的计算,上述新合约将分别在2013和2014财年,贡献430万令吉和570万令吉。
“我们将双威2013年新工程预估,从11亿令吉调高至15亿令吉,连带将2013至2015财年净利预估上修1至2.4%。”
据了解,这项综合商务计划发展总值达50亿令吉,包含一座豪华酒店、64层A级办公楼、6层零售店和底层停车场,已分成5项配套供招标。
今年至今获10亿合约
鉴于双威已二度取得配套合约,不少券商看好该公司再下一城,赢得更多的建筑合约。
值得注意的是,今年至今,双威在短短4个月内,已成功取得总值10亿令吉的配套合约。
除了上述两项由Cititower颁出的合约,双威也取得总值4亿5300万令吉的双威线巴士捷运系统(BRT-Sunway Line)计划,以及2亿5800万令吉的Sunway PutraMall购物中心扩建与翻新工程。
MIDF投资研究表示,接连不断的合约颁发利好消息,将有助于维持投资者对双威的正面情绪。
“再者,产业市场好消息不断,受惠于各项基建工程和依斯干达特区的蓬勃发展,双威可从中得利。”[南洋网财经]

(吉隆坡8日訊)雙威集團(SUNWAY,5211,主要板房產)宣佈,謝燕蒂及王彭元(譯音),將成為房產發展董事經理何漢生5月底離職后的接班人。
謝燕蒂是該公司主席丹斯里謝富年的千金,自2010年起已加入雙威集團董事局,並在多個部門如企業融資、審計、教育、醫療及房產等,擔任企業策劃及發展的職位,前后共有15年經驗。
文告指出,謝燕蒂及王彭元將從5月起,成為雙威集團大馬及新加坡房產發展部的聯合董事經理。
謝燕蒂及王彭元在房產部及其他部門共有35年的經驗,在策略方面,足以帶領雙威房產部再上一層樓。
尤其是雙威位于大馬伊斯干達特區,面積達1800英畝的土地,將可為雙威集團未來15至20年帶來潛在成長;這也是該區第2片大的土地。
謝燕蒂也是雙威集團的策略發展執行總監。
王彭元也在雙威集團擔任過不同部門的多項職位,甚至在公司海外投資如柬埔寨、南非、辛巴威、澳洲、中國及印度等有積極貢獻。

(吉隆坡10日讯)双威(Sunway,5211,主板产业股)宣布,委任谢燕蒂和黄鹏言(译音)为马新区域产业发展部的联合董事经理,5月1日起生效。
双威在文告中指出,他们会取代即将离任的产业发展部董事经理何汉生。
谢燕蒂和黄鹏言在公司的产业和其他部门,均有丰富工作经验。
谢燕蒂是双威创办人丹斯里谢富年的女儿,或自2010年成为双威董事局一员,在公司多个部门有15年的经验。
在2006至2009年期间,她担任产业部的主管,也是销售与行销高级总经理。
她也是双威策略与企业发展的执行董事。
另一方面,黄鹏言在双威的各个部门有20年的工作经验,曾参与集团在柬埔寨、津巴布韦、南非、澳洲、印度和中国的投资计划。

(吉隆坡16日訊)雙威(SUNWAY,5211,主板產業組)為估值被低估的依斯干達發展計劃相關產業股項,加上旗下建築及產業投資信托業務前景看俏,興業研究調高其合理價,並列為首選產業股。

興業指出,隨著參與依斯干達發展計劃的多家產業公司估值被調升,雙威估值偏低,股價尚有進一步揚升潛能,以拉近與其他同儕估值的差距。
“其他依斯干達產業股,如UEM置地(UEMLAND,5148,主板產業組),吉星機構(CRESNDO,6718,主板產業組),以及大馬發展(DAIMAN,5355,主板產業組)等,它們的2013年財政年預測本益比,分別為25.1倍,10.1倍及12.8倍,比較雙威僅為11.5倍。"
該行認為,雙威不僅估值偏低,它比其他依斯干達計劃股項素質更佳,特別是它過去記錄,管理層能力,以及未來盈利可見度等,可說是無懈可擊。
該行指出,雙威除了建築及貿易業務外,在依斯干達發展計劃也擁有規模不小的發展計劃,占地逾1千800英畝,占其產業發展業務總發展值的57%。
興業指出,雙威的地皮具策略性,接近通往新加坡的第二通道。該公司在米迪尼的土地成本為每平方尺27.23令吉及其餘每平方尺12.69令吉,若以目前依斯干達地區的地價為准,它們尚屬便宜。
該公司手握建築工程訂單創下44億令吉新高,未入賬銷售額為23億令吉。該公司持有34%股權的雙威產業信托(SUNREIT,5176,主板產業投資信托組),一旦雙威布特拉購物中心轉虧為盈,預料明年尾的盈利貢獻會顯著增加。
