Contents	:	Voluntary take-over offer (“Offer”) by WCTE to acquire the following securities in WCT Land Berhad (“WCTL”):- all the remaining ordinary shares of RM0.50 each in WCTL (“WCTL Shares”) not held by WCTE and any new WCTL Shares which may be issued prior to the close of Offer upon exercise/conversion of the WCTL’s Employee Share Option Scheme (“ESOS”) options, Convertible Redeemable Registered Debt Securities (“CRDS”) A and CRDS B at the offer price of RM2.09 on the basis of approximately 0.524 new ordinary shares of RM0.50 each (“Subdivided WCTE Shares”) at the issue price of RM3.985 per new Subdivided WCTE Share for every one (1) existing WCTL Share; and all the outstanding CRDS A and CRDS B not held by WCTE comprising up to RM60,499,000 nominal value of CRDS A and up to RM758,310 nominal value of CRDS B respectively at the offer price of RM4.18 on the basis of approximately 1.049 new Subdivided WCTE Shares at the issue price of RM3.985 per new Subdivided WCTE Share for every RM1.00 nominal value of the CRDS A and CRDS B Reference is made to the offer document dated 19 December 2007 (“Offer Document”) and the announcements dated 30 November 2007, 14 December 2007, 18 December 2007, 19 December 2007, 31 January 2008 and 5 February 2008 in relation to the Offer. The Board of Directors of WCTE wishes to announce that as at 5.00 p.m. on 13 February 2008, WCTE has received acceptances of the Offer resulting in WCTE now holding a total of 544,810,905 WCTL Shares, representing 92.04% of the total enlarged issued and paid-up capital of WCTL upon full exercise of ESOS options including acceptances which are still subject to further verification, details of which are set out in Table 1. As set out in Section 8.1 of the Offer Document, WCTE does not intend to maintain the listing status of WCTL. The holders of the offer securities who have yet to accept the Offer are advised to refer to the Offer Document for the terms, conditions and procedures for acceptance should they wish to accept the Offer and the independent advice circular dated 28 December 2007 detailing the recommendations of the independent adviser. The Offer shall remain open for acceptances up to 5.00 p.m. on 15 February 2008, being the final closing date. This announcement is dated 13 February 2008.

成功購得92%股權　WCT工程料私有化WCT置地

（吉隆坡14日訊）隨著WCT工程（WCT，9679，主板建築股）宣布，該公司已經擁有WCT置地（WCTLAND，9156，主板產業股）92%的股權后，這為WCT工程成功收購WCT置地，並將后者除牌鋪平了道路。               
在股票交換計劃下，WCT置地的股東能夠成為WCT工程的股東，進而從WCT工程海內外建築事業不斷成長中獲利。
無論如何，肯南嘉投資銀行表示，雖然WCT工程已經取得WCT置地92%的股權，但如果該公司想成功私有化WCT置地，還需要獲得超過90%的小股東同意。
如果WCT工程無法取得90%的WCT置地小股東的同意，肯南嘉投行認為，WCT工程有兩項選擇，首先是減少在WCT置地的持股，以便能夠符合大馬交易所的上市要求。無論如何，這代表WCT置地的小股東需要面對低流通量，以及少交易機會的狀況。第二種方法則是繼續WCT置地的除牌行動，這代表WCT置地的小股東將無法在公開市場上進行買賣。
肯南嘉投行分析員指出，考慮上述兩種結果后，他們建議WCT置地的小股東接受WCT工程的獻議，因為這個獻議是提供他們「進軍」WCT工程的「廉價門票」。
黃氏發展唯高達投行維持對WCT工程「買進」的投資建議，並將目標價格設在5.35令吉。

Conversion of CRDS-B into Ordinary Shares in WCT Land Berhad (“WCTL”) by WCT Engineering Berhad (“WCTE” or “the Company”) Further to the announcements dated 16 January 2008, 21 January 2008, 25 January 2008 and 30 January 2008, WCTE wishes to announce that, it has on 15 February 2008, received an inward transfer of 260,804 WCTL Shares of RM0.50 each due to the non-completion of certain shares swaps with CRDS-B Holders. With the above transfer, WCTE is currently holding  a total of 472,755,204 ordinary shares of RM0.50 each in WCTL representing approximately 79.87% of WCTL's enlarged issued and paid-up ordinary shares upon exercise of ESOS Options.
