OFFER

WCT ENGINEERING BERHAD (“WCTE” OR “COMPANY”) Voluntary take-over offer (“Offer”) by WCTE to acquire the following securities in WCT Land Berhad (“WCTL”):- - all the remaining ordinary shares of RM0.50 each in WCTL (“WCTL Shares”) not held by WCTE and any new WCTL Shares which may be issued prior to the close of Offer upon exercise/conversion of the WCTL’s Employee Share Option Scheme (“ESOS”) options, Convertible Redeemable Registered Debt Securities (“CRDS”) A and CRDS B at the offer price of RM2.09 on the basis of approximately 0.524 new ordinary shares of RM0.50 each (“Subdivided WCTE Shares”) at the issue price of RM3.985 per new Subdivided WCTE Share for every one (1) existing WCTL Share; and - all the outstanding CRDS A and CRDS B not held by WCTE comprising up to RM60,499,000 nominal value of CRDS A and up to RM758,310 nominal value of CRDS B respectively at the offer price of RM4.18 on the basis of approximately 1.049 new Subdivided WCTE Shares at the issue price of RM3.985 per new Subdivided WCTE Share for every RM1.00 nominal value of the CRDS A and CRDS B. Reference is made to the offer document dated 19 December 2007 (“Offer Document”) and the announcements dated 30 November 2007, 14 December 2007, 18 December 2007, 19 December 2007, 31 January 2008, 5 February 2008 and 13 February 2008 in relation to the Offer. On behalf of the Board of Directors of WCTE, Aseambankers Malaysia Berhad wishes to announce that the Offer has closed at 5.00 p.m. on 15 February 2008 (“Final Closing Date”). Pursuant to Section 25(1) of the Malaysian Code on Take-Overs and Mergers, 1998, as at the Final Closing Date, WCTE has received acceptances of the Offer resulting in WCTE holding a total of  585,190,331 WCTL Shares, representing 98.87% of the total enlarged issued and paid-up capital of WCTL upon full exercise of ESOS options including acceptances which are still subject to further verification (i.e. more than 90% of the offer shares), details of which are set out in Table 1. As the level of acceptances received by WCTE has exceeded nine-tenths (9/10) in the nominal value of the offer shares and as stated in Section 8.2 of the Offer Document, WCTE intends to invoke Section 34 of the Securities Commission Act, 1993 (“SCA”) to compulsorily acquire the remaining offer shares for which acceptances were not received (“Remaining Offer Shares”). In this regard, WCTE should be extending a notice to all dissenting shareholders of the Remaining Offer Shares to compulsorily acquire their shares in accordance with Section 34 of the SCA in due course.
