周仰杰操刀“Infinence”
海鸥推出自家鞋子

（吉隆坡10日讯）经过一年多精心筹备，主打保健产品的海鸥（HAIO，7668，主板贸服股）集团在“大马鞋王”拿督周仰杰协助下，将于本月杪推出自家品牌“Infinence”，进军时尚界。

据了解，海鸥集团前年邀得扬名国际的周仰杰亲自“操刀”，担任“Infinence”时尚品牌直销董事兼顾问，意味着该集团两年前已着手准备；除了鞋子，海鸥也打算推出时尚服装、手提袋、化妆品等。

海鸥集团董事经理陈景岗今日在该推介礼后向媒体透露，将于本月杪推出首款“Infinence”女装鞋子，并以网上直销方式经营，民众可在网上购买各种鞋款，至于手提袋则在下个月才推出。

“不单是我国市场，海鸥集团计划将业务版图扩展至国际，包括印尼、东南亚或西亚国家；相比保健产品销售的繁琐，比如需申请卫生部执照及美国食物及药物管理局（FDA）批准，卖时尚产品有许多好处，如时尚产品容易被接受及建立市场相对迅速等。”

陈景岗说，女性除了内在健康，也需要外在的美丽，才能促进家庭和谐及身体健康。海鸥集团过去是以保健产品直销方式，为大马女性健康而努力，如今则必须让女性由内至外地散发美丽。

他认为，相比保健产品，时尚潮流市场更容易跨越族群，同时也能面向国际，只要产品有足够的美感，就能吸引消费者购买。

顶级手套13.7亿购Aspion．股东放行

（吉隆坡8日讯）顶级手套（TOPGLOV,7113,主板工业产品组）股东今日通过该公司以13亿7000万令吉收购手术手套公司Aspion有限公司，让顶级手套蓄势崛起为全球最大的手术手套制造商。

该公司股东在今日召开的特大上批准上述收购。

顶级手套主席丹斯里林伟才感激股东通过上述收购计划，使收购案晋入最后阶段，让公司能够提供创意手套产品予全球客户，并为股东创造显著价值。

顶级手套今年1月间与稳大资本公司签署购股协议，以上述价格进行上述收购。这项收购案符合顶级手套透过并购有效扩展业务，同时也透过内部增长。

完成上述收购后，顶级手套将服务扩大的客户群，使医疗手套用途更多元，素质更高和具成本效益；这些手套包括手术手套、检测手套，或其他市场导向的创意手套产品。

顶级手套收购Aspion，其中12亿3300万令吉以现款支付，其余是透过发2051万新股支付。

林伟才表示：“收购Aspion公司是近期最大的收购案，这还只是开始。”

他说，公司创办27年，仍属年轻公司，因而仍在扩张势头，期许未来有更多收购，以在手套与保健业强化领导导地位。

（吉隆坡4日讯）顶级手套（Top Glove Corp Bhd）委任稳大（Adventa Bhd）董事经理刘振源为执行董事，即日起生效。

这是顶级手套以13.7亿令吉收购Aspion私人有限公司后的最新发展。收购Aspion后，顶级手套成为最大的外科手套制造商，并进一步巩固了其作为全球最大手套制造商的领先地位。

根据文告，年届58的刘振源是在世界银行资助的排水和灌溉部门项目展开职业生涯，当时他是一名土木工程师，参与了许多灌溉、道路施工和小坝项目。此外，他还曾在私人界土木建筑公司担任项目经理长达4年，监督防洪基础设施发展的若干合同。

刘振源在1988年创办了手套制造公司Terang Nusa私人有限公司。他在项目管理、制造和组装工厂营运、财务控制、策略规划和市场营销方面拥有多年的经验。

他于2004年成立稳大，通过单一集团管理多家公司及制造厂房。目前，他掌管稳大的策略规划、业务发展、投资、收购和人才招聘。

顶级手套在另一份文告中表示，收购Aspion后，增加了3间制造厂、75条生产线及年产47.7亿只手套，把集团的厂房总数增至37间、生产线扩大至618条，年产量提高至572.4亿只手套。

顶级手套指出，合并后的企业将能更好地为全球客户提供更有效的服务，并提供范围更广的高质量和高性价比手套，包括医用手套、检查手套和专用手术手套。

企业活动降利息成本　顶级手套盈利將稀释

（吉隆坡23日讯）针对顶级手套（TOPGLOV，7113，主板工业股）上週五（20日）分送红股与发债集资，眾多投行认为影响不大，因发债虽可降低其银行贷款，减轻还贷压力和利息成本，但或將进一步扩大其股本，进而稀释每股盈利表现。

上週五下挫2 0仙的顶级手套今日迎来反弹，槃中一度涨36仙或3.6%，但隨后回吐涨幅，最终以10令吉平槃掛收，全天成交量为517万8200股。

大眾投行分析员指出，假设令吉匯率为3.8643令吉兑1美元，顶级手套发售最多3亿美元的5年期有担保可转换债券可集资11亿5930万令吉，主要用以偿还收购Aspion公司的贷款和部份业务运作贷款。虽说利息未定，但假设以1 %计算，將低过现有银行贷款利息，每年可节省2260万令吉利息。

「目前， 顶级手套的银行贷款总额20亿8740万令吉左右。」

M I D F研究分析员则称，顶级手套的银行贷款利息介於2.5%到3.2%之间，而发债利息虽低，但却会稀释其每股净利。

「当顶级手套的1送1红股预计在今年下半年完成后，其股票数额將会扩大至2 5亿6060万股，每股盈利届时將削减一半，更何况，若所发可转换债券全部被转换为母股，公司股票数额还会增加额外1亿8760万股，我们估计，其每股盈利会进一步下降7%左右。」

对此，安联星展分析员表示，顶级手套每股盈利將被稀释7.4%，他也同时补充道，假设以6.18令吉转换价为准，比红股除权后的价格4.75令吉还要高出30%。

对於红股，MIDF研究分析员表示，其实类似股票拆细。而大眾投行分析员认为， 虽然派发红股不会直接改变顶级手套的基本面，但藉著较低股价，可吸引更多投资者和改善流通量，带来正面效应。

利好已反映

另一方面，大眾投行分析员指出，4月初完成的Aspion公司收购案把顶级手套年產量推高至562亿只手套，其2018至2020財政年（8月31日结账）盈利表现將涨7.6%到10.5%。

无论如何，MIDF研究分析员认为，所有利好均已反映在顶级手套当前股价，同时，发债带来的成本节省可能会被2项不利因素抵消。

「首先，原料价格处於跌势，造成手套平均售价下滑，其次，令吉走强，限制公司的盈利增长。」

业绩大好 財测上修　顶级估值高缺吸引力

（吉隆坡20日讯）儘管顶级手套（TOPGLOV，7113，主板工业股）业绩大好，大致符合分析员预期，而纷纷上修其盈利预测；但部份分析员认为其估值过高，而给予该股中和至负面评级。

亮眼业绩激励该股在早盘攀升，一度触及全天最高的11.76令吉，扬升44仙或3.89%；不过，该股隨后回吐部份涨幅， 並以11.36令吉闭市，全天上涨4仙或0.35%，共有404万8600股易手。

手套需求走高，尤其是来自亚洲市场的需求，带动顶级手套2018財政年第3季（截至5月31日止）净利按年激增51.29%，至1亿1757万令吉。

营业额也按年成长26.55%，至11亿零57万令吉。

达证券分析员表示，顶级手套2018財政年末季业绩將受惠于新兴市场对手套的高需求。

该公司管理层称，手套市场良好，市场规模將会继续扩大。顶级手套放眼在2020年成为大马交易所市值前20大公司。

兴业投行分析员也表示，顶级手套是他的首选股之一，因为看好该股的抗跌能力和盈利增长潜能，以及优异的管理记录。

他称，「整体而言，该公司45天的现金周转，维持在健康水平。」

顶级手套目前正兴建2座新厂，即预计于2018年7月投產的第31工厂和2019年初投產的第32號工厂，一旦完成后將额外增加74条生產线，以及年產量將增加74亿只手套，至649亿只。

强势美元提振股价同时， 该公司的安全套生產设备预计可在2018年6月底投產。

考虑到上述工厂投產， 丰隆投行分析员將顶级手套2019和2020財政年的盈利预测，分別调高7.5%及5%，並认为令吉疲弱將继续刺激投资者对出口股的购兴，可支撑顶级手套的股价走势。

马银行投行分析员也赞同地说，美元兑令吉匯率走强，有助提振该股走势。

惟， 肯纳格研究分析员则认为，该利好因素已反映在股价上。

大华继显分析员补充说，虽然原材料成本低于预期及收购Aspion比预期提前一个月完成，使该公司第3季核心净利按季上涨21%。

但，该分析员仍看跌该股，因为其估值偏高，而且风险回酬已缺乏吸引力。

不过，由于超出预期的业绩表现，该分析员將2018至2020財政年的净利预测，分別调高3%到13%。
