Type | Announcement | Subject | OTHERS | Description | MATRIX CONCEPTS HOLDINGS BERHAD ("MCHB" OR "THE COMPANY")- ACQUISITION OF A NEW SUBSIDIARY BY MATRIX CONCEPTS (CENTRAL) SDN BHD | Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of MCHB wishes to announce that Matrix Concepts (Central) Sdn Bhd (“MCCSB”), a wholly-owned subsidiary of the Company, has on 5 October 2018, entered into a Share Sale Agreement (“SSA”).with NZA Power Services Sdn Bhd for the acquisition of 100 ordinary shares representing 100% of the entire total issued shares in NZA Power Properties Sdn Bhd (“NZAPP”) for a total cash consideration of RM100.00 only. NZAPP is a company incorporated as a private limited company in Malaysia. on 9 May 2017. NZAPP has not commenced business and its intended principal activity of NZAPP is property development.
The SSA was duly concluded on 5 October 2018 and in furtherance thereto, NZAPP has become a wholly-owned subsidiary of MCCSB, which in turn is a wholly-owned subsidiary of MCHB, pending the completion of the transfer of shares. The acquisition of NZAPP is not expected to have any material effect on the earnings and net assets of MCHB Group for the financial year ending 31 March 2019.
None of the directors and/or major shareholders and/or persons connected with a director or major shareholder of MCHB has any interest, direct and/or indirect in NZAPP.
