The Board of Directors of EcoWorld Malaysia wishes to announce that Melia Spring Sdn Bhd (“Melia Spring”) had on 15 December 2019 entered into the following agreements:
  • a conditional development agreement with Permodalan Darul Ta’zim Sdn Bhd (“PDT”) where PDT agreed to nominate Melia Spring to purchase the New Land from River Retreat Sdn Bhd (“RRSB”) and for Melia Spring to develop the New Land (“Proposed Development Arrangement”); and
  • a conditional sale and purchase agreement with RRSB for Melia Spring to acquire the New Land from RRSB for a base land price of RM304,920,000 (“Proposed Land Acquisition”).
Further details of the Proposed Development Arrangement and Proposed Land Acquisition are set out in the attachment.

Working experience and occupation
Tan Sri Liew started his career as a banker in a local merchant bank in 1981. After gaining 5 years of experience in the banking industry, he ventured into property development. Following a reverse takeover of S P Setia Berhad, he was appointed as its Group Managing Director in May 1996 and continued to helm S P Setia Berhad as its President and CEO for the next 18 years until 30 April 2014.In mid-2012, Tan Sri Liew led the Malaysian consortium of S P Setia Berhad, Sime Darby Berhad and the Employees Provident Fund Board (EPF) in successfully bidding for the Battersea Power Station site in London, United Kingdom and was appointed as the first Chairman of the Battersea Project Holding Company in 2012, a position he held until September 2015.Tan Sri Liew was appointed as a Non-Independent Non-Executive Director of Eco World Development Group Berhad on 5 May 2014. He was re-designated as the Non-Independent Non-Executive Chairman of the Board on 20 March 2015. He was also the Executive Vice Chairman of Eco World International Berhad since 12 September 2014.Tan Sri Liew has won numerous corporate and industry awards for entrepreneurship, philanthropy and for showing exemplary leadership in building businesses and creating value. He was recognised as the UK-Malaysia Business Personality of the Year by the British Malaysian Chamber of Commerce at its inaugural Business Excellence Awards 2018.

The Proposed Merger is envisaged to be carried out via an exchange of shares and warrants held by EcoWorld Malaysia’s shareholders and warrant holders into new shares and new warrants of UEM Sunrise Berhad respectively.

We refer to the Company’s announcements dated 5 October 2020, 30 October 2020, 3 December 2020, 18 December 2020 and 30 December 2020.

Since the last announcement on 30 December 2020, parties have been engaged in discussions with a view towards establishing the key parameters of the Proposed Merger taking note of UEM Group Berhad’s Proposed Heads of Terms as set out in its letter dated 2 October 2020. However, following careful evaluation of the Proposed Merger alongside EcoWorld Malaysia’s own business plans and the current challenging environment with the re-implementation of Movement Control Order, on behalf of the Board of Directors of the Company (“Board”), Maybank Investment Bank Berhad wishes to announce that the Board has decided not to pursue the Proposed Merger further with UEMS.

The cessation of talks on the Proposed Merger will enable the Company to actively pursue other corporate proposals that may be more complementary to its present growth plans and strategies.

The Board wishes to thank UEM Group Berhad for its invitation to consider the Proposed Merger with UEMS and remains open to the possibility of future collaborations with UEMS, should another opportunity arise.

ECO WORLD DEVELOPMENT GROUP BERHAD ("ECOWORLD MALAYSIA")PROPOSED ACQUISITION OF APPROXIMATELY 403.7826 ACRES OF FREEHOLD LAND LOCATED IN MUKIM SENAI, DAERAH KULAI, NEGERI JOHOR ("NEW LAND") BY ECO BUSINESS PARK 6 SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF ECOWORLD MALAYSIA
The Board of Directors of EcoWorld Malaysia wishes to announce that Eco Business Park 6 Sdn Bhd (“EBP6SB”) had on 6 September 2023 entered into a conditional sale and purchase agreement with IOI Prima Property Sdn Bhd (“Vendor”) for EBP6SB to acquire the New Land from the Vendor for a purchase consideration of RM211,065,240.67 to be settled in cash (“Proposed Land Acquisition”).

Further details on the Proposed Land Acquisition are set out in the attachment.
