ARK RESOURCES BERHAD (“ARK” OR THE “COMPANY”)
- CAPITAL REDUCTION
- RESTRUCTURING OF DEBTS
- RIGHTS ISSUE
- PLACEMENT
(COLLECTIVELY KNOWN AS THE “CORPORATE RESTRUCTURING”)

We wish to highlight that the Corporate Restructuring which was approved by the Securities Commission on 30 April 2007 and 28 February 2008 (where subsequent approvals for the last extension of time for the implementation of the Corporate Restructuring being obtained on 11 March 2011) and at an extraordinary general meeting on 28 February 2008, comprises the following:-

(i) the restructuring of debts of the scheme companies which entails (i) cash payment and (ii) the issuance of up to RM11,034,536 redeemable convertible secured loan stocks (“RCSLS”) to the scheme creditors of the relevant scheme companies to settle their scheme amounts which have been approved by the scheme creditors on 21 December 2006, 22 December 2006 and 21 December 2007 (“Restructuring of Debts”). The Restructuring of Debts is pending only the issuance of the RCSLS on 30 June 2011;

(ii) the capital reduction of the issued and paid-up share capital of ARK under the Companies Act, 1965 involving the cancelation of RM0.50 of the par value of each then existing issued and fully paid-up share capital of ARK of RM1.00 each and thereafter a capital consolidation on the basis of two (2) ordinary shares of RM0.50 each into one (1) ordinary share of RM1.00 each (“Shares”) where the credit arising there from together with the share premium account will be utilised to reduce the accumulated losses of ARK. (“Capital Reduction”). The Capital Reduction has been completed on 1 June 2011, being the books closure date for the Capital Reduction;

(iii) the renounceable rights issue of 15, 475,725 new Shares (“Rights Shares”) on the basis of three (3) Rights Shares for every four (4) existing Shares held after the Capital Reduction by the entitled shareholders together with 15,475,725 free detachable free warrants on the basis of one (1) detachable warrant (“Warrant”) for every one (1) new Rights Share subscribed at an issue price of RM1.00 per Rights Share (“Rights Issue”). The Warrant may be exercised at any time within a period of ten (10) years commencing on and including the date of issue of the Warrant for one (1) new Share at the exercise price of RM1.00 per Warrant. The entitlement date for the Rights Issue is 1 June 2011. The Abridged Prospectus for the Rights Issue has been issued on 1 June 2011 (“AP”) for which a copy will be received by the entitled shareholders in due course.

The important relevant dates for the Rights Issue are as follows:-

Last day and time for sale of provisional allotment of Rights Shares with Warrants 8 June 2011 at 5.00 p.m.

Last day and time for transfer of provisional allotment of Rights Shares with Warrants 13 June 2011 at 4.00 p.m.

Last day and time for acceptance and payment for the Rights Issue 16 June 2011 at 5.00 p.m.

We wish to highlight that the principal activity of ARK before and after the completion of Corporate Restructuring remained the same, which is principally engaged in investment holding and provision of management services whilst its subsidiaries are mainly involved in property development and investment, civil engineering and building construction works, turnkey construction, mechanical and electrical contractor. The key business areas of ARK and its subsidiaries include engineering and construction, and property development. However, engineering and construction division shall remain as the main contributor to the group’s business. Please refer to Section 7.3 of the AP for the future plans and prospects of the group.

Upon completion of the Corporate Restructuring, ARK shall submit an application to the Bursa Malaysia Securities Berhad to seek for an upliftment from being classified as a PN17 company.

其实这个股我也是有注意，因为它已经从一角起到五角。。小心套利。。注意股价和买卖。。个人看法。。

我刚看了它星期五的买卖，还是不要买比较好，我怕进了货，卖不出，要亏着卖。个人意见。

據馬證交所文件，由于不再觸及PN17的第8.04（8）條文，所以ARK資源將脫離PN17公司行列。

（吉隆坡4日訊）ARK資源（ARK，7007，主要板建築）今日起成功擺脫苦海PN17，股價重新開市一飛衝天，盤中最高漲20仙。

今早開市時，ARK資源重回久違的投資者懷抱，以13.5仙漲幅迎市，掛47仙，重出江湖首炮取得開門紅。

受好消息帶動，該股項早盤持續獲投資者追捧，股價一度走高20仙至53.5仙，休市時漲19仙至52.5仙，為十大上升股之一。

午盤該股走勢稍微停頓，漲幅維持在早盤水平，至閉市時收高18.5仙至52仙，成交量115萬3000股。

馬證交所昨日報備文件指出，由于ARK資源不再觸及PN17的第8.04（8）條文，宣佈該公司4日起脫離PN17公司行列。

請問為何ARK資源（ARK，7007，主板建筑組）的每股盈利達245令吉10仙，每股資產只有約40仙，公司前景如何？是否值得長期持有？

答：
ARK資源的每股盈利其實是2令吉45仙，因每股盈利相等於淨利/總股本，若以該公司近期財政年全年淨利達1億零76萬9千令吉，股本約4千111萬股計，大概是2令吉45仙。（公司在呈報業績時，所公佈的每股盈利是以仙計，所以245.10仙，即為2令吉45仙。）

儘管如此，該公司的每股盈利高，主要是早前完成了企業重組方案，和業務表現無關。

該公司截至2011年12月31日止，末季仍因行政費用，虧損自前期5萬1千擴大至15萬9千令吉，不過，基於企業重組方案完成後的債務紓解，全年反因回撥而獲利，淨利方從前期22萬6千激漲4萬4千488%到1億零76萬9千令吉。

該公司原名為大地建築，過去數年一直是問題連連的公司，曾因未即時向交易所公佈子公司申請清盤消息和新企業活動、延誤提交財報、未依時呈報公司陷入財務問題等問題，遭交易所公開譴責和罰款，終在2006年基於審核老師對該公司截至2004年12月31日止財政年的常年審核財報作出特別聲明，被大馬交易所列為PN17陷困公司，一度面臨除牌風險。

該公司在2006年下半年易名為ARK資源，在2007年初進行系列重組，包括2變1削資、配售附加股、收購建築及工程公司、重組債務以擺脫困境，終在去年11月4日才脫離PN17公司行列。

完成企業重組後，該公司希望營運表現改善，同時採取多項策略來攫取訂單，初步專注本地計劃和最近推介的新古毛發展計劃。該公司也將和地主探討合作機會，以儘快讓業務更上一層樓。

由於該公司不久前才脫困，建議不妨先等待該公司的業務取得不俗進展後才考慮是否值得長期持有，因為一般業績優良、具高成長潛力的公司，具備較高的投資價值。
