Taisei Lamick献意“合理但不公平”
马包装工业股东应拒全购

（吉隆坡17日讯）独立顾问Mercury证券指出，日本公司Taisei Lamick（TLC）出价每股65仙，全面收购马包装工业（MAYPAK，8095，主板工业产品股）股权的献议“合理”但“不公平”，建议股东拒绝献议。

Mercury证券在独立报告中指出，根据实际净资产价值（RNAV）估算法，马包装工业股权的实际净资产约7386万令吉，相等于每股实际净资产1.76令吉。

这显示TLC的65仙出价，比实际净资产价值低63.07%。

不过，这比该股在5天、1个月、3个月、6个月和1年加权均价高，溢价介于16.15%和38.83%之间。

Mercury证券指，虽然献购价高于市价，但则远低于估值，因此这献议“不公平”。

未接获其他收购献议

此外，马包装工业的股票流通率不足，截至今年8月的一年内，每月平均交投量，仅占股票自由流通量的1.76%。

而，截至目前，马包装工业未接获任何献购该公司的其他收购献议。

考虑到马包装股东有机会不需支付交易成本，来释放投资价值，该行认为这项献议还算“合理”。

尽管该献议“合理”，但出价并“不公平”，Mercury证券因而建议股东拒绝该献议。

7月29日，TLC与Toyo Seikan签署一项有条件买卖协议，以每股16.6仙或总值383万5358令吉，收购马包装工业的2310万4569股，相等于近54.95%股权。

而于9月15日，这项协议成为无条件收购，TLC有责任展开全面献购剩余股权，出价每股65仙。

TLC是日本一家成立已久的塑料薄膜包装材料生产商，用于包装食品、洗涤剂，以及其他消费者物品。 【e南洋】

马包装献购价调高至1令吉

（吉隆坡31日讯）马包装工业（MAYPAK，8095，主板工业产品股）宣布，大股东日本公司Taisei Lamick（TLC）把全面献购价从65仙，调高至1令吉。

马包装工业向马交所报备，TLC调高全面献购价至1令吉，等于5天至1年交易量加权均价（VWAP）的78.25%至111.86%溢价。

根据文告，该项重新调整收购价的献议，依然会开放至下月15日下午5时。

至于已接受献议及获得65仙献购价的股东，将会获得每股35仙的差价。截至今日下午5时，TLC在马包装工业的持股率已提高至71.59%。

早前，独立顾问Mercury证券认为，该项献议“合理”但“不公平”，建议小股东拒绝该项收购献议。

9月，TLC购得马包装工业约54.95%股权后，再以每股65仙全面献购剩余股权。 【e南洋】

（吉隆坡7日讯）在大股东调高马包装工业（MAYPAK，8095，主板工业产品股）献购价后，独立顾问认为该献议“不公平”但“合理”，所以建议股东接受该献议。

自大股东日本公司Taisei Lamick（TLC），把全面献购价从65仙调高至1令吉之后，独立顾问Mercury证券改变了给予股东的建议。

这主要是因为“合理”的看法已超越“不公平”。

Mercury证券在独立报告中指出，根据实际净资产价值（RNAV）估算法，马包装工业股权的实际净资产约7386万令吉，相等于每股1.76令吉。

这显示TLC的1令吉出价，比实际净资产价值低43.18%，因而认为该项献议“不公平”。

不过，该折价已经比之前未调高献购价所面对的63.07%有所收窄。

此外，Mercury证券指出，调高后的献购价相对于7月28日闭市价和5天至1年交易量加权平均价格（VWAP） ，取得介于99.96%至122.22%之间的溢价。

同时，截至10月31日，该股在过去10年都不曾在或高于1令吉的水平交易。

Mercury证券认为，这皆提供了离场机会给股东，所以认为该献议“合理”。

在TLC调高献购价之前，该独立顾问曾建议股东拒绝该项收购献议。【e南洋】

（吉隆坡14日讯）马包装工业（MAYPAK，8095，主板工业产品股）截至9月30日第三季，净亏59万5000令吉，去年同期净亏达418万4000令吉。

该公司向马交所报备，第三季营业额微跌0.27%，报2190万7000令吉。

累计首9个月，公司蒙亏279万4000令吉，去年同期的净亏损则达627万9000令吉；营业额几乎持平在6615万6000令吉。

根据文告，当季营业额减少，归咎于鋁箔袋（retort pouch）需求走缓。

另外，亏损按年收窄，是因为当季有一笔6万令吉的未兑现外汇收益，反之，去年同期则有一笔高达439万令吉的未兑现外汇亏损。

在全球经济波动和成本高涨的市况下，董事部相信，营商环境将充满挑战。不过，公司会继续通过成本管制来提升获利能力，同时探索新商机，以更好地管理销售组合。

9月15日，马包装工业指出，日本公司Taisei Lamick（TLC）收购了约54.95%股权后，再以每股65仙全面献购剩余股权。随后，TLC再将献购价调高至1令吉。
