ELSOFT 360萬入股21.16%‧參與重新發展蝴蝶公園

（吉隆坡1日訊）ELSOFT科研（ELSOFT,0090,創業板科技組）與Butterfly House（檳城）私人有限公司達成股權認購協議，以每股1令吉或總共360萬令吉的價格認購後者360萬股的新股，或佔繳足資本約21.16%的股權。

Butterfly House（檳城）主要業務為檳城蝴蝶公園的營運商，目前有意重新發展蝴蝶公園，因此招收新股東籌措資金。

ELSOFT發文告透露，董事部相信上述股權認購將提供該公司投資其它擁有良好增長前景業務的機會，在上述重新發展計劃完成後，預計將對集團的未來盈利帶來正面貢獻。

同時將認購新股的還有另3家公司。完成股權認購後，ELSOFT將會以21.16%股權成為Butterfly House（檳城）的第二大股東，最大股東為Butterfly House控股私人有限公司。ELSOFT將有權委任一名董事。

ELSOFT將通過內部生產資金來資助上述的股權認購。（星洲日報／財經）

肯納格證券研究今日代表ELSOFT科研向馬證交所報備，公司申請轉板已獲得批准。

ELSOFT科研在上個月24日時發文告指出，公司申請轉板要求已獲得證券監督委員會的批准。該股從今年初開始，股價從70仙上漲至今年10月的1.74令吉，漲幅高達兩倍。

財經週刊《Focus Malaysia》 引述消息報導，Leso企業正與銀行及其他單位洽商，以準備上市所需的文件。

“首發股的發售價還沒有定案，但該公司過去數個財年的營業額和淨利皆在持續成長。”

Leso企業旗下的Lesoshoppe，是一個銷售測試設備的企業對企業（B2B）線上平台，擁有龐大的分銷與供應商網絡，集合工業、醫療、政府和實驗室等領域的設備供應商。

發光二極體（LED）需求強勁，我們認為，ELSOFT科研（ELSOFT，0090，主要板科技）是直接受惠的半導體股項，加上醫療器材的盈利貢獻，將提振該股的盈利前景。

我們維持該股“短期買進”評級。

關注在發光二極體測試的ELSOFT科研，有85%營業額來自成長迅速的智能產品與汽車業務。

作為設備製造商，該公司將從發光二極體產品創新中受惠，尤其發光二極體是個強穩的利基市場。

另外，該公司在2014年開始投入醫療器材業務，相信可成為該公司的另一股盈利成長動力。

基于智能產品與汽車業務的前景，以及醫療器材的貢獻，我們對該公司的2016年盈利表現感到樂觀，相信可超越2015年的表現。

考量到智能產品和汽車業務將成長介于5%至29%之間、核心淨利賺幅或介于40%至44%之間，加上2016財年淨股息回酬預測4.2%，我們估計該股將在2015財年取得2000萬令吉核心淨利，2016財年核心淨利則有望達到2560萬令吉。

不知不觉来到Elsoft 2015年的最后一季，成绩令人满意，可惜股价停滞不前。

本来说季度成绩好的话，股价都会暴冲一会儿。但是最近可以发现，有些股价非但没有随成绩向上，反而下跌更多。大家都变成惊弓之鸟吧，尤其是出口股，唯恐避不及。相信接下来投机会难上加难了。:P

和去年同个季度相比，盈利起了72%，净利则进步了64%。主要是智能电子行业需求回归以及汽车行业需求持续强劲，

For the current quarter, the Group registered revenue and profit before tax ("PBT") of approximately
RM16.759 million and RM7.330 million respectively. Compared to the preceding year corresponding
quarter revenue and profit before tax of approximately RM9.763 million and RM4.468 million respectively, revenue has increased by approximately 72% and profit before tax has increased by approximately 64% respectively for the current quarter.

The higher revenue recorded was contributed by the returned demand from smart devices industry as well as continuous demand from automotive industry compared to the preceding year corresponding quarter. The higher PBT recorded was mainly contributed by the higher revenue generated from smart devices industry and automotive industry.

至于和上个季度相比，盈利和净利都下降，原因是投资回酬不理想以及未实现的外汇损失。

For the current quarter, the Group recorded slightly lower revenue of approximately RM16.759 million as compared to RM17.258 million achieved in the previous quarter. PBT for the current quarter decreased from approximately RM12.406 million in the previous quarter to RM7.330 million in the current quarter mainly due to the unrealised loss in foreign exchange, share of losses in associate and lower contribution from other investment.

大概可以理解未实现的外汇损失是什么，和美元挂钩的，自然会上上下下。管理层应该比我们更清楚吧。

*When some foregin monetary asset or liability is translated for example at balance sheet date we take foreign exchange gain (loss) as unrealised but when the asset or liability is settled i.e. received/paid throug foreing currency the exchange gain (loss) becomes realised.

无论如何，公司对2016年的前景感到乐观。

Barring any unforeseen circumstances, the Board is optimistic on the Group’s prospects for the coming financial year.

对了，蝴蝶场的贡献应该会在后个季度看到吧 :P

公司也宣布了4sen的股息，2015年的全股息8sen，比前财政年多了1sen。以目前股价来说，DY大约是4.21%

换股注入子公司 艾尔软体推Leso 上市

（吉隆坡26日讯）艾尔软体（ELSOFT，0090，主板科技股）将通过换股方式，将子公司注入Leso控股私人有限公司，以推动Leso控股在马交所创业板挂牌上市。

根据文告，艾尔软体昨日与持股30%的子公司Leso机构私人有限公司、Leso机构股东吴启实（人名皆译音）和刘锦秀，还有Leso控股签署协议。

Leso机构将以1454万3998令吉，脱售子公司Lesoshoppe私人有限公司的所有股权。

而Leso控股将发行每股售价10仙的1亿4543万9980股新股给艾尔软体，来购入这批股权。

一旦完成交易，艾尔软体将持有Leso控股的30%股权，而Lesoshoppe公司则成为Leso控股的独资子公司。

Lesoshoppe公司的业务，是通过提供供应链管理解决方案，来售卖测试与测量设备。

艾尔软体在文告中指出，通过换股和Leso控股的上市计划，可进一步加强公司在Leso机构的投资。

同时，从这宗交易取得的资金，可用来扩展Leso控股集团业务，并帮助该公司在接下来持续增长。

The Board of Directors of Elsoft (“Board”) wishes to announce that the Company had on 25 March 2016  entered into a conditional share sale agreement (“SSA”) with Leso Corporation Sdn Bhd (“LCSB” or  the “Vendor”), Leso Holdings Berhad (“LHB” or the “Purchaser”) and the other shareholders of LCSB, namely Goh Chea Sit (“GCS”) and Lau Kheng Siew (“LKS”), for the proposed disposal by LCSB of the entire issued and paid up capital of Lesoshoppe Sdn Bhd (“Lesoshoppe”) comprising 500,000 ordinary shares of RM1.00 each (“Sale Shares”) to LHB, for a consideration of RM14,543,998, to be wholly satisfied via the issuance of 145,439,980 new ordinary shares of RM0.10 each in LHB (“LHB Shares”) at an issue price of RM0.10 per LHB Share (“Proposed Share Exchange”), to facilitate the proposed listing of LHB on the ACE Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Proposed Listing”).
