GS國際紀順能入主NWP 下月董事會決定是否任CEO

(吉隆坡9日訊)年度銷售額超過100億令吉的大馬房產買賣中介公司GS國際地產有限公司(GS Realty,簡稱GS國際),其董事兼執行總裁拿督斯里紀順能近日入主NWP控股(NWP,5025,主要板工業),以11.48%股權崛起成為主要股東,會否成為總執行長還看下個月的董事局會議。

人事結構變化不大

針對NWP控股近期的人事變動及新任總執行長人選,紀順能拒絕披露詳情,僅表示下個月公司會召開董事局會議,之后才會有所決定。

據NWP控股向馬證交所報備文告指出,紀順能已在本月7日受委並出任為NWP控股執行董事,截至5月6日,個人直接持股3674萬5200股;至于NWP控股總執行長黃思明(譯音)也已轉任執行董事。

紀順能是在今日出席NWP控股新策略董事與股東推介禮記者會上,發表上述談話;列席者包括GS國際地產總執行長麥漢亮、GS國際地產執行董事兼主席饒安昌等。

紀順能指出,NWP控股人事結構上變化不大,只是2位董事出局、兩位入局,新加入董事局的包括他。原籍中國的拿督張麗也在紀順能的穿針引線下進入NWP控股出任獨立及非執行董事。

張麗也是一家美國房地產投資公司Top Creation的董事,Top Creation是倫敦創業板AIM掛牌公司,主要投資在大馬房地產領域。

首4月銷售額增40%

GS國際今年首4個月銷售額按年已取得逾40%增長,看好全年銷售額至少可取120億令吉,並駁斥房產市場疲弱的說話。

紀順能指出:“隨著入股NWP控股,為GS國際未來進軍更多房地產相關聯業務敞開了大門,不會僅局限于房地產仲介業務。”

助拓建築業務

目前雖然GS國際手頭已承銷約30家發展商的房地產項目,但紀順能不預見透過NWP控股進軍房地產發展及承建領域會和旗下發展商客戶形成惡性競爭或產生衝突。

他表示:“NWP控股旗下的NWP Builder,在GS國際的角度只是另一家發展商,等同我們承銷的發展商從30家增至31家,當中不存在衝突憂慮,反倒看好,我們可協助NWP Builder進一步開拓建築業務。”

NWP控股目前持有NWP Builder約90%股權,后者成立于2010年,主要在沙巴承接小型工程;NWP控股一共有3家獨資子公司,主要經營木材業務,及一家位于寮國的聯營公司NWP LAO。【中国报财经】

国际地产CEO 购6.25% 麦汉亮晋NWP大股东

(吉隆坡12日讯)国际地产(GS Realty)总执行长麦汉亮,购入NWP控股(NWP,5025,主板工业产品股)6.25%股权,崛起为大股东。

根据文告,麦汉亮于上月22日至本月4日期间,在场外购入NWP控股的2000万股,相等于6.25%股权。

早前,国际地产董事兼执行总裁拿督斯里纪顺能,收购NWP控股的11.48%股权,晋身大股东行列,也出任公司的执行董事。

纪顺能当时指出,国际地产入股后,NWP控股将继续经营木业,因此旗下相关业务不会停顿,但会增加新业务,可能是产业发展。

国际地产公司是一家产业买卖中介公司,目前替至少30家发展商销售产业,放眼今年销售目标最少达120亿令吉。【南洋网财经】

拟跨足产业发展 国际地产持NWP 60%

(新山20日讯)国际地产(GS Realty)近日入股NWP控股(NWP,5025,主板工业产品股),目前與合作伙伴已持有NWP控股约60%股权,並正商讨数片土地发展的事宜,为跨足产业发展领域而努力。

国际地产总执行长麦汉亮指出,有关土地课题,现阶段不方便透露更多细节。

也是NWP控股大股东的他指,国际地产是间产业中介公司,NWP控股旗下子公司有涉及建筑,公司凭借本身的影响力再结合後者相关资源,以起到互补作用。

他昨晚出席第3届国际地产南马区季度颁奖之夜“地产我最大”,接受媒體采访时如是透露。

该活动出席者包括国际地产执行董事主席饶安昌、柔佛分行负责人黄术闵、何君屏、陈郭文、黄俗钦。

大会奖项有100多项,获奖者约50餘人。

年轻人口潜在客户

询及国内产业市场现况,麦汉亮认为,未来产业市场会越来越好,目前趋缓是受到近两年不少因素影响,包括消费税、令吉贬值、政治因素等,令人民还不习惯大环境趋势;一旦接受这环境,又会开始投资,使得市场恢复活力。

他强调,民众普遍认为当前大马经济不好,其实,整个市场处处商機,不少人此刻仍赚到钱。

饶安昌指出,产业市场有起有落,就如股市般,当市场处於高点,投资者很难买进,当市场下滑,就创造投资的機会。

他指出,从人口角度看待产业市场,未来有许多大学毕业生和社会新鲜人,他们有年龄的优势,容易获得贷款,当中还不乏专业人士,这批年轻人口是重要的潜在客户。

针对房产市场的好或壞,饶安昌认为,最重要的是如何去推动这个市场。

他呼吁银行应放宽借贷,以促进经济,当局越打房,经济将趋向紧缩。

黄术闵:南马团队表现亮眼

黄术闵透露,国际地产南马团队表现亮眼,自2014年到2015年期间,该团队销售业绩取得100%增长,再接再励之下,放眼今年可连续取得100%的销售增长,达到80亿令吉销售目标。

他指出,2014年的销售额是20亿令吉,到了2015年为40亿令吉。而今年的80亿令吉目标,至今已达到30多亿令吉。

他表示,南马区团队秉持积极心态看待市场,无论市场好壞,购屋者仍大有人在。

“之前完成的交易中,包括有地房产與公寓项目,有地房产的类别主要在二手房屋。”

他说,今年团队会努力把有地房产的交易,扩展到新单位项目。

何君屏指出,柔佛分行接下来还会招募1000名新人。

NWP控股放眼建筑商机 冀转亏为盈

(吉隆坡4日讯)蒙亏的木材与木制品制造商NWP控股(NWP Holdings Bhd)放眼在建筑领域物色额外的收入来源,冀藉此商机转亏为盈。

为了达至此目标,NWP控股表示,该集团今日已签署两项谅解备忘录(MoU),第一项备忘录是受委为马六甲一项发展计划(涵盖160个服务式套房住宅)的主要承包商,第二项则是与另一家公司就未来建筑项目达至策略合作伙伴关系。

NWP控股今日向大马交易所发文告报备,该集团与产业发展商Listari Marina私人有限公司(LMSB)签署第一项谅解备忘录,LMSB献议委任NWP控股为马六甲中部Pekan Klebang的项目主要承包商,惟取决于双方日后落实与执行的最终协议。

NWP控股需要寻找资金来展开这项工程,此工程座落于一块有期地契地段。LMSB已和这块地皮的地主Cash Support私人有限公司达至一项联营协议,以联手发展这块地段。

第二项谅解备忘录是为,与中国陕西安装集团有限公司(SCEGC Installation Group Company Ltd)达至一项策略伙伴协议,他们将一同承担与进行任何一方所获得的任何建筑项目。

“SCEGC和NWP控股获颁的任何建筑项目,将以联营形式共同进行,并限制于产业发展建设。”

NWP控股自2006年起蒙受亏损。截至2016年2月29日的上半年,该集团净亏105万令吉,相较于同期净赚31万8000令吉;营业额则从同期的887万令吉,按年跌挫近27%至650万令吉。

截至今年2月28日,该集团的总累计亏损企于5846万令吉。

Cashflow Budget私人有限公司早在4月脱售NWP控股的2420万股后,已不再是后者的大股东。同时,NWP控股总执行长Wong See Ming间接持有Cashflow Budget的股权。

NWP控股私下配股集资

(吉隆坡19日讯)NWP控股(NWP,5025,主板工业股)建议私下配售10%股权给合格投资者,以售资960万令吉,同时修改公司章程。

NWP控股建议私下配售3200万新股或10%股权给第3方投资者。假设发售价为每股30仙,该公司將从中筹资960万令吉。

上述参阅发售价每股30仙,相比NWP控股週二闭市价31.5仙和5天平均加权闭市价32.62仙,各折价4.76%和8.03%。

据文告,NWP控股將动用集资所得的其中200万令吉作为营运资本,715万令吉用来开拓新业务,剩余45万令吉用来支付私下配售活动开销。

另一方面,NWP控股也建议提供新股认购权给符合条件的董事及员工,这批新股將佔缴足资本的15%。

同时,新股所取得资金將作为营运资本。

私下配售活动料把NWP控股缴足资本从3亿2000万股或8000万令吉,提高至3亿5200万股或8800万令吉;假设合格员工全面认购15%新股,其缴足资本將进一步扩大至4亿零480万股,或1亿零120万令吉。

有鑑于此,NWP控股法定缴足资本提高至20亿股,或建议將相等于5亿令吉。

NWP控股获7.4亿合约
料助2017财年转亏为盈


2016年9月8日
(吉隆坡7日讯)NWP控股(NWP,5025,主板工业产品股)获M2B World(马)有限公司颁发总值7亿4400万令吉的建筑承包合约,并预计这有助于集团在2017财年转亏为盈。

NWP控股子公司NWP Builder私人有限公司受委统筹承包商(Turnkey Contractor),在国内6个不同地点兴建人民心愿房屋 (Rumah Aspirasi Rakyat)和一个大马人民房屋(PR1MA)。

这当中的3个项目是在吉兰丹州,分别位于瓜拉吉赖、哥打峇鲁,以及格底里。其余则在沙巴山打根、彭亨北根和雪兰莪安邦。

承建PR1MA屋

而这些建筑项目当中有5项是承建国家房屋公司(SPNB)的项目,另一项是PR1MA项目。

这些项目预计会在6个月内开始执行,并在4年内完成。

这些建筑项目总面积400英亩,预计会建造3855个房屋单位。

NWP控股独立非执行董事拿督刘华才今天在签约仪式上表示,相信这项统筹承包商合约,会多元化集团的业务,带来额外的收入来源。

NWP控股顾问拿督斯里郑智中也表示:“这不代表集团会转换业务方向,因为我们一直都有进行建筑业务,这次只是把业务多元化。”

NWP控股计划发行不可赎回可转换优先股(ICPS),为这些建筑项目的营运资本筹资1至3亿令吉。

M2B World总执行长洪英发(译音)指出,人民心愿房屋 将会以比市价便宜10至15%的价格出售,没有特定的房屋规格及价位,要视当地市场的规格和价格而定。

NWP Builder is currently dormant but is principally envisaged to be involved in construction and development. NWP Builder is in the midst of applying as a Class G7 contractor with the Construction Industry Development Board which shall allow NWP Builder to tender for government and private sector projects of any size and amount.

M2BW was incorporated in Malaysia on 2 August 2007 under the Act as a private limited company and having its registered address at Lot 577, Section 19, Taman Limau Manis, Jalan Hamzah, 15050 Kota Bharu, Kelantan Darul Naim.

2.3     SALIENT TERMS OF THE TCA

  • M2B agrees to award the construction of the Projects on a turnkey contractor basis subject to the Parties entering into a definitive turnkey construction agreement within three (3) months from the date of the TCA or any further extended period as the Parties may mutually agree in writing (“Final Date”).
  • The total contract award sum is estimated at RM744,955,461, and the parties are to, within one (1) month from the date of issuance of the final bill of quantities for the Projects by an appointed surveyor, further agree in writing on a final contract award sum.
  • For purposes of facilitating the construction and the management of the Projects awarded to NWP, NWP agrees to appoint M2B to carry out project management works at an estimated total project management company fees (“PMC Fees”) of RM51,897,306.20 which is subject to final adjustment based on the final contract award sum.
  • The parties agree that 60% of the PMC Fees for each project shall be paid to M2B upon issuance of the letters of award to M2B [which letters of award/ appointment shall be issued by NWP to M2B within four (4) months from the TCA], based upon the estimated contract award sum, 20% upon the 1st progressive payment from SPNB/Developer received by NWP and the final 20% upon the 3rd progressive payment from SPNB/Developer received by NWP. The final PMC Fees shall be adjusted based on the final contract award sum.
  • The TCA will commence on the date of the TCA and terminate upon (1) the expiry of the Final Date; or (2) the date of execution of the definitive turnkey construction agreement.
  • Subject to the first tranche of the PMC Fees being paid to M2B, M2B agrees that from the date of the TCA up to and including the Final Date, M2B will not and it shall procure that the representatives, directors, employees, agents and advisers of M2B, as the case may be, shall not enter into or continue, facilitate or encourage, any discussions or negotiations with any party relating to (1) the award of the Projects contemplated under the TCA; or (2) respond to any approach made by any party with a view to award any of the Projects.

    3.0     DETAILS OF THE PROJECTS

    Based on the TCA and subject to the parties entering into a definitive turnkey construction agreement, NWP Builder shall act as the turnkey contractor for the Projects, the details which are more specifically highlighted in the ensuing paragraphs.

    The TCA encompasses a total of six (6) projects to construct affordable housing under  SPNB Aspirasi  (“SPNB”) as well as the Perbadanan PRIMA Malaysia (“PRIMA as summarized in the following table:-

4.0     RATIONALE

NWP and its subsidiary companies (“NWP Group” or “Group”) has been registering loss after taxation since financial year ended 2006. As such, the Board believes that the TCA would be the instrumental in diversifying the Group’s business to include the construction business and provide an alternative source of income to the Group.

The TCA is expected to generate profit to the Group which would benefit the NWP Group and hence beneficial to the shareholders and other stakeholders of NWP.

The Board believes that the Group has the capacity, capabilities and resources to diversify its business to include the construction business after taking into consideration the competency and experience of Mr Bernard Chin Chong Pou and Mr Quah Eng Hock, whom the Board deems to be the main key management personnel and is instrumental in the Group’s new venture into the construction industry. They will be supported by their team as well as external consultants such as the architects, engineers, surveyors, subcontractors and other consultants.

Mr Bernard Chin is currently the  Construction Manager  of the Group overseeing current and  future construction projects . He has been involved in the construction and property development industry for more than 35 years. Several key notable projects handled by Mr Bernard Chin includes:

  • the construction of 129 units 2-storey terrace houses for SP Setia Berhad at Taman Bukit Indah, Ampang;
  • the construction of 464 units of 5-storey low cost flat for Koperasi Tunas Muda Berhad at Sungai Dua, Penang;
  • the construction of 287 units of 2-storey terrace houses for MBF Property Sdn Bhd at Sri Hartamas, Petaling Jaya.

    Mr Quah Eng Hock is currently the [Project Manager of the Group overseeing [current and future construction projects ]. He has been involved in the property development industry for more than 25 years. Mr Quah has worked with several public companies in their property division and was instrumental in reviving Taman Mestika low cost flats, Taman Medan mixed development and Pandan Mewah Heights condominium. In additional, Mr Quah was also instrumental in developing the Master Plan for the 1,000 acres Baba Nyonya Heritage Resort project in Malacca.


5.0     FINANCING/ SOURCE OF FUNDS

NWP intends to finance the Projects through various equity fund raising exercises and/or debt financing. The exact mix of equity fund raised and/or debt financing will be determined by the Board at a later date after taking into consideration the gearing level, dilution to earnings per share, interest costs as well as internal cash requirements of the Group.
Save for the following, there is no additional financial commitment required by NWP Builder for the TCA.

6.0     RISKS FACTORS

The Board believes that the TCA may expose the Group to risks inherent to the construction sector, in which the Group has not been exposed to in the past. These may include, amongst others, competition from existing players and entry of new players and changes in the legal and environmental framework within which the construction industry it operates. Nevertheless, the Board draws comfort from Mr Bernard Chin and Mr Quah and their experience as well as the engagement of other professionals.

7.0     FINANCIAL EFFECTS

The TCA is not expected to have any major financial impact for the financial year ending 31 August 2017 but is expected to contribute positively to the future earnings of the Group.

The TCA will not have any effect on the share capital and substantial shareholders’ shareholding of NWP.

8.0     APPROVALS REQUIRED

The TCA does not require the approval of the Company’s shareholders or any relevant government authorities.

9.0     DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST

None of the Directors and/or Major Shareholders and/or persons connected to them, has any interest, direct or indirect in the TCA.

10.0   STATEMENT BY DIRECTORS

The Board is of the opinion that the TCA is in the best interest of the Group.

11.0   DOCUMENTS FOR INSPECTION

The TCA is available for inspection during normal business hours from Mondays to Fridays (except public holidays) at the registered office of NWP at Unit 1119, 11th Floor, Block A, Damansara Intan, No.1 Jalan SS20/27, 47400 Petaling Jaya, Selangor Darul Ehsan for a period of three (3) months from the date of this announcement.

NWP发行3亿ICPS未定案

(吉隆坡14日讯)NWP控股(NWP,5025,主板工业产品股)澄清,董事局正探讨融资方案,但不排除发行不可赎回可转换优先股(ICPS)。

针对媒体引述NWP控股顾问拿督斯里郑智中表示,公司计划发行3亿令吉ICPS的说法,该公司在文告中指,这是公司融资方案的其中一项考量。

董事部还考虑各类筹集资本的方案,包括发股筹资和债务融资等,但还未做出最终决定。

早前,NWP控股获M2B World(马)有限公司颁发总值7亿4400万令吉的建筑承包合约,在国内6个地点兴建人民心愿房屋 (Rumah Aspirasi Rakyat)和一个大马人民房屋(PR1MA)。 【e南洋】

Reference is made on the Article on NWP Holdings plans to raise RM300 million from irredeemable convertible preference shares (ICPS)  dated 13 September 2016, where Datuk Seri Dr. Alex Teh Chee Teong our project consultant was mentioned had plans to issue ICPS. As explained in our earlier press release on the Group securing works with an estimated GDV of RM744 million, the Board were considering various options to fund the TCA which amongst them includes options such as equity fund raising and/or debt financing.

In the release made by our consultant in the said article, we believe that  Datuk Seri Dr. Alex Teh Chee Teong mentioned ICPS as one of the options. However, the Board is still considering the various options available and has yet to come to a decision on the best possible option available after considering gearing level, dilution to earnings, interest cost and internal cash requirements.

(吉隆坡19日讯)NWP控股(NWP,5025,主板工业产品股)计划在近期内宣布购入一家服务公司,扩大收入来源。

NWP控股执行董事拿督斯里纪顺能今天在股东特别大会后向媒体表示:“我们预计会在约两个星期后,公布有关收购的更多详情。”

他暂时不能透露这家收购对象所涉及的业务,不过,该服务公司跟集团现有的业务无关联。

纪顺能强调,公司目前的主要业务还是在赚钱,只是赚得较少,并受到机械贬值的影响,才会出现账面亏损的情况。”

他有信心,公司可在2017财年转亏为盈。

“目前,我们有30至50个集装箱(木材)已出售到中国。”

他说,目前的市场上,许多家具的材质都是橡胶木,占了70%。橡胶木是目前市场上,比较便宜的木材,而该公司也出口100%的橡胶木到中国。

获7.4亿建筑承包合约

针对公司从M2B World获得的统筹承包商合约,纪顺能表示:“我们以后要面对的是政府,因为我们拿的是政府合约。打个比喻,若完成工程的10%,我们将从政府那里获得10%的建筑费用。”

“这跟买地不同,我们进行的是建筑工程。只要我们完成建筑工程,政府会买回这些建筑。”

M2B World与政府签署总价值13亿令吉的建筑合约,而NWP控股则获得其中的7亿4400令吉的建筑承包合约。

NWP控股日前宣布,子公司NWP Builder私人有限公司获M2B World(马)有限公司颁发总值7亿4400令吉的建筑承包合约。

这项合约让NWP Builder能作为统筹承包商,在国内6个地点兴建人民心愿房屋 (Rumah Aspirasi Rakyat)和一个大马人民房屋(PR1MA)。【e南洋】

NWP控股进军私人包机航空运输服务业务

(吉隆坡14日讯)通过收购美国注册的Aviation AI Inc(AAI)30%股权,NWP控股(NWP Holdings Bhd)进军私人包机航空运输服务业务。

这家木材产品制造商向大马交易所报备指,独资子公司NWP Builder私人有限公司与Datuk Ismail Hassan达至一项协议,以150万美元(约630万令吉)向后者收购AAI的30%股权。

AAI的主要业务包括提供私人包机航空运输服务,该公司坐拥一架湾流G-1159A(Gulfstream G-1159A)型号的飞机。

根据马交所的文告,NWP控股称该集团正在探索各种商机,以增加收入来源。

“AAI打算为公众及私人企业客户提供包机航空运输服务,像是政府机构和企业。”

“AAI最近才于2016年6月30日成立,因此,该公司认为,业务发展及营销活动对建立市场地位和推动业务增长极为重要。”

营运开销走低 NWP末季净亏收窄

(吉隆坡31日讯)NWP控股(NWP Holdings Bhd)第四季净亏收窄,因营运开销走低。

截至8月杪的2016财政年末季,净亏从上财年同期的286万令吉,收窄至124万令吉;营业额增27.87%至367万令吉,同期为287万令吉。

NWP今日向大马交易所报备时说,末季营运开销由363万令吉,降至147万令吉。

末季的财务成本也自同期的2万3000令吉,跌至1万4000令吉。

“集团营业额增加,是由于中国市场的产品需求改善。”

全年净亏则从2015财年的223万令吉,扩大至299万令吉;营业额跌27.79%至1268万令吉,2015财年是1756万令吉。

展望未来, NWP预计,如无意外,下个财年依然交出满意的表现。

“集团将继续专注于木材加工和模制产品,并将提高加工能力,因在可预见的未来产品需求料强劲。”

该集团向马交所报备,NWP Builder私人有限公司与Listari Marina (MM2H)私人有限公司签署承包建筑合约,在马六甲建筑一座9层楼高,共有160单位的服务式公寓。

此外,NWP控股也宣布,NWP Builder私人有限公司向大马建筑工业发展局(CIDB)申请成为注册承包商获批准,被授予G7级别执照。

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1) Salient terms of the turnkey construction agreement.
2) Details of the contract.
3) Source of funds to finance the projects.
4) The financial impact of the contract on the group.
5) The risks in relation to the contract.
6) Whether the directors, major shareholders and/or persons connected with them have any interest direct or indirect, in the contract         and the nature and extent of their interests.
7) The approvals required in relation to the contract.
8) To state whether the contract assessed together with the previous construction agreement entered into by NWP Builder Sdn. Bhd. on 7 September 2016 trigger / will trigger the requirement of paragraph 10 of the Main Market Listing Requirements.
Reference is made to the letter dated 8 November 2016 (Reference number: IQL-08112016-00002) from Bursa Malaysia Securities Berhad regarding the Memorandum of Understanding with Listari Marina (MM2H) Sdn Bhd.

  • Salient terms of the turnkey construction agreement

  • Listari Marina (MM2H) Sdn Bhd (“LM”) as the developer for OneLe Tower has agree to appoint NWP Builders Sdn Bhd (“NWPB”) as the turnkey contractor to complete the construction of the 9 storey OneLe Tower, and NWPB has indicated that it is desirous of being the appointed turnkey contractor for the OneLe Tower.


  • The construction works must be completed not later than 18 months from the date of take over of the site by NWPB, unless otherwise adjusted in accordance with the terms of this Agreement.


  • The turnkey contract sum for the works to complete OneLe Tower by NWPB, shall be a lump sum of Ringgit Malaysia Twenty Two Million Only (RM 22,000,000.00) payable within 30 days from the date of certification by the Architect of the completion of the building works.


  • NWPB has agreed to advance a sum of RM 6,500,000 to LM to take-over the contract for OneLe Tower which shall be repaid by LM to NWPB from time to time from the sale proceeds from the sale of service suites to be built provided always that the repayment of this advance shall be within 6 months from the date of the initial disbursement of the sum to accelerate the delivery of the project site to NWPB.


2. Details of the contract
The contract is a standard turnkey construction agreement between Lestari Marina (MM2H) Sdn Bhd and NWP Builders Sdn Bhd for the appointment of NWP Builders Sdn Bhd as turnkey contractor to complete and deliver to LM, OneLe Tower, a 9 storey tower block, located on HS(D) 70398 PT 497 Pekan Klebang, Sek 11, Daerah Melaka Tengah, Melaka comprising of 160 units of service suites for a total consideration of RM 22,000,000.

3. Source of funds to finance
NWP intends to finance the project through various equity fund raising exercises and/or debt financing. The exact mix of equity fund raised and/or debt financing will be determined by the Board at a later date after taking into consideration the gearing level, dilution to earnings per share, interest costs as well as internal cash requirements of the Group.

4. The financial impact of the contact on the group
The turnkey construction agreement is not expected to have any major financial impact for the financial year ending 31 August 2017 but is expected to contribute positively to the future earnings of the Group.
The turnkey construction agreement will not have any effect on the share capital and substantial shareholders’ shareholding of NWP.
5. Risk in relation to the contract
The Board believes that the turnkey construction agreement may expose the Group to risks inherent to the construction sector, in which the Group has not been exposed to in the past. These may include, amongst others, competition from existing players and entry of new players and changes in the legal and environmental framework within which the construction industry it operates. Nevertheless, the Board draws comfort from the experience of the key management personnel of the Group, in particular Mr Bernard Chin (Construction Manager of the Group) and Mr Quah Eng Hock (Project Manager of the Group), as well as the engagement of other professionals.

6. Directors’ and major shareholders’ interest
None of the Directors and/or Major Shareholders and/or persons connected to them, has any interest, direct or indirect in the turnkey construction agreement.

7. Approvals required
The turnkey construction agreement does not require the approval of the Company’s shareholders or any relevant government authorities.

8. The turnkey-construction heads of agreement entered into between NWPB and M2B World (M) Sdn. Bhd. on 07 September 2016 and the turnkey construction agreement entered into between LM and NWPB on 7 November 2016, when aggregated together, will not cause the Company to trigger the provisions of Chapter 10 of the Main Market Listing Requirements. The Company will ensure its full compliance with the Main Market Listing Requirements at all times.
